ALLIANZ BANK: Fitch Affirms 'bb-' Viability Rating
--------------------------------------------------
Fitch Ratings has affirmed Societe Generale Express Bank AD's
(SGE), Allianz Bank Bulgaria AD's (ABB) and leasing company
Sogelease Bulgaria's (Sogelease) Long-Term Issuer Default Ratings
(IDRs) at 'BBB+' with a Stable Outlook.

Key Rating Drivers - IDRs And Support Ratings
SGE and ABB's IDRs and Support Ratings are driven by potential
support being available to the banks, if required, from their
respective majority shareholders. Sogelease's IDRs are equalized
with SGE, as Fitch views Sogelease as a core subsidiary of SGE.

SGE is wholly owned by Societe Generale (SG, A/Negative). ABB's
ultimate majority shareholder is Allianz SE (AA-/Stable) through
its 66% stake in Allianz Bulgaria Holding, which in turn holds
80% stake in ABB.

Fitch believes SGE is a strategically important subsidiary of SG
and views SGE as part of SG's strategic commitment to the CEE
region. This view has been strengthened by SG's recent strategic
plan with renewed ambitions in CEE. There is substantial
operational and managerial integration between the two banks, and
capital and funding have been made available by SG to SGE to
date. SGE's IDRs are constrained by the Bulgarian Country Ceiling
of 'BBB+'.

ABB's IDRs and Support Rating reflect potential reputational
damage to the parent from a bank's default, its small size and
the owner's support track record. The notching between Allianz's
and ABB's IDRs is based on Fitch's view of only limited strategic
importance of the subsidiary to its parent due to Allianz's focus
on insurance activities, ABB's marginal contribution to Allianz
group's profits and that it is Allianz's only banking subsidiary
in CEE. Fitch understands that Allianz has no intention to sell
ABB. However, in the agency's view, whether ABB remains in the
parent group in the long term depends on its contribution to
Allianz's core insurance and asset management business and ABB's
standalone performance.

Sogelease's ratings are equalized with those of SGE, reflecting a
high probability that it would be supported, if required, by SGE
or by its ultimate shareholder, SG, due to Fitch's view that
Sogelease is a core subsidiary of SGE. This view is based on the
strong integration of Sogelease with SGE and its high direct and
indirect dependence on SG Group for funding.

RATING SENSITIVITIES - IDRs AND SUPPORT RATINGs

SGE, ABB and Sogelease's IDRs and Support Ratings would be
downgraded in case of a downgrade of their parents' IDRs (multi-
notch in case of SG) or Bulgaria's Country Ceiling. An upgrade of
the Bulgarian Country Ceiling (unlikely in Fitch's view) would
likely lead to an upgrade of SGE's IDR and Support Rating, albeit
limited to one notch.

SGE, Sogelease and ABB's ratings are also sensitive to Fitch's
view of their strategic importance to the respective parents. A
weakening of Fitch's view of the strategic importance of SGE and
Sogelease would likely widen the notching between the entities
and SG's IDRs. ABB's ratings could be downgraded if, in Fitch's
view, ABB becomes less important to Allianz's insurance business
in Bulgaria, and ultimately to Allianz.

Key Rating Drivers - VRs

ABB and SGE's Viability Ratings (VR) of 'bb-' and 'bb',
respectively, reflect primarily their relatively limited
franchises (more so for ABB) and better than sector average asset
quality. In Fitch's view, both banks' capitalization is only
adequate given the difficult operating environment. Solid funding
and liquidity profiles are relative rating strengths for both
banks' VRs.

SGE had 4.3% and 4.2% market shares in total assets and total
customer deposits of the domestic banking system at end-2013,
respectively, while Allianz had smaller shares of 2.3% and 2.6%,
respectively. The banks' asset quality is persistently better
than the sector average, which can be attributed to their
relatively lower risk appetite, evidenced by moderate lending to
construction and real estate companies and small SMEs which were
mostly hit by the crisis. At the same time, the banks' lending to
relatively larger corporates has resulted in some significant
single-name concentrations. At end-2013, the regulatory NPL
ratios were relatively stable, at 5.7% and 9.4% of total gross
loans for SGE and ABB, respectively (sector average: 16.9%).
Fitch believes that a material improvement in loan quality would
require a marked economic recovery and a revival in lending, all
of which are unlikely in 2014.

Fitch considers the banks' capitalization to be only adequate in
light of the difficult operating environment which limits
internal capital generation ability and, in the case of ABB, its
sizeable NPLs that are moderately covered by reserves. ABB's
Fitch core capital (FCC) ratio increased to 17.0% at end-2013 due
to retained earnings, while net NPLs absorbed 20% of FCC (2012:
27%). SGE's reserves coverage of NPLs is high, therefore net NPLs
only equated to 2% of FCC at end-2013.

SGE and ABB's profitability compares well with the average sector
performance despite the banks' relatively limited scale of
operations and ABB's large pool of liquid but low yielding
assets. The challenging operating environment has put significant
pressure on both banks through falling market interest rates,
subdued lending volumes and increased provisioning needs. Loan
impairment charges absorbed 64% and 41%, respectively, of SGE and
ABB's pre-impairment operating profit in 2013. Fitch expects weak
loan growth to be the key drag on the Bulgarian banks'
performance in 2014.

The banks have sound funding and liquidity profiles. This is
evidenced at ABB by its large and mostly stable customer deposits
base (92% of total funding at end-2013) and high excess
liquidity. Customer deposits may be prone to limited fluctuations
given the relative significant share of deposits from corporates,
including non-bank financial institutions (47% and 18%,
respectively), but these can be easily cushioned by the bank's
liquidity pool. The liquid assets covered a high 39% of total
customer deposits at end-1Q14, while the loans/deposits ratio was
around 74%.

SGE's reliance on funding from its parent has been decreasing as
a result of the increase in local customer deposits (2013: 76% of
total liabilities). Funding from SG dropped to 9% of liabilities
at end-2013 from 18% at end-2012. Fitch expects this to continue
gradually as the bank increases it customer deposits. Its
loans/deposits ratio is still high at 124% compared with its
direct peers.

Rating Sensitivities - VRs

An upgrade of the banks' VRs would require a considerable
improvement in the banks' franchises while continuing with lower
risk appetite, therefore the relatively better asset quality
compared to the banking system. A deterioration of the loan book
qualities leading to increased pressure on the banks' capital
positions could trigger a downward revision of the VRs.

FIRST INVESTMENT: Under Threat After Malicious Bankruptcy Rumors

Kerin Hope and Theodor Troev at The Financial Times report that
depositors began withdrawing cash from First Investment Bank
following a spate of SMS messages and posts on Bulgarian-language
websites warning the bank was poised to collapse.

According to the FT, Ivan Iskrov, governor of the Bulgarian
National Bank, said in a statement that FIB had been the target
of "rumors and ill-intentioned public statements".

The bank said it would open for business as usual today, June 30,
after paying out BGN800 million (US$560 million) to depositors
and shutting down its online banking services, the FT relates.

In the statement issued on Friday, the central bank, as cited by
the FT, said it would use "all the resources at its disposal to
safeguard people's savings."

FIB, listed on the Sofia stock exchange, has assets of more than
BGN8 billion, the FT discloses.

First Investment Bank is Bulgaria's third-largest commercial
lender.

LABEYRIE FINE: S&P Revises Outlook to Stable & Affirms 'B' CCR
--------------------------------------------------------------
Standard & Poor's Ratings Services revised its outlook on French
food processing group Labeyrie Fine Foods SAS to stable from
positive.

At the same time, S&P affirmed its 'B' long-term corporate credit
rating on Labeyrie and its 'B' issue rating on its EUR275 million
senior secured notes.  The '4' recovery rating on these notes is
unchanged, indicating S&P's expectation of average (30%-50%)
recovery in the event of payment default.

The outlook revision follows French equity sponsor PAI's
announcement that it will acquire a co-controlling stake in
Labeyrie.  Post transaction, S&P thinks Labeyrie's Standard &
Poor's adjusted debt to EBITDA will increase to about 5.4x,
including the payment-in-kind (PIK) notes to be issued at the new
holding company level.  S&P understands the PIK notes will be
used to repay the outstanding convertible bond at the Labeyrie
level. S&P no longer sees any clear deleveraging path to below
5x, hence its outlook change.  In addition, the new company plans
to issue a convertible bond that S&P would view as equity, in
accordance with its criteria.

The rating on Labeyrie reflects S&P's assessments of its "weak"
business risk profile and "highly leveraged" financial risk
profile.  Together, S&P's assessments lead it to apply an anchor
of 'b' to Labeyrie, the higher of two possible outcomes.  S&P
applies its 'b' anchor because it views the group's financial
risk profile at the upper end of its "highly leveraged" category.
The anchor is S&P's starting point for assigning an issuer credit
rating under its corporate criteria.  S&P's 'B' rating on the
group is the same as the anchor, taking into account its
modifiers, which have no impact on the rating.

S&P's assessment of Labeyrie's business risk profile incorporates
its views of the branded food industry's "low" risk and of the
group's "low" country risk because Labeyrie operates mainly in
France and the U.K.

S&P also factors in its opinion of the group's "weak" competitive
position, based on its view of Labeyrie's thinner operating
margin of about 8%, versus the industry average of 10%-20% for
food processing companies.  The weaker margin is due to:

   -- The group's generally high cost of sales, with expensive
      raw materials accounting for the bulk of the total; and

   -- The impact of private label revenues (53% of total revenues
      in 2013) on profitability.

"We note that the group has not significantly increased its
EBITDA in the past five years, despite new product launches.  In
our view, the main reason for this is the group's strong exposure
to raw material prices, mainly for cereals, salmon, and prawns,
which have risen markedly in recent years.  We note that the
magnitude of raw material price hikes (notably for salmon and
prawns) is substantial when compared with the group's absolute
EBITDA, and it could translate into a severe margin squeeze if
the group cannot pass the price increases on to retailers.  On
the upside, however, Labeyrie's operations show a very stable
track record of margins and earnings, with EBITDA of about
EUR58 million-EUR63 million in each of the past five years. In
the 12 months ended Dec. 31, 2013, the group's EBITDA reached the
EUR70 million mark, a notable 14% increase from the figure at the
end of fiscal 2013 (year ended June 30), thanks to a combination
of pricing recuperation, volumes and mix, and industrial
efficiencies.

Although Labeyrie is exposed to hikes in raw material prices,
with a peak of EUR31 million in fiscal 2011, it has demonstrated
more skill than its peers at passing these on to retailers,
albeit sometimes with a few months' delay.  This attests, to some
extent, to the strength of the group's brands, including some
that have leading market shares, such as Labeyrie and Blini.  The
group is also a leader in the U.K. market for smoked salmon and
prawns, but through private labels. For instance, it recently
clinched a large contract to distribute smoked fish via U.K. food
retailer Tesco.

S&P's assessment of Labeyrie's financial risk profile as "highly
leveraged" reflects the group's stretched financial metrics, with
estimated Standard & Poor's adjusted debt to EBITDA of about 5.4x
at the fiscal year end of June 30, 2014, after the new ownership
structure is in place.  This is still higher than the 5x
threshold that separates S&P's "aggressive" and "highly
leveraged" financial risk categories, as its criteria define the
terms.

S&P has revised its financial policy modifier to 'FS (financial
sponsor)-6' because the group is now co-controlled by a financial
sponsor.

S&P expects Labeyrie to continue to generate positive free and
discretionary cash flow, given it has indicated it will not pay
dividends in the coming three years.  S&P anticipates, however,
that deleveraging will only be gradual owing to the impact of
capitalization of the accrued interest on the PIK notes.  S&P's
other assumptions include:

   -- Annual sales growth of about 5% in 2013-2014, factoring in
      EUR45 million in price increases, which have already been
      passed on to retailers, and a more modest EUR2 million from
      volumes and mix.

   -- Slight margin improvement in 2014 from efficiency gains and
      price increases.

   -- EBITDA not materially different from the full-year EUR70
      million reported on Dec. 31, 2013.

   -- Relatively stable capital expenditures at about
      EUR25 million annually over 2014-2015.

   -- No bolt-on acquisitions or dividends.

Based on these assumptions, S&P arrives at the following credit
measures for Labeyrie:

   -- Discretionary cash flows at between EUR15 million and EUR25
      million each year.

   -- Debt to EBITDA to reach 6.5x by June 30, 2014 (5.5x without
      the convertible bond and PIK notes).

   -- Adjusted funds from operations cash interest coverage to
      remain above 4.0x.

The stable outlook reflects S&P's anticipation that Labeyrie will
continue to report resilient earnings and positive discretionary
cash flow, while maintaining adequate headroom on covenants and
passing on raw material price hikes to its customers.  S&P also
anticipates no negative impact from the group's solicitation of a
waiver from holders of the senior secured notes as a result of
the change of control.

S&P considers that any positive rating action on Labeyrie is
remote at this stage because it thinks its adjusted debt to
EBITDA will likely stand at about 5.4x on June 30, 2014, pro
forma the transaction, and that it is unlikely to fall below 5x
also because under S&P's criteria it do not factor in the cash
that will be generated, given the group's "weak" business risk
profile.  Some ratings upside could emerge if S&P revised upward
Labeyrie's business risk to "fair."  S&P don't consider this to
be a likely scenario, though, because it would imply, among other
factors, a marked and sustainable improvement in EBITDA, beyond
the group's improved performance over the 12 months ended Dec.
31, 2013. Although S&P has good visibility on current fiscal 2014
results because the month of December usually accounts for about
40% of annual earnings, a persistently inflationary environment
for fish and prawns could dent EBITDA in fiscal 2014 and 2015.

S&P could revise the outlook to negative if Labeyrie faced
operating setbacks that substantially eroded profitability.  This
could occur if inflationary conditions for raw materials persists
and continues to affect the group's cost of sales.  Also, an
unexpected return to shareholders, or deterioration in liquidity
could weigh negatively on the ratings.  S&P will also monitor the
change-of-control provision in the notes' documentation.  Any
unfavorable development regarding the waiver that Labeyrie has
requested from noteholders could have a negative impact on the
ratings if it squeezes the group's liquidity, although this isn't
S&P's base case.

VTB BANK: S&P Assigns 'BB-' Counterparty Rating; Outlook Stable
---------------------------------------------------------------
Standard & Poor's Ratings Services said that it had assigned its
'BB-' long-term and 'B' short-term counterparty credit ratings to
VTB Bank (Georgia).  The outlook is stable.

S&P bases its ratings on VTB Georgia, a strategically important
subsidiary of VTB Bank, on S&P's 'bb-' anchor for commercial
banks operating only in Georgia, VTB Georgia's "moderate"
business position, "moderate" capital and earnings, "weak" risk
position, "average" funding, and "adequate" liquidity, as S&P's
criteria define these terms.  The bank's stand-alone credit
profile (SACP) is at 'b-'.

VTB Georgia is 96% owned by the VTB group, which acquired the
stake in the bank in 2005 and maintained its presence in Georgia
even during the period of conflict between Russia and Georgia in
2008.  S&P believes that VTB Georgia is a strategically important
subsidiary of VTB Bank, which it considers is interested in
keeping and expanding its geographic footprint in Georgia, given
the Georgian economy's strong growth potential.  S&P has observed
a strong track record of capital and liquidity support to VTB
Georgia from its parent, including a US$6.5 million capital
injection in 2014.  Consequently, S&P incorporate three notches
of uplift for support from VTB into its long-term rating on VTB
Georgia.  At the same time, S&P has kept the rating at the level
of the 'BB-' long-term sovereign credit rating on Georgia.

S&P's assessment of VTB Georgia's business position as "moderate"
reflects its view on the bank's still-limited domestic market
share.  With total assets of Georgian lari (GEL) 833 million
(about US$504 million) the bank ranks No. 6 among Georgia-based
financial institutions, with a market share of less than 5%.  The
bank focuses on commercial banking for corporate (58% of the loan
book) and retail clients (42%).  S&P also believes VTB Georgia's
relatively small capital base limits its pricing power and
weakens its ability to compete with larger banks for high-quality
borrowers.

"We think that the bank's capital and earnings are "moderate,"
reflecting our expectation that its capitalization will likely
decrease, although we view the current level of earnings as
sustainable.  The bank's capitalization is moderate, as measured
by our risk-adjusted capital (RAC) ratio, which stood at 7.1% as
of Dec. 31, 2013.  We project this ratio to decline to 6.5%-6.7%
in the next 12-24 months as the bank's planned balance-sheet
expansion outpaces retained earnings growth.  For this forecast,
we factor in Tier 1 capital injections of GEL20 million this year
(including GEL11.6 million already received), and do not expect
VTB Georgia to pay any dividends this year.  However, in view of
past dividend payments, we believe that in 2015-2016 the bank is
likely to distribute some of its profit to its shareholders.  We
expect the net interest margin to remain at a relatively high
7.2%-7.5%.  In addition, we regard the bank's revenue mix as
positive: 65%-70% has historically come from interest income and
8%-10% from fees and commissions," S&P noted.

"Our assessment of the bank's risk position as "weak" mainly
reflects its weak credit loss history, high single-name loan and
industry concentrations, and significant proportion (about 70%)
of foreign currency lending, although broadly matched with
foreign currency liabilities and in line with the local market.
The 20 largest borrowers represented 31% of total loans and 1.7x
of equity as of Dec. 31, 2013.  We also believe VTB Georgia's
planned rapid expansion among retail clients and small and
midsize enterprises could be risky and lead to higher credit
costs. Nevertheless, we see several factors that mitigate risk,
including the reduction of nonperforming assets (which we define
as nonaccrual loans, loans overdue more than 90 days,
restructured loans, and repossessed collateral) to 12.6% of the
loan book in 2013 from the peak of 32.8% in 2009.  Although we
regard provisioning coverage for nonperforming assets as low, we
note that provisions covered loans overdue by more than 90 days
by 189% as of Dec. 31, 2013," S&P noted.

"We assess VTB Georgia's funding as 'average' and its liquidity
as 'adequate.'  Customer deposits remain the major funding source
for the bank and the 20 largest depositors represented about 36%
of the bank's liabilities as of Dec. 31, 2013, a moderately high
level of concentration, in our view.  The bank's loan-to-deposit
ratio was 91% on the same date, which is better than that of
domestic peers.  However, we think this metric may deteriorate
because the bank will likely use the excess liquidity to finance
loan growth.  However, we also think ongoing parental support
will likely offset the decline in liquidity.  In our view, the
maturity structure of VTB Georgia's funding is well balanced,
with short-term wholesale funding comprising 13% of total funding
and broad liquid assets covering liabilities by almost 2.6x," S&P
added.

The stable outlook reflects S&P's expectation that the risks of
VTB Georgia's planned rapid loan book expansion will be
counterbalanced by adequate profitability and ongoing parental
support.  In S&P's base-case scenario, it considers only organic
growth.

A positive rating action is currently remote, given that the
rating on VTB Georgia is at the level of the sovereign credit
rating and S&P believes the bank is unlikely to survive a
sovereign credit stress.  Therefore a sovereign upgrade is a
prerequisite for S&P to consider an upgrade of the bank.  S&P
might consider revising its assessment of the bank's SACP upward
if its business position improved significantly or nonperforming
assets decreased to less than 5% of the loan book.

S&P might consider a downgrade if it saw that the bank's relative
importance for its parent had declined, in particular, if VTB's
interest in continuing financial support for VTB Georgia
diminished.  A deterioration of the sovereign's creditworthiness,
resulting, for example, from weaker economic growth than S&P
expects, a worsening financial position, or rising imbalances,
could also lead to a negative rating action on the bank.

PAPAI HUS: To Pay Creditors Following MFB Loan
----------------------------------------------
MTI-Econews reports that Papai Hus 2013 will pay its creditors by
the end of June after receiving HUF4.2 billion in loans from the
state-owned Hungarian Development Bank (MFB) pursuant to a
contract signed on June 25.

Mayor Tamas Aldozo of Papa said Papai Hus received a HUF3.7
billion investment loan and a HUF500 million working-capital loan
from MFB, MTI-Econews relates.

Papai Hus 1913 applied for bankruptcy protection in July 2013,
MTI-Econews recounts.  The company reached an agreement with its
creditors in January 2014, MTI-Econews relays.

Papai Hus is a Hungarian meat company.

The Carlyle Group LP). The transaction features a four-year
reinvestment period.

Key Rating Drivers

Portfolio Credit Quality
Fitch assesses the average credit quality of obligors as being in
the 'B' category. Fitch has public ratings or credit opinions on
53 of the 54 obligors in the identified portfolio. The Weighted
Average Rating Factor of the identified portfolio, which
represents 69% of the target par amount, is 32.87.

High Expected Recoveries
At least 90% of the portfolio comprises senior secured
obligations. Recovery prospects for these assets are typically
more favorable than for second-lien, unsecured and mezzanine
assets. Fitch has assigned Recovery Ratings to 53 of the 54
obligations in the identified portfolio. The Weighted Average
Recovery Rate of the identified portfolio is 68.7%.

Limited Interest Rate Risk
Interest rate risk is naturally hedged for most of the portfolio,
as 97% of notes and a minimum of 90% of assets must be floating-
rate. As the fixed-rate notes are junior in the transaction's
structure, the proportion of fixed-rate liabilities increases as
the class A-1 notes amortize. Fitch modelled both a 10% and a 0%
bucket of fixed-rate paying assets in its analysis, and the rated
notes can withstand the interest rate mismatch associated with
both scenarios.

Limited FX Risk
Perfect asset swaps are used to mitigate currency risk on non-
euro-denominated assets. The transaction is permitted to invest
up to 30% of the portfolio in non-euro-denominated assets,
provided suitable asset swaps can be entered into.

RATING SENSITIVITIES

A 25% increase in the obligor default probability would lead to a
downgrade of up to four notches for the rated notes. A 25%
reduction in recovery rates would lead to a downgrade of up to
four notches for the rated notes.

Document Amendments
The transaction documents may be amended subject to rating agency
confirmation or noteholder approval. Where rating agency
confirmation relates to risk factors, Fitch will analyze the
proposed change and may provide a rating action commentary if the
change has a negative impact on the then current ratings. Such
amendments may delay the repayment of the notes as long as
Fitch's analysis confirms the expected repayment of principal at
the legal final maturity.

If in the agency's opinion the amendment is risk-neutral from a
rating perspective, Fitch may decline to comment. Noteholders
should be aware that the structure considers the confirmation to
be given if Fitch declines to comment.

a transaction and associated documentation, Moody's will endeavor

Ratings Rationale

Moody's provisional rating of the rated notes addresses the
expected loss posed to noteholders by legal final maturity of the
notes in 2027. The provisional ratings reflect the risks due to
defaults on the underlying portfolio of loans given the
characteristics and eligibility criteria of the constituent
assets, the relevant portfolio tests and covenants as well as the
transaction's capital and legal structure. Furthermore, Moody's
is of the opinion that the collateral manager, Blackstone / GSO
Debt Funds Management Europe Limited, has sufficient experience
and operational capacity and is capable of managing this CLO.

Phoenix Park CLO Limited is a managed cash flow CLO. At least 90%
of the portfolio must consist of secured senior obligations and
up to 10% of the portfolio may consist of unsecured senior loans,
second lien loans, mezzanine obligations, high yield bonds and/or
first lien last out loans. The portfolio is expected to be 60%
ramped up as of the closing date and to be comprised
predominantly of corporate loans to obligors domiciled in Western
Europe. This initial portfolio will be acquired by way of
participations which are required to be elevated as soon as
reasonably practicable. The remainder of the portfolio will be
acquired during the six month ramp-up period in compliance with
the portfolio guidelines.

Blackstone / GSO Debt Funds Management Europe Limited will manage
the CLO. It will direct the selection, acquisition and
disposition of collateral on behalf of the Issuer and may engage
in trading activity, including discretionary trading, during the
transaction's four-year reinvestment period. Thereafter,
purchases are permitted using principal proceeds from unscheduled
principal payments and proceeds from sales of credit improved and
credit impaired obligations, and are subject to certain
restrictions.

In addition to the six classes of notes rated by Moody's, the
Issuer will issue EUR 45,250,000 of subordinated notes. Moody's
has not assigned rating to this class of notes.

The transaction incorporates interest and par coverage tests
which, if triggered, divert interest and principal proceeds to
pay down the notes in order of seniority.

Loss and Cash Flow Analysis:

Moody's modeled the transaction using CDOEdge, a cash flow model
based on the Binomial Expansion Technique, as described in
Section 2.3 of the "Moody's Global Approach to Rating
Collateralized Loan Obligations" rating methodology published in
February 2014. The cash flow model evaluates all default
scenarios that are then weighted considering the probabilities of
the binomial distribution assumed for the portfolio default rate.
In each default scenario, the corresponding loss for each class
of notes is calculated given the incoming cash flows from the
assets and the outgoing payments to third parties and
noteholders. Therefore, the expected loss or EL for each tranche
is the sum product of (i) the probability of occurrence of each
default scenario and (ii) the loss derived from the cash flow
model in each default scenario for each tranche.

Moody's used the following base-case modeling assumptions:

SALINI IMPREGILO: Fitch Affirms 'BB' LT Issuer Default Rating
-------------------------------------------------------------
Fitch Ratings has affirmed Salini Impregilo S.p.A.'s Long-term
Issuer Default Rating (IDR) and senior unsecured rating at 'BB'
and removed them from Rating Watch Negative (RWN). The Outlook on
the IDR is Stable.

The rating actions reflect Fitch's view that there has been a
satisfactory dispute resolution on the underperforming Panama
Canal project and positive de-leveraging events during 1H14 that
leave Salini with adequate rating headroom.

Salini has maintained solid deleveraging in 2014 thanks to a
capital increase, which has led to an improved shareholder
structure and continued execution of non-core divestments
following the debt-funded merger between Impregilo and Salini.
Fitch expects FFO adjusted net leverage to fall below 2.0x into
2015.

Key Rating Drivers

Positive Business Strategy
The integration of Salini and Impregilo into a newly formed
listed entity with revenues of EUR3.9 billion for FY13 ranks
among the top 15 European engineering and construction (E&C)
players providing the scale and know-how to compete on worldwide
large projects. Fitch views the operating business profile as
commensurate with a solid 'BB' category E&C issuer.

Although still smaller than some competitors, the group is highly
specialized in complex high value-added segments (i.e. hydro-
electric plants, metro, railways) offering higher margins.
Geographical diversification is strong for the rating with
presence in 50 countries worldwide and a well balanced mix
between mature and emerging markets. During 1H14 Salini completed
a capital increase with its parent company, Salini Costruttori,
decreasing its stake to 60% from 89% with an unwinding of
intercompany loans. Integration risks are now limited following
18 months that included debt and equity raising and material
divestments of non-core assets.

Large Liquidity Buffer
Salini has traditionally met its liquidity needs by holding
significant amounts of cash on balance sheet and maintaining open
cash overdraft lines. Following the debut high-yield bond
issuance in 2013 and diversifying of funding away from bank debt,
Salini entered into a committed revolving credit facility for
EUR100 million to more efficiently manage its liquidity, which
remains undrawn. At the end of 2013, cash and cash equivalents on
balance sheet amounted to EUR1,133 million. Fitch assumes that
around EUR370 million of this cash is operationally trapped and
linked to fund working capital at the project level in foreign
subsidiaries. This leaves readily available cash of EUR763
million.

Sound Deleveraging Profile
Fitch expect ongoing deleverage into 2014 and 2015 driven by a
combination of EBITDA growth largely covered by the existing
backlog and already executed transactions during 2014. During
1H14 Salini completed a capital increase with a EUR165 million
cash injection, a further EUR100 million in divestment proceeds
and a cash inflow of EUR148 from repayment of intercompany loans
with the parent company Salini Costruttori. Fitch expects FFO
adjusted net leverage to decrease to below 2.0x in FY15 from 2.6x
in FY14. The outlook for the sector is positive, particularly in
emerging markets where there is a structural demand for Salini's
project capabilities.

Strong Order Book
The group is not diversified into the more stable service and
concession businesses, like some of its major peers. However, the
solid construction order backlog (EUR21 billion at FY13)
increases visibility of future revenues and is highly
geographically diversified. One-third of the backlog corresponds
to Italy with the remaining share spread across many developed
and emerging markets. The backlog corresponds to 5.6x annual
revenue, the highest value among Fitch-rated construction
companies. However, the top 10 contracts represent around 50% of
the total backlog. Fitch would view positively a decrease in
concentration of the top 10 contracts. The greater concentration
to larger projects than peers underlines the importance for
strong project risk management. The long duration of some
contracts in the metro and dam segments (up to seven years)
offers a recurring revenue profile similar to the service
segment.

Under-Performing Contracts
In 1Q14, the Panama Canal contract dispute escalated and Fitch
placed Salini on RWN. All parties have since reached and signed
an agreement to complete the project. As at March 31, 2014, the
project was 75% complete. Furthermore, in recognition of the
dispute resolution Salini's auditors maintained the current cost
overrun provision and this cost has been fully provided. Fitch
recognizes that this project was originally tendered for by
Impregilo and is therefore considered a legacy issue, with Salini
having a good track record of project risk management. Fitch
takes comfort that there are no further large losses on other
large contracts, that Salini's management have been proactive in
resolving this dispute and that the greater dimension of the
group has diversified the risk profile of the combined companies.
Salini's cost overruns are limited to their 38% share in the
consortium.

Rating Sensitivities:

Negative: Future developments that could lead to negative rating
action include:

- Liquidity below 1.0x on a sustained basis.
- FFO adjusted net leverage above 2.5x on a sustained basis.
- Weak performance on major contracts with a material impact on

ARDAGH PACKAGING: S&P Assigns 'B+' Rating to EUR1,155MM Sr. Notes

Standard & Poor's Ratings Services said that it assigned its 'B+'
issue rating to the proposed EUR1,155 million senior secured
notes and US$1,110 million senior secured floating rate notes due
2022 and 2019 to be issued by Luxembourg-based Ardagh Packaging
Finance and Ardagh Holdings USA, respectively, both subsidiaries
of Luxembourg-based glass container and metal packaging
manufacturer Ardagh Packaging Group Ltd. (Ardagh Packaging;
B/Stable/--).  S&P assigned a recovery rating of '2' to the
proposed notes, indicating its expectation of substantial
(70%-90%) recovery in the event of a payment default.

S&P also assigned a 'CCC+' issue rating to the proposed US$440
million senior notes due 2021.  S&P assigned a recovery rating of
'6' to the proposed notes, indicating its expectation of
negligible (0%-10%) recovery in the event of a payment default.

The issue and recovery ratings on the proposed senior secured and
senior notes are based on preliminary information and are subject
to the successful issuance of these notes and S&P's satisfactory
review of the final documentation.

S&P understands that the proceeds of the proposed debt issuances
will be used to repay in full the EUR1,090 million and US$870
million US$7.375% senior secured notes due 2017, US$500 million
and EUR130 million under the Term Loan B tranches, and EUR310
million 7.125% senior unsecured notes due 2017.

At the same time, S&P affirmed its 'B+' issue and '2' recovery
ratings on the senior secured Term Loan B and its 'CCC+' issue
and '6' recovery ratings on the remaining senior unsecured and
subordinated notes.

RECOVERY ANALYSIS

S&P understands that the proposed senior secured notes will rank
pari passu with the existing senior secured Term Loan B and have
the same security package, consisting of security interests on
receivables, inventory, some land charges, and share pledges.
Additionally, the senior secured notes will benefit from the same
guarantees as the Term Loan B that is from Ardagh Packaging
Holdings Ltd. and certain subsidiaries.  The senior notes will be
contractually and structurally subordinated to the secured notes
and Term Loan B.

S&P understands that the documentation of the proposed notes will
include restrictions on the incurrence of additional debt
(subject to a minimum 2.0x fixed-charge coverage incurrence
covenant), restrictions on payments, restrictions on liens, as
well as change-of-control provisions.

S&P's simulated default scenario projects a payment default in
2017, triggered by a combination of factors, including higher
integration costs for acquired businesses than the group expects,
and weaker overall operating performance.  S&P's scenario also
envisages declining demand caused by increased product
substitution, leading to lower capacity utilization.  In
addition, S&P's scenario assumes squeezed margins as a result of
increasing costs, particularly energy prices, paired with an
inability to pass these increases on to customers.

FAB CBO 2005-1: S&P Lowers Rating on Class A2 Notes to 'B+'
-----------------------------------------------------------
Standard & Poor's Ratings Services lowered to 'BBB+ (sf)' from
'A- (sf)' its rating on FAB CBO 2005-1 B.V.'s class A1 notes, and
to 'B+ (sf)' from 'BB+ (sf)' its rating on the class A2 notes.

The rating actions follow S&P's credit and cash flow analysis of
the transaction using data from the note valuation trustee report
dated April 25, 2014, and the application of S&P's relevant
criteria.

"We conducted our cash flow analysis to determine the break-even
default rate (BDR) for each rated class of notes.  The BDR
represents our estimate of the maximum level of gross defaults,
based on our stress assumptions, that a tranche can withstand and
still fully repay the noteholders.  We used the portfolio balance
that we consider to be performing, the reported weighted-average
spread, and the weighted-average recovery rates that we
considered to be appropriate.  We incorporated various cash flow
stress scenarios using our shortened and additional default
patterns and levels for each rating category assumed for each
class of notes, combined with different interest stress scenarios
as outlined in our criteria," S&P said.

The transaction's reinvestment period ended in May 2009.  Since
S&P's previous review, the class A1 notes have amortized by
approximately EUR61.16 million.  Just over 23% of the class A1
notes' original principal balance remains outstanding.  As a
result of the senior notes' deleveraging, the available credit
enhancement has increased for both the class A1 and A2 notes.

However, defaulted assets (rated 'CC', 'C', 'SD' [selective
default], or 'D') in the collateral pool have increased to
EUR14.4 million (equivalent to 9.95% of the current portfolio
balance) from EUR6.5 million (3.21% of the performing portfolio
balance in our 2012 review) over the same period.  At the same
time, the collateral coverage test continues to breach its
required triggers, similar to what S&P observed in its August
2012 review, and the results of the test are lower than in S&P's
previous review.

The transaction's overall credit quality has declined since S&P's
August 2012 review.  In particular, the current portfolio has a
higher concentration of 'B' and 'CCC' category rated assets, in
S&P's view.  For example, S&P's analysis indicates that assets
that it considers to be rated in the 'CCC' category ('CCC+',
'CCC', and 'CCC-') have increased by approximately EUR11.5
million since S&P's August 2012 review.  Altogether, 'CCC'
category rated assets account for just over one quarter of the
portfolio's current performing balance.

S&P's credit analysis indicates that its scenario default rates
(SDRs) -- the minimum level of portfolio defaults S&P expects
each collateralized debt obligation (CDO) tranche to be able to
support the specific rating level using Standard & Poor's CDO
Evaluator -- have increased at all rating levels since its 2012
review.  S&P's credit and cash flow analysis therefore shows that
the current BDRs are no longer able to sustain SDRs at the
previous rating levels.  S&P has therefore lowered to 'BBB+ (sf)'
from 'A- (sf)' its rating on the class A1 notes and to 'B+ (sf)'
from 'BB+ (sf)' our rating on the class A2 notes.

FAB CBO 2005-1 is a cash flow mezzanine structured finance CDO

Key Rating Drivers

Concentrated Counterparty Exposure
This transaction relies strongly on the creditworthiness of
Rabobank (AA-/Negative/F1+'), whose role in the transaction
ranges from collection account bank, issuer account bank, cash
advance facility provider to commingling guarantor. In addition,
it acts as a back-up swap counterparty.

NHG Loans

The portfolio comprises 32.7% of loans that benefit from the
national mortgage guarantee scheme (Nationale Hypotheek Garantie
or NHG). No reduction in foreclosure frequency for the NHG loans
was applied since historical data provided did not show a clear
pattern of lower defaults for this portion of the portfolio.
Fitch was also provided with data on historical claims, which
enabled the agency to determine a compliance ratio assumption.
The agency also reviewed the transaction without giving any
credit to the NHG loans and found the ratings on the class A
notes to be identical.

Standard Portfolio Characteristics
The portfolio is 52 months seasoned and consists of prime
residential mortgage loans, with a weighted average (WA) original
loan-to-market-value (OLTMV) of 88.9% and a WA debt-to-income
ratio (DTI) of 29.6%, both of which are typical for Fitch-rated
Dutch RMBS transactions. The purchase of further advances into
the pool is allowed after closing, subject to certain conditions.

Robust Performance
Past performance of transactions in the STORM series as well as
data received on Obvion's loan book indicate good historical
performance in terms of low arrears and limited losses. Loans
that are 90+ days in arrears on Obvion's mortgage book have
increased to 0.8% at end-March 2014 from 0.3% at end-September
2011. While high relative to historical levels, arrears remain
low in absolute terms.

Rating Sensitivities

Material increases in the frequency of defaults and loss severity
on defaulted receivables could produce loss levels higher than
Fitch's expectations, which in turn may result in potential
rating actions on the notes. Stressing our 'AAAsf' assumptions by
30% for both weighted average foreclosure frequency and recovery
rate could result in a downgrade of the class A notes to 'Asf'.

For its ratings analysis, Fitch received a data template with all
fields fully completed.

Fitch reviewed the results of an agreed-upon procedures report
(AUP) conducted on the portfolio. The AUP contained no material
errors that would affect Fitch's ratings analysis.

To analyze credit enhancement levels, Fitch evaluated the
collateral using its default model, details of which can be found
in the reports entitled 'EMEA Residential Mortgage Loss
Criteria', dated May 28, 2014, 'EMEA RMBS Criteria Addendum -
Netherlands', dated June 3, 2014, at www.fitchratings.com. The
agency assessed the transaction cash flows using default and loss
severity assumptions under various structural stresses including
prepayment speeds and interest rate scenarios. The cash flow
tests showed that each class of notes could withstand loan losses
at a level corresponding to the related stress scenario without
incurring any principal loss or interest shortfall and can retire
principal by the legal final maturity.

UC RUSAL: Seeks Court Approval for "Scheme of Arrangement"
----------------------------------------------------------
Jack Farchy at The Financial Times reports that Rusal is seeking
court approval to force through its debt restructuring after
failing to win unanimous backing from its creditors.

According to the FT, people familiar with the matter said the
lenders blocking the restructuring of the Russian aluminium
group's US$10 billion debt pile are Royal Bank of Scotland, which
is 80% owned by the UK government, and Portigon, a group tasked
with winding up the assets of Germany's WestLB.

Rusal, controlled by Oleg Deripaska, has been negotiating with
creditors since last year to change the terms of its debts, as
its profitability is weighed down by years of low aluminium
prices, the FT discloses.  While its Russian lenders have
approved the restructuring, it has failed to achieve unanimous
support for changes in the terms of about US$5.2 billion in
credit lines from international banks, the FT notes.

On Friday, the world's largest aluminium producer said it had
applied to courts in the UK and Jersey to implement a "scheme of
arrangement" that would force through the restructuring even
without the support of all its lenders, the FT relates.  It said
94% of the syndicate of lenders had approved the restructuring
deal, according to the FT.

Oleg Mukhamedshin, director of financial markets at Rusal, said
he was frustrated that two banks were holding up the deal, the FT
relays.

A majority of Rusal's banks have approved an extension to a
so-called "forbearance" agreement first signed in April, allowing
the company to avoid default while it continues negotiations over
the restructuring, the FT recounts.

Mr. Mukhamedshin, as cited by the FT, said Rusal's other lenders

SERBIA: New PM Pushes for Economic Reforms to Avert Bankruptcy
--------------------------------------------------------------
Camilla Turner at The Telegraph reports that Aleksandar Vucic,
Serbia's new prime minister, has warned the country could go
bankrupt within a year and end up "in the position of Greece".

According to The Telegraph, Mr. Vucic, who was sworn in on
April 27, said unless he passes his deeply unpopular package of
fiscal consolidation and economic reforms in the next few months,
the country will go bust and will be further away from its
European Union dreams than ever.

In order to convince EU chiefs that Serbia is worthy of EU
accession, Mr. Vucic must take radical steps to overhaul its
flailing economy, The Telegraph says.  These include reining in
the public sector, reforming the over-stretched pension system
and cutting subsidies to loss making state-owned companies, The
Telegraph discloses.

Mr. Vucic's proposed reforms include a law to liberalize the
labor market, which has been staunchly opposed by unions, The
Telegraph notes.

The government is also rushing through a law on privatization,
under which 584 state-owned companies will either be privatized
or liquidated by the end of 2016, The Telegraph relays.

CAJA LABORAL: Fitch Affirms 'BB' Support Rating Floor
-----------------------------------------------------
Fitch Ratings has upgraded Caja Laboral Popular, Cooperativa de
Credito's (Laboral Kutxa) and Caja Rural de Navarra, Sociedad
Cooperativa de Credito's (CRN) Long-term Issuer Default Ratings
(IDR) to 'BBB+' from 'BBB' with Stable Outlooks and Viability
Ratings (VR) to 'bbb+' from 'bbb'. The Short-term IDRs have been
upgraded to 'F2' from 'F3'. At the same time, the agency has
affirmed the two cooperative banks' Support Ratings (SR) at '3'
and Support Rating Floors (SRF) at 'BB'.

Key Rating Drivers - IDRS AND VRS

Laboral Kutxa and CRN's IDRs are driven by their standalone
creditworthiness, as reflected by their VRs. Fitch upgraded
Spain's sovereign rating on April 25, 2014. The banks mainly
operate in regions of Spain that have weathered the country's
deep economic, real estate and financial crisis better than
others: the Basque Country for Laboral Kutxa and Navarra for CRN.
These regions have lower unemployment rates (17% compared with a
26% national average) and GDP per capital ratios that are also
above the national average. Risk appetite at the two banks is
below the banking sector average, particularly at CRN, reflecting
their prudent stance towards risks during the booming years of
Spain's economy.

CRN's asset quality indicators are among the best in Spain. It
reported an impaired loans/total loans ratio of 5.2% at end-2013
(6.5% including foreclosed assets), reserved at 80%. This is
better than the domestic system's impaired loans ratio of around
14%. Laboral Kutxa holds a portfolio of troubled exposures to the
real estate development sector that undermine asset quality.
However, its impaired loans/total loans figures are better than
the sector average (9.5% at end-2013, rising to 11.3% if
foreclosed assets are included). Loan loss reserve cover reached
60%.

Fitch expects the asset quality at both banks to improve as the
economy in their home regions and Spain generally continues to
recover.

The banks' VRs are also supported by their healthy capitalization
and leverage ratios. The Fitch core capital (FCC)/weighted assets
ratios of CRN and Laboral Kutxa reached 13.8% and 12.2%,
respectively, at end-2013, while the leverage ratios were 8.3%
and 6.4%. This, combined with robust loan loss reserve coverage,
provides reasonable buffers against stressed losses.

Laboral Kutxa and CRN are primarily funded by stable customer
deposits, which have displayed steady growth over the past few
years. The banks report net loan-to-deposit ratios of around
100%, which indicates a far lower reliance on market funding than
other Spanish banks. Wholesale funding is limited and both banks
have large liquidity buffers.

Like other Spanish banks, CRN and Laboral Kutxa face the
challenge of improving their weak core profitability. Fitch
expects profitability to marginally improve in 2014, driven by
lower deposit costs and either a stabilization or progressive
decline in loan impairment charges. This could relieve pressure
on margins. Low margins are likely to continue due to low
interest rates and muted business volumes. Both banks also need
to offset reduced revenues from carry trade income generated
through the ECB's LTRO program, which will end in 2015.

Rating Sensitivities - IDRS and VRS
The Stable Outlooks reflect Fitch's expectation that Laboral
Kutxa's and CRN's overall financial and credit profile will
remain stable.

Should Spain's macroeconomic indicators improve, there is scope
for limited upside rating potential for both entities. However, a
sovereign upgrade would not automatically result in an upgrade of
the banks' ratings. An upgrade of Laboral Kutxa's ratings would
likely be contingent on further improvements in asset quality,
particularly in managing down problematic real estate assets, and
boosting profitability. An upgrade of CRN's ratings would be
contingent on a sovereign upgrade accompanied by an improvement
in core banking profitability. Any upside rating potential would
only be possible if the banks' capitalization and loss absorption
buffers remained strong.

While currently not expected by Fitch, potential drivers for a
downgrade would include a downgrade of Spain's sovereign rating
and marked asset quality deterioration, which could put
significant pressure on earnings and capital.

Key Rating Drivers and Sensitivites -Support Rating and Support
Rating Floor

Laboral Kutxa's and CRN's SR of '3' and SRF of 'BB' reflect
Fitch's view that there is a moderate likelihood of support for
the banks from the authorities, if needed. This is because the
banks' regional importance is considered strong. The SR and SRF
are sensitive to a weakening of the assumptions around Spain's
ability and propensity to provide timely support to the banks. Of
these, the greatest sensitivity is to progress made in
implementing the Bank Recovery and Resolution Directive (BRRD)
and Single Resolution Mechanism (SRM). Fitch expects to downgrade
Laboral Kutxa's and CRN's SR to '5' and revise its SRF to 'No
Floor' either during 2014 or 1H15. Timing will be influenced by
progress made on bank resolution legislation.

PYMES SANTANDER 8: Moody's Affirms 'Ca' Rating on Serie C Notes
---------------------------------------------------------------
Moody's Investors Service has downgraded the rating of one class
of notes issued by FTA PYMES Santander 8. This action is driven
by a correction to an input of the quantitative tools that
Moody's used as part of its analysis to rate this transaction.

Ratings Rationale

The action results from a correction that Moody's has made to the
amortization profile used in its analysis. Moody's also corrected
the default probability distribution's coefficient of variation
(CoV), whose calculation also utilizes portfolio amortization
data. At the same time, Moody's has lowered its cumulative
default probability assumption based on the final poolcut data
provided as of closing. The combined effect of both the input
correction and the revised assumptions has been to reduce the
expected loss (EL) of all notes, but also their weighted average
life (WAL). In particular, for Class A notes the effect of the
WAL reduction is greater than the EL reduction, resulting in a
lower rating. The rating actions reflect these changes.

As part of this review, Moody's updated its cumulative default
probability assumption to 8.88% from 9.13% based on updated pool
information, with the final poolcut data provided as of closing.
Moody's also updated the CoV of its assumed default probability
distribution to 53.9%. The rating agency has kept its original
assumption of stochastic recoveries unchanged with a mean
recovery rate of 35% and a standard deviation of 20%, as well as
its prepayments rate assumption of 10% per year.

Factors that would lead to an upgrade or downgrade of the rating:

Factors or circumstances that could lead to a downgrade of the
rating affected by the action would be (1) worse-than-expected
performance of the underlying collateral; or (2) an increase in
counterparty risk, such as a downgrade of the rating of Banco
Santander S.A. (Spain) (rated Baa1/P-2) which acts as originator,
servicer, accounts holder and liquidity line provider of the
transaction.

Factors or circumstances that could lead to an upgrade of the
rating affected by the action would be the better-than-expected
performance of the underlying assets and a decline in
counterparty risk.

The principal methodology used in this rating was "Moody's Global
Approach to Rating SME Balance Sheet Securitizations" published
in January 2014.


SANTANDER EMPRESAS 1: Fitch Affirms CCC Rating on Class D Notes
---------------------------------------------------------------
Fitch Ratings has affirmed FTA Santander Empresas 1, as follows:

Class C (ISIN ES0 382041038): affirmed at 'AA+sf'; Outlook Stable
Class D (ISIN ES0382041046): affirmed at 'CCCsf'; RE 80%

FTA Santander Empresas 1 is a cash flow SME CLO originated by
Banco Santander S.A. (Banco Santander; A-/Stable/F2). At closing,
the issuer used the note proceeds to purchase a EUR3.1 billion
static portfolio of secured and unsecured loans granted to
Spanish small and medium enterprises and self-employed
individuals. The transaction is managed by Santander de
Titulizacion, S.G.F.T., S.A.

Key Rating Drivers

The rating affirmation reflects an increase in credit enhancement
(CE) offsetting deterioration in the underlying portfolio over
the last 12 months. CE has built up due to the deleveraging of
the underlying portfolio. During this period the class B notes
were paid in full and the class C notes were paid down by EUR31.1
million. CE for the class C notes increased to 82.6% from 64.6%,
and for the class D notes to 10.1% from 7.6%.

Over the past year, the level of loans delinquent by over 90 days
increased to 4.8% of the outstanding portfolio balance from 4.4%
in May 2013. Also delinquencies of over 180 days increased to
4.7% from 3.5%. Defaulted loans, defined as loans in arrears for
more than 18 months, represent 4.2% of the current portfolio
balance. The reserve fund remains underfunded at EUR23.9 million
versus a required level of EUR27.9 million.

The rating of the class D notes reflects the vulnerability of the
notes to further deterioration in the transaction's performance
and to large obligor default, and the lack of visibility in
recovery prospects. The largest obligor in the portfolio
represents 4.3% and the 10 largest obligors aggregate 19.7% of
the portfolio balance. No recovery data or collateral type was
reported for the portfolio.

The class C notes' rating is limited by the highest achievable
rating for Spanish structured finance transactions of 'AA+sf',
six notches above the sovereign's rating of Spain
(BBB+/Stable/F2).

Rating Sensitivities
Applying a 1.25x default rate multiplier or a 0.75x recovery rate
multiplier to all assets in the portfolio would not result in a
downgrade of the notes.

BANK FINANCE: Moody's Affirms 'Ca' Foreign Curr. Deposit Rating
---------------------------------------------------------------
Moody's Investors Service has affirmed Bank Finance and Credit's
Caa3 long-term global local currency deposit rating, and the Ca
long-term global foreign-currency deposit rating with a negative
outlook. At the same time, Moody's affirmed Bank Finance and
Credit's standalone bank financial strength rating (BFSR) of E,
which is now equivalent to a baseline credit assessment (BCA) of
caa3 (formerly ca). The rating agency also affirmed the bank's
Not-Prime short-term local- and foreign-currency deposit ratings
and Caa3.ua National Scale Rating (NSR). The bank's BFSR and the
NSR carries no specific outlook.

Moody's affirmation of Bank Finance and Credit's ratings is
primarily based on the bank's audited financial statements for
2013, prepared under IFRS.

Ratings Rationale

Moody's says that the realignment of Bank Finance and Credit's
BCA to caa3 from ca reflects the fact that the bank currently
meets all obligations to local and international creditors and
depositors following conclusion of the Eurobond restructuring in
January 2014. At the same time, the affirmation of the bank's
global scale ratings along with a negative outlook reflects (1)
its volatile funding and liquidity profile; (2) low capital
flexibility, which is currently suppressed by high related-party
and single-name concentrations; and (3) weak recurring
profitability and efficiency metrics. The rating agency notes
that the bank's credit profile faces challenges from negative
credit conditions in Ukraine, characterized by sharp GDP
contraction and local-currency depreciation, which are likely to
result in new credit losses that erode already weak capital and
profitability metrics.

Moody's views the terms of the Eurobond restructuring conducted
by the bank, which aims to extend maturity from 2014 to 2019, as
a distress-exchange, resulting in losses for bondholders. Bank
Finance and Credit concluded the transaction in January 2014, and
the bank now has no refinancing risks until the renegotiated
maturity in 2019. However, the bank's funding profile is
vulnerable to local depositors' confidence. Against the
background of social and political tensions and a near 30% local
currency depreciation, the bank lost around 5% of its deposits in
Q1 2014. The outflow was compensated by liquidity lines from the
regulator -- National Bank of Ukraine (NBU), which represented
around 20% of the bank's non-equity funding as of April 1, 2014.

Bank Finance and Credit's capital profile was historically weak.
With the total regulatory capital adequacy ratio as low as 11%
(compared with system aggregate of 18.3%) as of January 1, 2014,
the bank allocated around 420% of its Tier 1 capital to top-20
credit exposures, which, in Moody's view, are mainly represented
by related borrowers. Moody's expects the bank's asset quality to
deteriorate in 2014, thus exposing the bank to the risks of
severe capital depletion.

The rating agency believes that Bank Finance and Credit's
business model lacks efficiency. The bank has limited
opportunities to reallocate funding costs to affiliate borrowers,
therefore it reported a low 1.2% net interest margin in 2013
(compared with 4.5% sector average). In addition, the necessity
to maintain a deposit-collection branch network prompts high
operating expenses, resulting in a cost-to-income ratio of around
100% in 2013. The bank displays weak internal capital generation
and will not be able to absorb expected credit losses without
external capital support.

Moody's notes that Bank Finance and Credit's core shareholder --
Mr. Konstantin Zhevago -- committed to inject UAH1.3 billion
(US$110 million) in 2014, and in Q1 2014, the bank received a
UAH500 million injection of Tier 1 capital. The shareholder's
commitment to support the bank is one of the core factors
supporting the ratings.

What Could Move The Ratings Up/Down

Moody's says that the negative outlook on Bank Finance and
Credit's Caa3 ratings could be changed to stable if Ukrainian
government's creditworthiness demonstrates stabilization;
currently the Caa3 sovereign debt rating carries a negative
outlook. Simultaneously, the bank would need to demonstrate (1)
an ability to stabilize its funding and liquidity profile; (2)
reduced dependence on NBU funding; and (3) an improvement in
bottom-line profitability, thus strengthening its capital
profile -- which would include a decrease in concentrations
levels.

Downward pressure could be exerted on Bank Finance and Credit's
ratings by any material adverse changes in the bank's risk
profile, particularly (1) any deterioration of the loan book
quality beyond Moody's current expectations; (2) lack of progress
in improving profitability metrics; and/or (3) material weakening
of the capital buffer to a level insufficient to absorb losses
expected under Moody's scenario analysis.

The principal methodology used in this rating was Global Banks
published in May 2013.

PUNCH TAVERNS: Nears GBP2.3 Billion Restructuring Deal
------------------------------------------------------
Duncan Robinson at The Financial Times reports that Punch Taverns
is on the brink of a GBP2.3 billion restructuring deal after it
reached an agreement with its biggest group of bondholders.

According to the FT, a deal has been reached between the pub
group and a special committee set up by the Association of
British Insurers -- which represents blue-chip investors such as
M&G and Aviva in the dispute -- meaning that Punch has nearly
enough support to go ahead with a restructuring.

Punch now has nearly 60% of bondholders signed up for a deal,
which requires the support of 75% in each tranche of debt,
putting an end to the four year process within sight, the FT
discloses.

The new deal is "broadly similar" to the one announced in May,
giving bondholders about 85% of the restructured company, the FT
states.  According to the FT, on top of this, Punch's net debt
would be cut by about a quarter.

Under the proposal, the restructuring will be launched by
August 11, the FT notes.

Punch Taverns plc is a United Kingdom-based pub company.  The
Company is engaged in the operation of public houses under either
the leased model or as directly managed by the Company.  The
Company operates in two business segments: punch partnerships, a
leased estate and punch pub company, a managed estate.

the prior week we think are reliable.  Those sources may not,
however, be complete or accurate.  The Monday Bond Pricing table
is compiled on the Friday prior to publication.  Prices reported
are not intended to reflect actual trades.  Prices for actual
trades are probably different.  Our objective is to share
information, not make markets in publicly traded securities.

determined by more than a balance sheet solvency test.
