PILSEN STEEL: Fulfills Reorganization Plan, Plzen Court Says

ANSA reports that Pilsen Steel's owner Igor Samis, citing the
regional court in Plzen, said the company, which had debts over
CZK5 billion and averted bankruptcy last year, has fulfilled its
reorganization plan.
Pilsen Steel has satisfied creditors' claims worth CZK50 million,
ANSA discloses. According to ANSA, it was provided the money by
VEB Capital, a subsidiary of Russian bank Vnesheconombank. The
company can thus return to a routine regime and will no longer be
supervised by a board of creditors and an insolvency
administrator, ANSA notes.
Within three years, Pilsen Steel wants to return to record sales
of around CZK6 billion which it generated in 2008, ANSA says.
Pilsen Steel is a Czech steel maker and forge shop.

DECO 9-PAN EUROPE: S&P Cuts Ratings on 5 Note Classes to CCC-

Standard & Poor's Ratings Services lowered its credit ratings on
DECO 9 - Pan Europe 3 PLC's class B, C, and D notes. At the same
time, S&P has affirmed its ratings on the class A2, E, F, G, H,
I, and J notes.
The rating actions follow S&P's review of the credit quality of
the remaining loans by applying its criteria for European
commercial mortgage-backed securities.
The EUR65.8 million Dresdner Office loan fully repaid on the
April 2014 interest payment date (IPD).
TREVERIA I LOAN (61% OF THE POOL)
The loan is currently secured on 35 German primarily secondary
retail properties. The outstanding securitized balance is
EUR358.2 million, which includes a EUR25.1 million junior note.
The senior loan is a syndicated loan, with 50% securitized in
this transaction and 50% securitized in Europrop (EMC)S.A.
(Compartment 1). The loan entered special servicing in July 2010
because the borrower became insolvent. It matured in January
2011.
The special servicer reported that, of the properties left in the
pool:
-- 95% are in former West Germany, with some concentration in
the Ruhr area and in the regions of Hamburg and Stuttgart.
-- Only two properties are in the former East Germany.
-- Most of the properties are in small cities and towns, with
medium-to-low market volumes.
-- Most of the portfolio consists of retail properties such as
department stores, shopping centers, and food discounters.
However, there are a few logistic assets.
As of the April 2014 servicer report, the senior loan's debt
service coverage ratio (DSCR) is 2.9x and the senior loan-to-
value (LTV) ratio is 138.8%, based on a June 2011 valuation of
EUR232.8 million. The portfolio's vacancy rate is 25.6%. Its
weighted-average remaining lease term is 3.8 years. The
portfolio is considered to be over-rented. S&P has assumed that
the loan experiences losses in its expected-case scenario.
PGREI PORTFOLIO LOAN (39% OF THE POOL)
The loan is currently secured on a portfolio of 55 retail
properties in small German regional towns. The loan matures in
July 2014 and has an outstanding securitized balance of EUR112.8
million. The portfolio is almost fully occupied (98.9%) and
75.2% of the rent comes from Germany's largest supermarkets:
Netto, REWE, Lidl, and Edeka. However, the weighted-average
remaining lease term has decreased to 6.0 years from 12.6 years
at closing. The loan has a reported LTV ratio of 74.1% based on
an April 2006 valuation of EUR152.2 million and a reported DSCR
of 1.2x. S&P has assumed that the loan experiences losses in its
expected-case scenario.
RATING ACTIONS
S&P's ratings in the transaction address the timely payment of
interest and the ultimate payment of principal no later than the
July 2017 legal final maturity date.
Although the largest loan, the Dresdner Office loan (EUR65.8
million) fully repaid, S&P believes the Treveria I loan's credit
characteristics in particular, have weakened. As a result, S&P
considers the available credit enhancement for the class A2 notes
to be sufficient to mitigate the risk of losses from the
underlying loans in a 'BB+' rating stress scenario. S&P has
therefore affirmed its 'BB+ (sf)' rating on the class A2 notes.
S&P's analysis indicates that the available credit enhancement
for the class B, C, and D notes is no longer sufficient to
address its principal loss expectations under their respective
rating level scenarios. These classes of notes are exposed to
principal losses to varying degrees, in S&P's opinion.
Therefore, S&P has lowered its ratings on these classes of notes.
S&P has affirmed its 'CCC- (sf)' ratings on the class E to J
notes as it believes they will likely experience principal losses
DECO 9 - Pan Europe 3 is a true sale CMBS transaction, which is
currently backed by two loans secured on German commercial
properties.

LANDESBANK SAAR: Fitch Affirms 'bb+' Viability Rating

Fitch Ratings has affirmed Landesbank Saar's (SaarLB) Long-term
Issuer Default Rating (IDR) at 'A', Short-term IDR at 'F1' and
Viability Rating (VR) at 'bb+'. The Outlook on the Long-term IDR
is Negative.
KEY RATING DRIVERS AND SENSITIVITIES - IDRs, SUPPORT RATING,
SUPPORT RATING FLOOR AND SHORT-TERM DEBT RATING
The affirmation of SaarLB's Support Rating, Support Rating Floor
(SRF), IDRs and Short-term debt rating follows a peer review of
the Southern German Landesbanken and reflect Fitch's view that
there continues to be a high likelihood of state support given
its ownership, despite its small size in the German banking
system relative to other Landesbanken and the large private
sector banks. The State of Saarland acquired the remaining 43.9%
stake of Bayerische Landesbank, effective April 3, 2014 and now
owns 74.9% of Saar LB. The remainder is indirectly owned by
savings banks in Saarland through the association of savings
banks (Sparkassenverband Saar).
The Negative Outlook on the IDR, which is driven by its SRF,
relates to recent developments within the regulatory and legal
framework, particularly emanating from the European Commission
with regard to bank support, bail-ins and centralized regulatory
oversight. It reflects the Bank Recovery and Resolution Directive
(BRRD) and Fitch's expectation of progress with Banking Union
during the next one to two years, thereby reducing implicit
sovereign support for banks in the EU.
Accordingly, Fitch will base its support considerations on direct
institutional support, instead of ultimate sovereign support.
Therefore Saar LB's SRF is likely to be withdrawn by 1H15.
However, Fitch is likely to retain some support from its owners
in SaarLB's ratings and to downgrade its Long-term IDR by one or
two notches.
KEY RATING DRIVERS- VR
SaarLB's 'bb+' VR primarily reflects its company profile and
lower capitalization compared with peers. It has a limited
regional franchise and concentrations within its business model
through lending to commercial real estate and renewable energy
projects. Capitalization remains low despite an improvement in
2013 due to conversion of savings banks' silent participations
and profit retention.
SaarLB's profitability is moderate but Fitch expects a stable
financial performance in 2014 based a moderate growth strategy
with a mildly supportive economic upturn in Germany, less so in
France. Reliance on interest income underlines SaarLB's lending-
orientated business model as a finance partner for the state and
its corporate and asset-based financing franchise in the region
and neighboring France. This is unlikely to change in the medium
term.
Asset quality is adequate, reflecting a controlled risk appetite,
as demonstrated by low loan impairment charges and its stable
renewable energy portfolio. However, sector concentration and
some concentration in single exposures remain notable risk
factors, as well as event risk in a highly regulated industry
like renewables. Fitch believes that SaarLB's wholesale funding
is helped by its access to a stable group of investors, including
savings banks and smaller pension funds and demand for unsecured
private placements.
RATING SENSITIVITIES - VR
Further improvements in SaarLB's loss absorption capacity from
raising capital and more diversified earnings growth across its
business segments would be needed for upside potential for the
VR. Capital erosion, for example from a sustained deterioration
in one or more of its areas of focus, could result in a VR
downgrade.
KEY RATING DRIVERS AND SENSITIVITIES - STATE GUARANTEED DEBT
The AAA on SaarLB's guaranteed debt reflects the grandfathered
guarantee by the State of Saarland and is sensitive to any change
in Fitch's view of the creditworthiness of the state, underpinned
by the stability of the German solidarity system linking its
creditworthiness to that of the Federal Republic of Germany
(AAA/Stable).
The rating actions are as follows:
Long-term IDR: affirmed at 'A'; Outlook Negative
Short-term IDR: affirmed at 'F1'
Support Rating: affirmed at '1'

STABILUS: S&P Raises CCR to 'B+' After IPO & Debt Repayment

Standard & Poor's Ratings Services raised its long-term corporate
credit rating on Stabilus to 'B+' from 'B' and removed it from
CreditWatch, where S&P had placed it with positive implications
on May 16, 2014. The outlook is stable.
At the same time, S&P raised to 'B+' from 'B' its issue rating on
the senior secured EUR315 million 7.75% bond due 2018 (reduced to
about EUR256 million), issued by Servus Luxembourg Holding SCA
and guaranteed by Stabilus. The recovery rating on this bond is
unchanged at '4', reflecting S&P's expectation of average (30%-
50%) recovery prospects in the event of a payment default. S&P
also removed the issue rating from CreditWatch positive.
The upgrade follows the completion of Stabilus' IPO and debt
reduction, as approximately EUR59 million of the net proceeds
have been used to prepay a portion of the company's EUR315
million senior secured bond. In addition, S&P understands that
profit participation loans -- which relate to a 2010 debt
restructuring -- are no longer liabilities of the company.
Reflecting the reduction in debt, and S&P's base-case operating
scenario, S&P forecasts leverage ratios for Stabilus in the
financial year to Sept. 30, 2014, of funds from operations (FFO)
to debt of around 15% and Standard & Poor's-adjusted debt to
EBITDA of 4.0x-4.5x. S&P also envisage adjusted EBITDA interest
coverage of around 3.0x. S&P has revised upward its assessment
of Stabilus' financial risk profile to "aggressive" from "highly
leveraged."
S&P's base-case operating scenario for Stabilus assumes:
-- Ongoing growth in auto industry vehicle sales and improving
economic conditions in 2014, leading to high-single-digit
revenue growth and reported EBITDA margins of 16%-17%, with
scope for improvement in 2015.
-- Capital expenditures (capex) of around EUR40 million per
year, and dividend payments (starting to be declared in
financial 2015), of 20%-40% of net profit, as indicated by
the company.
-- Debt adjustments for pensions (EUR27 million), operating
leases (EUR9 million), and a factoring facility (EUR20
million).
Based on these assumptions, S&P arrives at the following credit
measures for financial year Sept. 30, 2014 and 2015:
-- FFO to debt of around 15%, rising to 15%-20% in 2015.
-- Adjusted debt to EBITDA of 4.0x-4.5x, reducing to about
4.0x in 2015.
-- An adjusted EBITDA interest coverage of 3.0x, rising to
3.5x-4.0x in 2015.
The IPO has reduced majority shareholder Triton's directly held
stake in Stabilus from approximately 90% to 42%, with a free
float of about 58% (including about 1% held by Stabilus'
management). Because Triton's stake in Stabilus has remained
above 40%, S&P continues to assess the company as being owned by
a financial sponsor under S&P's criteria. Despite Triton
remaining a key shareholder, S&P believes that due to its wider
shareholder base, Stabilus will have a more moderate and
predictable financial policy. S&P has therefore revised upward
its financial policy assessment to "FS-5" from "FS-6."
"We continue to assess Stabilus' business risk profile as "fair."
Our assessment is supported by the company's leading market
position in gas springs and dampers; the geographical spread of
its operations; long-established customer relationships; and
stable profit margins in the past three years. We also see
improving market conditions in the automotive and industrial
sectors. Constraining factors include the company's modest size;
limited end-market diversity, with a focus on the auto sector;
and a narrow product range with niche applications," S&P said.
"Under our criteria, a combination of "fair" business risk and
"aggressive" financial risk profiles results in an anchor of
'bb-'. We apply a one-notch downward adjustment for our
comparable ratings analysis, reflecting our view that the
relative ranking of Stabilus' business risk profile is at the
lower end of the range," S&P added.
Stabilus is a developer and manufacturer of gas springs,
hydraulic dampers, and electromechanical lifting equipment used
in the auto and industrial sectors. In the financial year to
Sept. 30, 2013, it reported revenues of EUR460 million.
The stable outlook reflects S&P's expectation that Stabilus will
continue to profitably grow its business, supported by its
automotive related gas-springs and powerise activities. For the
current rating, S&P regards credit ratios including adjusted debt
to EBITDA and adjusted FFO to debt of around 4.5x and 15%,
respectively, as being consistent with the rating.
S&P considers the potential for a positive rating action to be
limited in the near term, but could occur over time if Stabilus
reports an extended strengthening of its operating performance
and sustainably stronger credit measures, such as FFO to debt of
above 20%, and debt to EBITDA of below 4x. Further reductions in
the shareholding by Triton may also prove supportive.
S&P do not envisage lowering the ratings in the near term, but
could do so if Stabilus were to report notably weaker revenues
and profitability than S&P currently expects. Other factors
might include Stabilus adopting a more shareholder-supportive
financial policy, such that S&P expects a sustained weakening of
credit ratios of adjusted debt to EBITDA to about 5.0x and
adjusted FFO to debt to about 12%.

NATIONAL BANK: Fitch Says Program Amendment No Rating Impact
------------------------------------------------------------
Fitch Ratings says there is no impact on National Bank of Greece
S.A.'s (B-/Stable/b-) EUR5.6 billion mortgage covered bonds'
'B'/Positive rating following recent amendments to the program
documentation.
NBG is the first Greek issuer to switch the amortization profile
of the covered bonds to conditional pass-through (CPT) from a
simple pass-through. In accordance with the amended documents,
the covered bond holders now have the option to be reimbursed
before the extended maturity date (December 2051), via the sale
of the cover assets, if NBG is unable to honor its payment
obligations. Bondholders who opt for an asset sale will have no
claim against the remaining assets securing other series, even if
the sale proceeds are not sufficient to entirely redeem the
relevant series.
However, in Fitch's view there is no need for a stressed
liquidation of the cover assets under CPT programs. This is
because the pass-through redemption schedule ensures timely
repayment by the extended final maturity date in the event of an
issuer default in its obligations to repay at the original
maturity date. Therefore in its analysis the agency has relied
upon the pass-through amortization of the covered bonds.
Fitch is maintaining its Discontinuity Cap (D-cap) of '3'
(moderate high discontinuity risk) owing to potential systemic
challenges associated with regard to the alternative management
component. Fitch believes that the CPT amortization structure of
the covered bonds still prevents the need for a stressed
liquidation of the cover assets to ensure timely payments on the
covered bonds and this is reflected in the minimal discontinuity
risk assessment of the liquidity gaps and systemic risk component
of the D-cap.
In its analysis, Fitch relies on the maximum level of asset
percentage (AP) of 95% allowed by the Greek covered bond law
(equivalent to 5.26% overcollateralization). This level of AP
still provides at least 51% of recoveries on the bonds assumed to
be in default in a 'B' rating scenario and allows a one-notch
uplift above the 'B-' rating on a probability of default basis.
Fitch's breakeven AP for the rating will be affected, among
others, by the profile of the cover assets relative to
outstanding covered bonds, which can change, even in the absence
of new issuances. Therefore it cannot be assumed to remain stable
over time.

WINDERMERE XII FCC: S&P Lowers Ratings on 3 Note Classes to 'D'

Standard & Poor's Ratings Services lowered to 'D (sf)' from 'CC
(sf)' and withdrew, effective in 30 days' time, its credit
ratings on Windermere XII FCC's class E, F, and G notes. At the
same time, S&P has withdrawn its ratings on the class A, B, C,
and D notes.
The rating actions reflect principal losses in the transaction
and the redemption of the senior classes of notes. On March 21,
2014, the noteholders approved a proposal that included the
termination of the loan by March 28, 2014. At that time, S&P
expected the class E, F, and G notes to experience principal
losses, and the class A, B, C, and D notes to fully repay.
The net funds received under the accepted proposal were
insufficient to pay the outstanding principal on the class E, F,
and G notes on the April 2014 interest payment date. According
to the April 2014 cash manager's report, the class E, F, and G
notes experienced a principal loss of EUR160 million. The class
A, B, C, and D notes received full payment of principal. The
issuer has written off the outstanding amount of principal on the
class E, F, and G notes. Interest amounts due were paid on all
classes of notes.
S&P's ratings on Windermere XII's notes address the timely
payment of interest quarterly in arrears, and the payment of
principal no later than the July 2017 legal final maturity date.
S&P has withdrawn its ratings on the class A, B, C, and D notes
as these classes of notes have received full payment of interest
and principal.
Following the principal losses the class E, F, and G notes
experienced, S&P has lowered to 'D (sf)' from 'CC (sf)' its
ratings on these classes of notes in accordance with its
criteria. The ratings will remain at 'D (sf)' for a period of 30
days before the withdrawals become effective.
Windermere XII is a 2007-vintage French commercial mortgage-
backed securities (CMBS) transaction secured by a single loan.

ALITALIA SPA: Nears Investment Deal with Etihad Airways

Benedikt Kammel at Bloomberg News reports that Etihad Airways
PJSC is moving closer to negotiations with Alitalia SpA on a plan
to invest in the ailing carrier that was propped up last year by
Italy's government.
Bloomberg relates that Alitalia said in a statement on Friday the
Rome-based airline's supervisory board gave its backing for
senior management to discuss an investment contract with Etihad.
Gaining an Alitalia stake would add to a half-dozen holdings that
Abu Dhabi-based Etihad owns from Serbia to the Seychelles and
Australia, Bloomberg notes.
Etihad said this month that it set specific conditions for an
investment, with approval needed from the Italian company before
detailed talks begin, Bloomberg relays. According to Bloomberg,
while Etihad hasn't elaborated, Alitalia is likely to face deeper
cost cuts than the several thousand job losses proposed under the
government-led bailout.
The two sides had been inching closer to an accord since
Alitalia's board recently signaled support for Etihad's proposals
and gave management a mandate to continue talks, Bloomberg notes.

a successful restructuring. After filing for bankruptcy
protection in 2008, Alitalia found additional investors, acquired
rival airline Air One, and re-emerged as Italy's leading airline
in early 2009. Operating a fleet of about 150 aircraft, the
airline now serves more than 75 national and international
destinations from hubs in Fiumicino (Rome), Milan, Turin, Venice,
Naples, and Catania. Alitalia extends its network as a member of
the SkyTeam code-sharing and marketing alliance, which also
includes Air France, Delta Air Lines, and KLM. An Italian
investor group owns a majority of the company, while Air France-
KLM owns 25%.
L'UNITA: To Undergo Liquidation Following PCI Changes
-----------------------------------------------------
ANSA reports that lossmaking leftwing daily l'Unita', long the
big-selling bible of the once-powerful Italian Communist Party
(PCI), is to be placed into liquidation but won't be closed.
According to ANSA, the daily, once required reading for
progressive Italians, has gone through repeated crises while the
PCI morphed in successive stages into the ruling Democratic
Party.
UNIPOLSAI: S&P Rates EUR750MM Subordinated Notes 'BB+'
------------------------------------------------------
Standard & Poor's Ratings Services assigned its 'BB+' long-term
issue rating to the EUR750 million undated subordinated notes
announced on June 11 by Italy-based insurer UnipolSai
(BBB/Negative/--), a core and major operating entity of the
Unipol Group. The rating is subject to S&P's review of the final
terms and conditions.
The rating on the EUR750 million undated subordinated notes
incorporates S&P's methodology for subordinated debt issues. S&P
has rated the notes two notches below the long-term counterparty
credit rating on the issuer, UnipolSai.
The rating is based on S&P's understanding that the holders of
the notes will be subordinated to UnipolSai's senior creditors,
and that UnipolSai has the option of deferring interest.
Furthermore, S&P notes that interest deferral is mandatory if a
solvency event has occurred.
UnipolSai can call the notes on June 18, 2024, and subsequently
at each quarterly interest payment date thereafter, subject to
the conditions of repayment, including approval from the Italian
insurance regulator. The coupon is expected to be fixed until
the call date, after which time it will convert to floating rate.
S&P understands that a maximum step-up of 100 basis points would
be applied to the fixed-rate spread.
"We expect to classify the notes as having "intermediate equity
content" under our hybrid capital criteria, subject to our review
of the final terms and conditions. We include securities of this
nature in our calculation of total adjusted capital (TAC), up to
a maximum of 25% of TAC. Inclusion is subject to the bonds being
considered eligible for regulatory solvency treatment and the
aggregate amount of included hybrid capital not exceeding the
total eligible for regulatory solvency treatment," S&P said.
S&P understands that UnipolSai plans to use the proceeds from the
bonds to repay its subordinated debt currently held by Mediobanca
SpA, as requested by the Italian antitrust authority. S&P
estimates that the wider group's financial leverage (debt plus
hybrid capital, divided by the sum of economic capital available,
debt, and hybrid capital) will remain unchanged as result of this
transaction.
EUR3.0 BILLION EURO MEDIUM-TERM NOTE (EMTN) PROGRAM
The EUR750 million undated subordinated notes are part of the
first tranche of subordinated deferrable notes within a wider
EUR3.0 billion euro EMTN program, with a start date of June 10,
2014. The program includes senior notes, dated subordinated
notes, and undated subordinated notes listed on the Luxemburg
Stock Exchange. S&P expects to rate the proposed notes as
follows:
-- Senior unsecured notes, one notch below the issuer credit
rating (ICR) on UnipolSai, in line with S&P's criteria on
rating senior debt issued by an insurance operating
company.
-- Based on the current ICR of 'BBB', S&P would rate the notes
at 'BBB-';
-- Subordinated nondeferrable notes, one notch below the ICR
on UnipolSai, at 'BBB-', in line with S&P's criteria on
rating hybrid debt issued by an insurance company; and
-- Subordinated deferrable notes, two notches below the ICR on
UnipolSai, at 'BB+', in line with S&P's criteria on rating
hybrid debt issued by an insurance company.
The final ratings on the notes are subject to S&P's review of the
final terms and conditions.

CD&R MILLENNIUM: S&P Assigns Preliminary 'B' CCR; Outlook Stable

Standard & Poor's Ratings Services assigned its preliminary 'B'
long-term corporate credit rating to Luxembourg-registered CD&R
Millennium HoldCo 6 Sa.r.l (Luxembourg), an indirect holding
company for rigid packaging manufacturer Mauser Holding GmbH. The
outlook is stable.
"At the same time, we assigned our preliminary 'B' issue rating
to CD&R Millennium's proposed EUR150 million revolving credit
facility (RCF) and EUR50 million acquisition and capital
expenditure (capex) facility, in line with its corporate credit
rating. The recovery rating on this RCF is '3'. We also
assigned our preliminary 'B' issue rating to the proposed EUR680
million (equivalent) first-lien term loan with a recovery rating
of '3'. Finally, we assigned our preliminary 'CCC+' rating to the
proposed EUR295 million (equivalent) second-lien term loan. The
recovery rating on the second-lien term loan is '6'," S&P said.
The final ratings will depend on S&P's receipt and satisfactory
review of all final transaction documentation. Accordingly, the
preliminary ratings should not be construed as evidence of final
ratings. If Standard & Poor's does not receive final
documentation within a reasonable time frame, or if final
documentation departs from materials reviewed, S&P reserves the
right to withdraw or revise its ratings. Potential changes
include, but are not limited to, use of loan proceeds, maturity,
size and conditions of the loans, financial and other covenants,
security, and ranking.
The preliminary rating on CD&R Millennium reflects S&P's
assessment of Mauser's business risk profile as "fair," and its
financial risk profile as "highly leveraged."
S&P understands that the EUR1.2 billion acquisition of Mauser
will be financed by placing EUR975 million first- and second-lien
loans, making a EUR187 million pure equity contribution, and
issuing EUR55 million in preferred equity certificates. S&P
estimates that the group will report Standard & Poor's-adjusted
debt to EBITDA of about 6.9x (6.5x excluding preferred equity
certificates) for the financial year ending Dec. 31, 2014.
S&P's assessment of the business risk profile as "fair" is based
on Mauser's products having commodity-like characteristics and it
operating in a competitive industry. Sales volumes and operating
profits can therefore vary, depending on supply-and-demand
conditions and pricing pressures, caused by exposure to
fluctuations in the cost of key raw materials. Steel and high-
density polyethylene resin are two primary inputs.
These risks are partly offset by Mauser's ability to pass through
raw material price changes due to mechanisms in their contracts
with most of its customers. It also reflects its large market
shares in rigid packaging, including steel and plastic drums and
containers, and intermediate bulk containers (IBCs) as well as
reconditioning services for IBCs. These are mainly used for
petrochemical and specialty chemical applications and sold
through a global distribution network. Mauser also benefits from
long-standing relationships with its diversified customer and
supplier base.
S&P's base case assumes:
-- Organic revenue growth (excluding foreign exchange impact)
of about 5%-6%, supported by the higher growth potential of
its IBC and reconditioned IBC segments;
-- Improving margins, with Standard & Poor's-adjusted margins
of about 13.0%-13.5% for the next two years; and
-- Bolt-on acquisitions of EUR20 million per year.
Based on these assumptions, S&P arrives at the following credit
measures:
-- Debt to EBITDA of about 6.9x; and
-- Free operating cash flow of about EUR25 million for
financial year 2014.
Based on S&P's review of the draft documentation for the EUR55
million preferred equity certificates, it has included these
instruments in its calculation of the leverage ratio. However,
these certificates could potentially be excluded, if S&P's review
of the executed version of these documents indicates that they
satisfy all the requirements listed in S&P's criteria.
The stable outlook reflects S&P's view that Mauser will improve
its Standard & Poor's-adjusted EBITDA margin to about 13% over
the next 12-18 months. In S&P's base case, it assumes that
EBITDA will improve because of earlier restructuring efforts,
efficiency gains, and the higher margins in the IBC segments.
The stable outlook also reflects S&P's view that the group will
maintain its credit metrics in line with a "highly leveraged"
financial risk profile in the near term, including a ratio of
adjusted debt to EBITDA of about 6.9x.
S&P do not anticipate substantial deleveraging of the group's
balance sheet over the next year. Consequently, S&P do not
expect to raise the rating in the next 12-18 months.
S&P could consider lowering the rating if Mauser posted negative
free operating cash flow or S&P observed a sustained contraction
in its EBITDA margin. This could arise if its profitability
deteriorated markedly in its various markets or the IBC segment
grows far more slowly than S&P currently expects.

D.E MASTER BLENDERS: S&P Puts 'B+' CCR on CreditWatch Positive
--------------------------------------------------------------
Standard & Poor's Ratings Services said that it has placed its
'B+' corporate credit and issue ratings on The Netherlands-based
coffee and tea company D.E Master Blenders 1753 N.V. (DEMB) and
its holding company Oak Leaf B.V. on CreditWatch with positive
implications.
The CreditWatch placement follows the assignment of a preliminary
'BB' corporate credit rating to Charger OpCo B.V., a Netherlands-
based company set up to raise funds for the intended partnership
of the coffee businesses of Mondelez International and DEMB.
The partnership, which was announced on May 7, 2014, will combine
Mondelez International's wholly owned coffee portfolio outside of
France with DEMB. Mondelez International's coffee business in
France is the subject of a binding offer from Acorn Holdings
B.V., the owner of DEMB. The new company is to be called Jacobs
Douwe Egberts and will be based in The Netherlands.
Charger OpCo is raising EUR7.6 billion of debt to refinance the
existing EUR2.9 billion of debt at DEMB's holding company Oak
Leaf B.V. and to pre-finance approximately EUR4 billion to be
paid to Mondelez International on completion of the transaction.
Assuming that Charger OpCo's refinancing transaction completes
successfully, without delays, and in line with the material S&P
has already reviewed, it could raise its ratings on DEMB and Oak
Leaf by up to two notches. The potential upgrade will depend on
S&P's assessment of the two entities' status within the Jacob
Douwe Egberts group and the potential support from the parent
company.
S&P will resolve the CreditWatch on successful completion of the
refinancing transaction, which it anticipates will be within
three months.
If S&P assess that DEMB and Oak Leaf are "core" entities to the
Jacob Douwe Egberts group, under its group rating methodology,
S&P would likely raise the ratings by two notches to the level of
the rating on Charger OpCo. If S&P assess the entities as less
strategically important to the group, it could raise the ratings
by one notch or affirm them.
PANTHER CDO V: S&P Affirms 'CCC+' Rating on Class E Notes
---------------------------------------------------------
Standard & Poor's Ratings Services lowered its credit rating on
Panther CDO V B.V.'s class A2 notes. At the same time, S&P has
affirmed its ratings on the class A1, B, C, D, and E notes.
The rating actions follow S&P's assessment of the transaction's
performance using data from the April 2014 trustee report.
The transaction is in its reinvestment period, which is scheduled
to end on the next payment date in October 2014. The par value
and the reinvestment overcollateralization tests comply with the
transaction's documented threshold levels. The class D and E
notes' par value tests were failing in S&P's previous review on
Sept. 23, 2013. The available credit enhancement for all classes
of notes has increased since then, mainly due to the issuer's use
of interest and principal proceeds to redeem the class A1 notes
to cure the transaction's par value test failure.
"Since our previous review, we have observed a decrease in the
assets in the pool that we consider to be rated in the 'CCC'
category ('CCC+', 'CCC', or 'CCC-') and that we consider to be
defaulted (assets rated 'CC', 'C', 'SD' [selective default], and
'D'), both in notional and percentage terms. We have also
observed an overall positive rating migration in the collateral
pool. The assets' weighted-average spread has increased
marginally to 242 basis points (bps) from 235 bps over the same
period. The class E notes' outstanding balance has decreased
since our previous review, as the issuer has paid their
capitalized interest on the notes," S&P said.
The pool's proportion of structured finance assets has increased
due to the portfolio's deleveraging. This has reduced the
expected recovery rates. The structured finance assets' expected
average life has also increased, which contributed towards
reducing the break-even default rates (BDRs) for each classes of
notes due to a longer risk horizon. The BDR represents Standard
& Poor's estimate of the maximum level of gross defaults, based
on its stress assumptions, that a tranche can withstand and still
fully repay the noteholders.
S&P conducted its cash flow analysis to determine the BDR for
each class of notes at each rating level. S&P used the reported
portfolio balance that it considers to be performing, the current
weighted-average spread, and the weighted-average recovery rates
that S&P calculated in accordance with its criteria. S&P applied
various cash flow stress scenarios, using different default
patterns, in conjunction with different interest rate stress
scenarios for each liability rating category.
S&P also applied its current counterparty criteria to assess
counterparty risk. S&P analyzed the transaction's exposure to
its derivative counterparties and concluded that it is currently
sufficiently limited, so as not to affect the ratings that S&P
has assigned.
Taking into account the results of its credit and cash flow
analysis, S&P considers the available credit enhancement for the
class A2 notes to be commensurate with a lower rating. This is
because the underlying assets' lower recovery rate and longer
expected life offset the increase in credit enhancement for the
class A2 notes. S&P has therefore lowered to 'A+ (sf)' from 'AA-
(sf)' its rating on this class of notes.
S&P's credit and cash flow analysis of the class A1, B, C, D, and
E notes indicates that the available credit enhancement is
commensurate with its currently assigned ratings. S&P has
therefore affirmed its ratings on these classes of notes.

obligation (CDO) transaction backed by pools of structured
finance assets, as well as speculative-grade corporate loans and

AVANZA SPAIN: Moody's Lowers CFR to 'B3'; Outlook Stable
--------------------------------------------------------
Moody's Investors Service has downgraded Avanza Spain S.A.U.'s
corporate family rating (CFR) to B3 from B1 and probability of
default rating (PDR) to B2-PD from Ba3-PD. Concurrently, Moody's
has downgraded Avanza's EUR315 million of senior secured fixed
rate bonds due 2018 issued by AG Spring Finance Limited (Senior
Secured Bonds) to B2 from B1 and Avanza's EUR175 million of
senior unsecured fixed rate bonds due 2019 issued by AG Spring
Finance II Limited (Senior Unsecured Bonds) to Caa1 from B2.
Avanza is the ultimate holding company of the subsidiary
guarantors to the group's senior credit facilities. The outlook
on all ratings is stable.
"The downgrade reflects the company's higher net debt/EBITDA
owing to a drop in passenger numbers for the suburban and long-
distance segments and lower earnings following renewal of the key
Zaragoza concession on revised terms" says Declan O' Brien, a
Moody's Analyst and lead analyst for Avanza. "Additionally, the
reduction of the company's revolving credit facility to EUR17
million from EUR50 million is also credit negative in light of
the company's reduced cash flow generation", adds Mr. O' Brien.
Ratings Rationale
The B3 CFR reflects (1) the company high leverage, with net
debt/EBITDA of 6.3x as at December 2013 and Moody's expectation
that net leverage will increase to above 9x for year-end 2014;
(2) recently declining passenger numbers in the suburban segment;
(3) the company's exposure to unfavorable dynamics in the long-
distance sector; and (4) limited creditor protections given the
absence of maintenance covenants. The rating is also constrained
by the company's fairly weak liquidity following the reduction in
the revolving credit facility (RCF) and lower cash flow
generation in 2013.
However this is partially offset by Moody's view that Avanza (1)
is a leading company in its key markets of urban, suburban and
long-distance bus concessions; (2) that approximately 84% of the
company's revenues are contracted beyond 2018 (including optional
extensions); and (3) has regulated concessions with a long
weighted average concession life and a high renewal rate.
The PDR of B2-PD, one notch higher than the CFR, is in line with
the output under Moody's Loss Given Default (LGD) model given the
rating agency's assumption of a 35% recovery rate rather than the
standard 50% rate owing to the covenant-lite nature of the
financial structure. Also in accordance with Moody's LGD
methodology, the Senior Secured Bonds are rated B2 (LGD3), one
notch above the B3 CFR and the Senior Unsecured Bonds are rated
Caa1 (LGD6), one notch below the CFR.
Avanza's EBITDA fell by 15.5% (pro-forma) in 2013, driven by (1)
the passenger reduction in the Madrid suburban market; (2) a drop
in passengers in the long-distance segment of 8.5%; and (3) the
effect of the 15% reduction in vehicle kilometres (Vkms) and
revenues as part of the renewal of the Zaragoza concession.
Revenues in the suburban segment fell by 4.2% as a result of a
large reduction in passengers in 2013, especially in Madrid, a
key market for Avanza, where volumes fell by 6.5%. In November
2013, the company agreed with the Consorcio Regional de
Transportes de Madrid to revert to a Vkm based payment mechanism
whereby Avanza's revenues are set to a level which gives
approximately 8% lower revenues (versus 2012 levels). While this
measure reduced Avanza's revenues in Q4 2013 and will negatively
affect revenues in 2014, it provides protection against a further
fall in passengers, while also allowing the company to reduce
fuel and associated costs. These concessions will revert to a
passenger volume tariff at some stage in the future, at earliest
in 2015.
Avanza's long distance business also suffered a reduction in
passengers and revenues in 2013 of 8.5% and 13.5% (EUR1.6
million), respectively. This reduction was largely the result of
an aggressive pricing policy by RENFE, Spain's high speed
operator.
The urban bus segment continued its robust performance in 2013,
although revenues and EBITDA were negatively affected by the
renewal of the Zaragoza concession in June 2013, which led to a
15% reduction in Vkms and revenues for the concession to reflect
the full operation of the tram service, which was anticipated at
the time of the initial rating assignment.
Moody's regards as a credit negative the reduction in Avanza's
RCF to EUR17 million from EUR50 million, especially in light of
the company's reduced cash flow generation. Avanza's internally
generated cashflow (Moody's adjusted) is forecast to be slightly
negative over 2014-16. Avanza's business capex can change
substantially from year-to-year as requirements are dependent on
the terms of their contracts, but the average age of Avanza's
fleet is young at around 7 years, well below requirements under
Spanish law meaning the company enjoys a degree of flexibility in
this regard.
Avanza currently has claims outstanding for unlawful excise duty
charged of EUR20 million and legacy receivables due from Zaragoza
of EUR47 million. The company expects that these claims will be
settled in 2015, which would significantly improve its liquidity
profile. Moody's notes some risks around timing, and ultimate
settlement amount, in particular for the Zaragoza claim.
Avanza receives approximately 35% of its revenues in the form of
subsidies from Spanish public authorities. Avanza had a negative
working capital movement in 2011, partly owing to a delayed
settlement of invoices although this was largely reversed in
2012. Moody's views the timely receipt of subsidy payments as a
key credit risk for the company.
Rationale For The Stable Outlook
The stable outlook on the rating reflects the predictable nature
of revenues in the urban and suburban segment in 2014, and
Moody's expectation that the company's net leverage ratios will
peak in 2014 and gradually reduce from 2015.
What Could Change The Rating Up/Down
Positive pressure on the ratings could materialize if Avanza (1)
improves its current operating performance; (2) generates
sustained positive free cash flow; and (3) improves its leverage
profile such that its Moody's-adjusted net debt/EBITDA ratio is
solidly below 7.0x.
Negative pressure on the ratings would emerge if Avanza's
liquidity profile and credit metrics deteriorate as a result of
(1) weakening operational performance; (2) acquisitions; or (3) a
change in its financial policy. Moody's would also consider
downgrading Avanza's ratings if (4) its adjusted net debt/EBITDA
ratio appears likely to exceed 9.0x beyond 2014; or (5) there was
a further deterioration in its liquidity position
Methodology
Avanza's ratings were assigned by evaluating factors that Moody's
considers relevant to the credit profile of the issuer, such as
the company's (i) business risk and competitive position compared
with others within the industry; (ii) capital structure and
financial risk; (iii) projected performance over the near to
intermediate term; and (iv) management's track record and
tolerance for risk. Moody's compared these attributes against
other issuers both within and outside Avanza's core industry and
believes Avanza's ratings are comparable to those of other
issuers with similar credit risk. Other methodologies used
include Loss Given Default for Speculative-Grade Non-Financial
Companies in the U.S., Canada and EMEA published in June 2009.
Headquartered in Madrid, Avanza is a leading provider of bus
transportation services in Spain, and is wholly owned by Grupo
ADO, the second largest bus company in Mexico with a fleet of
over 6,000 buses. Avanza has four principal lines of business:
urban, suburban and long-distance bus services, and bus
terminals, representing 40%, 44%, 11% and 5% of revenue in 2013,
respectively. Avanza is the largest privately owned bus
transportation operator in the urban and suburban bus
transportation markets in Spain and the second largest long-
distance bus transportation operator in Spain, in each case in
terms of fleet.
MADRID RMBS III: S&P Lowers Rating on Class B Notes to 'D'
----------------------------------------------------------
Standard & Poor's Ratings Services lowered to 'D (sf)' from 'CCC-
(sf)' its credit rating on MADRID RMBS III, Fondo de Titulizacion
de Activos' class B notes. At the same time, S&P has affirmed
its 'D (sf)' ratings on the class C, D, and E notes.
The trustee's data for the May 2014 interest payment date (IPD)
show that cumulative defaults increased to 20.40% of the
portfolio's closing balance from 20.08% in March 2014. The class
B notes' 20.30% have therefore breached their interest deferral
trigger under the transaction documents. This is in line with
S&P's expectations in its previous review on March 21, 2014.
Following the breach of the interest deferral trigger on the May
2014 IPD, the issuer deferred the class B notes' interest payment
to a more junior position in the transaction's priority of
payments. It will pay the class B notes after their principal
amortization. Consequently, the class B notes defaulted on their
interest payment on the May 2014 IPD. S&P has therefore lowered
to 'D (sf)' from 'CCC- (sf)' its rating on the class B notes. At
the same time, S&P has affirmed its 'D (sf)' ratings on the class
C, D, and E notes because they continue to default on their
interest payments.

Interfax-Ukraine reports that the Individuals' Deposit Guarantee
Fund has decided to appoint fund employee Oleksandr Kureny
liquidator of Brokbusinessbank (Kyiv).
According to Interfax-Ukraine, the fund said Mr. Kureny was
appointed to the post for the period June 11, 2014 to
June 10, 2015.
Depositors of Brokbusinessbank from June 18 to July 29, 2014, can
address departments of Raiffeisen Bank Aval (Kyiv), the agent
bank of the fund, to receive their funds, Interfax-Ukraine
discloses.
The guaranteed sum will be paid in line with the general register
of depositors who have the right to receive deposit refunding,
Interfax-Ukraine notes.
As reported by the Troubled Company Reporter-Europe on June 12,
2014, Interfax-Ukraine related that the National Bank of Ukraine
decided to liquidate Brokbusinessbank from June 11, 2014.

EMERALD 2: S&P Assigns 'B' Corp. Credit Rating; Outlook Stable
--------------------------------------------------------------
Standard & Poor's Ratings Services assigned its 'B' long-term
corporate credit rating to U.K.-based Emerald 2 Limited, an
intermediate holding company of ERM Worldwide Ltd. The outlook
is stable.
At the same time, S&P assigned its 'B' issue ratings to the $550
million and EUR75.3 million senior secured (first-lien) loans due
2021, the US$50 million revolving credit facility (RCF) due in
2020, and the US$70 million acquisition facility due in 2020, all
issued by Emerald 3 Limited. The recovery rating on these
facilities is '4', indicating S&P's expectation of average
(30%-50%) recovery prospects in the event of a payment default.
In addition, S&P assigned its 'CCC+' issue rating to the US$175
million subordinated (second-lien) loans due 2022, issued by
Emerald 3 Limited and other subsidiaries. The recovery rating on
this loan is '6', indicating S&P's expectation of negligible
(0%-10%) recovery prospects in the event of a payment default.
The ratings on Emerald 2 reflect S&P's assessment of the
company's financial risk profile as "highly leveraged" and its
business risk profile as "fair," as S&P's criteria define these
terms, and that Emerald 2's key credit metrics will remain in the
"highly leveraged" financial risk profile category throughout
2015 and 2016.
"We take into account shareholder loans in our adjusted debt
calculations, in line with our criteria. Following Emerald 2's
successful refinancing, the shareholder instruments have been
partially repaid, leaving approximately US$250 million remaining
at the close of the transaction. Our fully adjusted debt figure
of US$1.1 billion for the year ending March 2015 includes the new
financing package totaling US$830 million, the remaining
shareholder instruments of about US$275 million (including
accrued interest at year end 2015), and our estimate of about
US$32 million for operating leases. We calculate the group's
leverage at about 9.0x at the close of the transaction (6.8x
excluding Charterhouse's loan notes), which we estimate will
improve to about 8.9x (7.2x) by the end of financial year ending
March 31, 2015. We expect Emerald 2's cash flow protection, as
indicated by our adjusted funds from operations (FFO)-to-debt
ratio, to remain in the low single digits in the medium term, and
we forecast that this ratio will stay relatively stable. We
anticipate that free operating cash flow will be relatively
strong compared with similarly rated 'B' peers, at about US$40
million in financial year 2015," S&P said.
S&P's assessment of Emerald 2's business risk profile as "fair"
reflects ERM's operations in the niche, but fast-growing
environmental consultancy market; its exposure, to some degree,
to the cyclical natural resources market; and its weaker product
diversification than competitors', such as URS Corp.
However, these risks are partly offset by ERM's ability to retain
clients by closely integrating with them (albeit running the risk
of losing a small number of staff to its clients), being well-
diversified across end markets and geographies, and being a
strong player within its niche addressable market. That said,
S&P notes that the company's Standard & Poor's-adjusted EBITDA
margins of 13% (equivalent to 17.5% excluding discretionary

providers. Therefore, S&P assess it as "below average".
Management focuses on 27 key global clients, which results in
higher revenue growth but also introduces higher concentration
risk (approximately 28% of sales). Potential exposure to
litigation and problems relating to requirements not being met
pose risks to the company's reputation.
S&P's business risk assessment incorporates its view of the
global professional service industry's "intermediate" risk and
"low" country risk.
S&P classifies ERM's liquidity as "adequate" under its criteria,
and it forecasts that sources should exceed uses by over 1.2x in
the financial year ending March 2015.
S&P forecasts that liquidity sources will be about $1.1 billion
in financial 2015, comprising:
-- Beginning-of-year cash on the balance sheet of about $57
million;
-- About US$830 million in debt issuance in 2015;
-- A US$50 million RCF maturing in 2020;
-- A US$70 million acquisition facility, maturing in 2021; and
-- Cash FFO of about US$65 million in 2015.
S&P estimates that ERM's liquidity needs in 2015 will be about
US$930 million, comprising:
-- Refinancing of debt, including partial repayment of
shareholder instruments of approximately US$890 million in
2015;
-- Capital expenditure (capex) totaling about US$15 million
per year; and
-- Acquisition spending of US$25 million in 2015, and US$50
million per year thereafter.
ERM's RCF is subject to a financial covenant, which, if breached,
could bring forward the maturity dates. S&P anticipates that
covenant headroom will remain adequate.
The stable outlook reflects S&P's view that ERM will generate
steady revenue growth and cash flows, despite the moderate levels
of growth that S&P forecasts in its key markets of North America
and Europe in 2014.
S&P could consider lowering the rating if the company adopts a
more aggressive financial policy -- in terms of shareholder
returns and acquisitions -- than S&P currently envisage. A
reduction in cash flow generation caused by a decline in margins
or lower cash conversion, including FFO interest coverage of less
than 2x, could trigger a downgrade.
S&P sees limited potential for a positive rating action at this
stage, given that forecast credit metrics are firmly placed in
the "highly leveraged" financial risk category. Furthermore, the
impact of the substantially larger interest paying debt (totaling
$830 million) as part of the partial replacement of the capital
structure has placed additional pressure on cash interest
coverage. However, if S&P sees sustained deleveraging and
improving credit metrics it could consider raising the ratings.
MAMAS & PAPAS: In Rescue Talks with BlueGem

Ben Marlow at The Telegraph reports that private equity firm
BlueGem is in talks to rescue Mamas & Papas.
According to The Telegraph, BlueGem, the owner of luxury
department store Liberty, is understood to be closing in on a
deal that would inject a total of GBP20 million into the
retailer.
Around GBP12 million has been earmarked for the business, with
the remainder expected to be used to pay off a shareholder loan
to David Scacchetti, who founded the Huddersfield-based chain
with his wife, Luisa, in 1981, The Telegraph relates.
BlueGem has been given a period of exclusivity to iron out an
agreement with the Scacchettis for a stake in the business, The
Telegraph discloses.
It is believed that Mamas & Papas has recently suffered a decline
in trading, The Telegraph notes.
Sources familiar with the process cautioned that BlueGem, which
is run by a team of former Merrill Lynch bankers, could struggle
to win the support of HSBC, Mamas & Papas' main lender, which is
seeking partial repayment of its loans, The Telegraph relays.
BlueGem, The Telegraph says, has asked the bank to roll over its
debt and give the company breathing space.
KPMG is advising Mamas & Papas on the discussions, The Telegraph
states.
Mamas & Papas is an upmarket prams and maternity wear chain. It
has about 70 stores in Britain and trades in 59 overseas markets,
including Russia, China, Japan and South Korea.
SEAFIELD LOGISTICS: In Administration; Two Units Sold

According to Business Sale Report's Dominic Pollard, Seafield
Logistics has gone into administration with parts of the business
already sold.

of Grant Thornton were appointed as the administrators to the
company on June 11, Business Sale Report recounts. It was
subsequently revealed that Grant Thornton has sold on two of the
business' units, saving 110 jobs in the process, Business Sale
Report relays.
It was announced that the Liverpool firm Abbey Logistics has
taken over the Seafield's Winsford, Middlewich and Immingham bulk
powder transport operations, Business Sale Report relates. This
will see Abbey's fleet increase by 47 trucks and 57 powder tanks,
Business Sale Report notes.
Meanwhile Lomas Distribution, which is headquartered in Buxton,
has bought Seafield's Winsford-based warehousing business,
Business Sale Report discloses.
It is estimated that Abbey's acquisition will save 70 jobs and
add around GBP6 million to its own revenues, taking the business'
turnover to GBP42 million, Business Sale Report states.
Seafield Logistics is a Nottingham-based warehousing and
transport company.

obtained by TCR editors from a variety of outside sources during
the prior week we think are reliable. Those sources may not,
however, be complete or accurate. The Monday Bond Pricing table
is compiled on the Friday prior to publication. Prices reported
are not intended to reflect actual trades. Prices for actual
trades are probably different. Our objective is to share
information, not make markets in publicly traded securities.

like the definitive compilation of stocks that are ideal to sell
short. Don't be fooled. Assets, for example, reported at
historical cost net of depreciation may understate the true value
of a firm's assets. A company may establish reserves on its
balance sheet for liabilities that may never materialize. The
prices at which equity securities trade in public market are
determined by more than a balance sheet solvency test.
