BULSTRAD VIENNA: S&P Withdraws 'BBpi' Insurer Strength Rating

Standard & Poor's Ratings Services withdrew its unsolicited
public information (pi) insurer financial strength and
counterparty credit ratings of 'BBpi' on Bulgaria-based Bulstrad
Vienna Insurance Group.
Following a review of Bulstrad under S&P's revised insurance
criteria, the ratings are being withdrawn because of the lack of
information on the Bulgarian insurance market in the public
domain. S&P therefore found it challenging to determine
components of Bulstrad's business risk profile in the context of
the market in which it operates. This makes it difficult for S&P
to undertake the appropriate analysis and thus establish reliable
counterparty credit and insurer financial strength ratings on the
basis of public information. Therefore, S&P is withdrawing these
ratings.

POHJANTAHTI KESKINAINEN: S&P Affirms BBpi Insurer Strength Rating

Standard & Poor's Ratings Services affirmed its unsolicited
public information (pi) insurer financial strength and
counterparty credit ratings on Finland-based non-life insurer
Pohjantahti Keskinainen Vakuutusyhtio (PKV) at 'BBpi'.
The ratings predominantly reflect S&P's view of PKV's
satisfactory business risk profile and weak financial risk
profile. S&P bases its assessment of PKV's business risk profile
on its opinion of its low risk industry and country risk, and
adequate competitive position. With regards to its financial
risk profile, S&P factors in its view of its less than adequate
capital and earnings and less than adequate financial
flexibility. S&P combines the factors for business risk profile
and financial risk profile to derive a 'bb' anchor for PKV.
PKV faces low industry and country risk in S&P's opinion. All of
its business is written in the mature and stable Finnish economy.
S&P believes the difficulty in establishing distribution networks
in Finland is a strong barrier to entry that dissuades many
foreign insurance companies from writing business in Finland.
S&P also considers that there is no significant catastrophe risk
in
Finland.
In S&P's opinion, PKV's competitive position is adequate. While
the company has little geographic diversification to its
portfolio (all business is sourced from Finland) it does have
some product diversification. The company writes a book of non-
life products including accident and health, property, motor, and
credit and surety business. PKV concentrates largely on the
household and agricultural market throughout Finland, and
therefore has slightly more geographic diversity than some of its
regional mutual peers.
S&P assess the company's capital and earnings as less than
adequate. Capital adequacy according to S&P's risk-based model
is significantly deficient of its requirements at the 'BBB'
level. The absolute amount of capital in the company remains
small at EUR24.7 million (2011: EUR24.5 million), leaving the
company vulnerable in the event of large single losses.
In S&P's view, PKV's risk position reflects intermediate risk.
The company's investment portfolio is higher risk then the
majority of its European non-life peers. PKV has significant
holdings in investment property, speculative-grade (rated 'BB+'
or lower) bonds, and nonaffiliated equities. S&P assess these
higher risk assets to be 1.5x the company's total adjusted
capital.
S&P considers the company's financial flexibility to be less than
adequate. As a relatively small Finnish mutual S&P believes the
company will have limited access to the capital markets.

PRAKTIKER AG: Attracts Second Offer for Stores

Arno Schuetze and Alexander Huebner at Reuters report that
Praktiker AG has attracted a second offer for its stores, this
time for more of the shops.
The bid comes as talks over the acquisition of Praktiker's
upmarket unit Max Bahr by rival Hellweg are already approaching a
final stage, Reuters notes.
According to Reuters, two people familiar with the situation said
the new bid comes from Praktiker's own management with the
backing of a group of funds and would see 175 Praktiker and Max
Bahr stores being taken over.
Reuters notes that two other people familiar with the situation
said the insolvency administrator has doubts over the viability
of the plan.
"Until now, the administrator is not looking into this option",
Reuters quotes one of these people as saying.
The people familiar with the proposal said that the funds would
provide fresh equity and become majority holders of Praktiker and
existing debt would be swapped for equity, Reuters relates.
"More jobs could be saved and existing creditors would be better
off," one of the sources familiar with the plan, as cited by
Reuters, said.
Praktiker, a household name in Europe's biggest economy, is being
sold off piecemeal after the administrator failed to find a buyer
for the whole group, Reuters discloses.
Originally Praktiker operated 315 stores in Germany and another
99 abroad as well as another 132 outlets under the Max Bahr
brand, Reuters states.
Hellweg has teamed up with former Max Bahr chief Dirk Moehrle and
is in advanced talks to buy 73 Max Bahr stores for more than
EUR100 million (US$136 million), Reuters says.
However, Hellweg has struggled to line up financing for the
transaction and trade credit insurance, which is vital to keep
the business afloat, Reuters states. According to Reuters, one
of the people familiar with the situation said Hellweg is hoping
to strike a deal by early this week.

NUTRIART-KATSELIS: Declares Bankruptcy; Seeks Liquidator

Ioanna Zikakou at Greek Reporter reports that Nutriart-Katselis
declared bankruptcy on Thursday. The next step is to find a
liquidator, Greek Reporter says.
The bankruptcy petition was filed in June 2013 and was tried in
early autumn, the decision was quickly made, Greek Reporter
recounts. The main reasons for which one of the largest
companies in the Greek food industry came to an impasse, were the
economic crisis, the shrinking market and share loss, a lack of
liquidity and bad business decisions, Greek Reporter notes.
The families David and Leventis, major shareholders of the
company, which used to be one of the strongest "players" in the
market, were led to this decision and not the solution of the
clearing operation, having previously sought the support of
banks, which ultimately never came, Greek Reporter discloses. As
a result the company didn't have the funds to operate smoothly,
Greek Reporter states. The banks gave limited funding to the
company, while the major shareholders funded the group, but that
was not enough to get out of the impasse, Greek Reporter says.
As a solution to the impasse the administration sought any
interested buyers for individual assets, but without result,
Greek Reporter recounts.
The company's management proceeded to cut back the company's
production, which had negative consequences, since the stores
were not supplied with the company's products resulting in a loss
in sales, Greek Reporter relays.
Nutriart SA, formerly Katselis Sons S.A., is a Greece-based
company engaged in the production of bread and bakery products.

ALITALIA SPA: Air France-KLM Profit Falls Due to Troubled Airline

David Pearson, writing for The Wall Street Journal, reported that
Air France-KLM reported on Oct. 31 a 51% fall in third-quarter
net profit, pulled down by one-off charges for restructuring, a
write-down of its investment in troubled Italian carrier Alitalia
and unfavorable exchange rate variations.
According to the report, the company recently reinforced its
Transform 2015 program that aims to improve profitability by 20%
by cutting more than 5,000 jobs, and is struggling to reduce the
chronic losses of its medium-haul and cargo businesses which are
experiencing "major difficulties," according to its third-quarter
trading statement.
The Franco-Dutch airline group reported a net profit of EUR144
million (US$199 million) in the three months through September,
down from a restated profit of EUR296 million a year before, the
report related. Revenue rose by only 0.4% to EUR7.21 billion,
held back by unfavorable currency shifts, but increased 3.8% on
the basis of constant exchange rates.
Profit for the period came in well below an average estimate of
EUR301 million among a panel of 19 analysts polled by the
company, and revenue also fell short of an average estimate of
EUR7.3 billion, the report said.
However, the company reaffirmed its guidance that operating
income would improve in the second half of the year, the report
added. It rose to EUR634 million in the third quarter, from a
restated EUR491 million in the same period last year, helped by
lower fuel and employee costs.

BREEZE FINANCE: S&P Lowers Rating on EUR84MM Class B Bonds to 'D'

Standard & Poor's Ratings Services lowered to 'D' from 'C' its
long-term issue credit rating on the EUR84 million class B
subordinated bonds due in 2027 issued by Luxembourg-based special
purpose entity Breeze Finance S.A. (Breeze 3).
The downgrade of the EUR84 million class B subordinated bonds
reflects its revised criteria. Under S&P's criteria, ratings on
debt instruments with a coupon deferral or cancellation feature
or principal write-down or deferral feature are lowered to 'D'
when payments are deferred or reduced on a permanent basis
according to terms of the instrument, without causing a
contractual (legal) default. This reflects the sustained loss
absorption.
Breeze Three is a Luxembourg-based special-purpose vehicle, which
issued EUR287 million of 20-year class A bonds, EUR84 million of
class B bonds, and EUR84 million of class C bonds in 2007 (not
rated). The proceeds of the debt were used for loans to a
portfolio of 39 wind farms in Germany (through intermediary
German borrower Breeze Three Energy GmbH & Co. KG) and four in
France through intermediary French borrower Energie Eolienne
Derval SNC).
In addition, project management used the proceeds to refinance
existing debt, fund a six-month debt service reserve account
(DSRA) for the class A bonds (still unused to date), and fund a
three-month DSRA for the class B bonds, which is currently fully
depleted. The project's total installed capacity is
347.4 megawatts. The wind farms have been fully operational
since 2008. The wind farms in the portfolio are fully cross-
collateralized and benefit from supportive regulatory regimes for
renewable energy in Germany and France.
Fully deferral of principal and partial deferral of interest
payments on class B bonds has continued during the last debt
service payment date (October 2013), a situation that
discretionally started in 2010. The project was able to fully
cover the class A bond debt service on the Oct. 19, 2013, payment
date--without using the class A DSRA--but the principal
redemption and interest on the class B bonds (EUR2.17 million and
EUR2.15 million, respectively) were fully deferred. As of now,
total deferred class B bonds (including interest payments) amount
to about EUR19 million.
CRC BREEZE: S&P Lowers Rating on EUR50MM Class B Bonds to 'D'

Standard & Poor's Ratings Services lowered to 'D' from 'C' its
long-term issue credit rating on the EUR50 million class B
subordinated bonds due in 2016 issued by Luxembourg-based
special-purpose entity, CRC Breeze Finance S.A. (Breeze 2).
The downgrade of the EUR50 million class B subordinated bonds
reflects S&P's revised criteria. Under S&P's criteria, ratings
on debt instruments with a coupon deferral or cancellation
feature, or principal write-down or deferral feature, are lowered
to 'D' when payments are deferred or reduced on a permanent basis
according to terms of the instrument, without causing a
contractual (legal) default. This reflects the sustained loss
absorption.
The rating on the bonds reflects the continued full deferral of
the bonds' principal since the April 2009 payment date. S&P
expects continued deferrals of the principal and interest on the
class B bonds, at least partially, until final maturity in 2016.
CRC Breeze Finance S.A. is a Luxembourg-based special-purpose
vehicle that issued EUR300 million class A bonds due 2026,
EUR50 million class B bonds due 2016, and EUR120 million class C
bonds due 2026 (not rated) in 2007. Breeze Two is owned by
Luxembourg-registered Monument Trust Ltd. (not rated).
The proceeds of these bonds financed loans to a portfolio of 39
wind farms (35 in Germany and four in France, with a total
installed capacity of 337.4 megawatts), refinanced existing debt,
and funded a six-month debt service reserve for the class A bonds
(18% used to date) and a three-month debt service reserve account
for the class B bonds, which is currently fully depleted. The
wind farms have been fully operational since 2007. The wind
farms in the portfolio are fully cross-collateralized and benefit
from supportive regulatory regimes for renewable energy in
Germany and France.
To date, operating cash has been sufficient to cover the class A
debt service in full and on time, without needing the remaining
EUR10 million of cash in the senior debt service reserve account
(DSRA), which remains only partly funded.
On May 8, 2013, Breeze Two met the debt service of the class A
bonds in full, without drawing on the class A DSRA. The class A
DSRA currently has a balance of EUR10 million, after being partly
used in 2009. After the class A debt service payment in May
2013, S&P understands that the excess cash was sufficient to pay,
in full, the class B bonds' interest and interest on deferred
principal, but EUR1.8 million out of EUR2.8 million of principal
debt service payment had to be deferred. As of now, total
deferred class B debt (including interest payments) amounts to
EUR13.6 million.
The project has not used the class A DSRA during 2012 and 2013,
to date. However, S&P considers the liquidity position of this
project to be weaker than that of its peers, especially its
closest peer, Breeze Finance S.A. (Breeze Three). This is a
result of the use of EUR2.2 million (or about 18% of the original
DSRA amount) to fully fund the scheduled class A debt service in
2009. Because the class A DSRA is only replenished after the
normal and deferred debt service of the class B bonds--according
to the transaction documentation--we estimate that the class A
DSRA is unlikely to be fully funded until debt maturity in 2026.

NORWEGIAN ENERGY: Advisers Propose Better Debt Refinancing Terms

Mikael Holter at Bloomberg News reports that advisers to
Norwegian Energy Co. ASA, which is facing insolvency, are
proposing better terms on part of a NOK3.1 billion (US$520
million) refinancing as bondholders demand even more concessions.
Pareto Securities AS and Arctic Securities ASA are proposing
improved terms to the holders of Noreco's three unsecured bonds,
Bloomberg says, citing a copy of a document sent by the
company's advisers on Friday. The three bonds have an
outstanding value of NOK1.3 billion, Bloomberg discloses.
According to Bloomberg, investors including Storm Capital
Management said the offer isn't good enough and will probably be
rejected at meetings on Nov. 5. Noreco Chief Executive Officer
Svein Arild Killingland declined to comment on whether the
company had offered better terms, saying it was "always open to
alternative proposals that safeguard the balance" of the initial
plan, Bloomberg notes.
Noreco, Bloomberg says, is seeking bondholder approval to replace
six bonds with four new ones carrying lower interest rates and
longer maturities. The refinancing, aimed at meeting a potential
liquidity shortfall of NOK1.6 billion, also involves issuing as
much as NOK530 million in new shares, Bloomberg states.
The company, based in Stavanger, has suffered intermittent output
at the Huntington field in the U.K. North Sea and a slew of
shutdowns at Oselvar in Norway as well as at Nini, Nini East and
Cecilie in the Danish North Sea, Bloomberg relays. It may also
need to raise NOK500 million (US$85 million) to cover the cost of
abandoning facilities off Denmark's shores, Bloomberg says.
Noreco needs approval from owners representing two thirds of each
of the outstanding bonds for the plan to be adopted, Bloomberg
states.

BALTIYSKIY BANK: S&P Lowers Counterparty Credit Rating to 'CCC+'
----------------------------------------------------------------
Standard & Poor's Ratings Services said that it had lowered its
long-term counterparty credit and Russia national scale rating
ratings on Baltiyskiy Bank to 'CCC+/ruBB-' from 'B-/ruBBB-'. At
the same time, S&P affirmed the short-term counterparty credit
rating at 'C'.
S&P removed the long-term and national scale ratings from
CreditWatch with negative implications, where they had been
placed on Sept. 11, 2013.
S&P then withdrew all its ratings on the bank at Baltiyskiy
Bank's request.
The outlook at the time of the withdrawal was developing.
The downgrade reflects S&P's view that the continued court battle
between the shareholders of Baltiyskiy Bank -- Andrey Isaev and
Oleg Shigaev, who is also the CEO of the bank -- could delay or
cancel the pending sale of noncore real estate assets and the
planned capital injection of Russian ruble (RUB) 1.7 billion.
The real estate assets are cumulatively worth about RUB20
billion. S&P believes that this could compromise the bank's
ability to meet regulatory requirements. It might also place the
bank's funding profile at risk. Consequently S&P caps the long-
term counterparty credit rating at 'CCC+'.
At the time of withdrawal the outlook was developing, reflecting
the likelihood that Standard & Poor's could have lowered,
affirmed, or raised the ratings on the bank in the next 12
months.
The shareholder conflict could evolve in a way that could weaken
the bank's franchise and funding profile. But, if the
shareholders come to a rapid agreement on a way out of the
conflict, a recovery in the financial profile, and notably
restoration of capital position, is possible.
HMS HYDRAULIC: S&P Cuts Long-Term Corporate Credit Rating to 'B'
----------------------------------------------------------------
Standard & Poor's Ratings Services said that it lowered its long-
term corporate credit rating on Russia-based pump and oil and gas
equipment manufacturer HMS Hydraulic Machines and Systems Group
PLC (HMS) to 'B' from 'B+', and placed it on CreditWatch with
negative implications. S&P also lowered its Russia national
scale rating on HMS to 'RuA' from 'RuA+', and placed it on
CreditWatch negative.
At the same time, S&P lowered its issue rating on the Russian
ruble (RUB) 6 billion notes issued by HMS' subsidiary CJSC
Hydromashservice to 'B-' from 'B' and placed it on CreditWatch
negative. S&P also lowered its Russia national scale rating on
these notes to 'RuA-' from 'RuA'. The recovery rating on the
notes is unchanged at '5', indicating S&P's expectation of modest
(10%-30%) recovery in the event of a payment default.
The downgrades reflect S&P's view that HMS' credit metrics and
liquidity position weakened in the first half of 2013. The
group's cash flow generation deteriorated significantly as a
result of unexpectedly high working capital fluctuations, thereby
weakening credit metrics. Liquidity is under further pressure
from tightening headroom under the maintenance covenants on HMS'
loan with Sberbank.
As a result, S&P has revised downward its forecasts for HMS'
earnings, cash flow, and credit metrics for the financial years
2013 and 2014 (ending Dec. 31). In addition, S&P has revised its
assessment of HMS' financial risk profile downward to "highly
leveraged" from "aggressive." S&P continues to assess HMS'
business risk profile as "weak."
In the first half of 2013, HMS' operating performance and
profitability were negatively affected by several factors. HMS'
EBITDA margin declined from 16.5% to 14.1% on a reported basis
year on year. In S&P's base-case scenario, it do not anticipate
any major improvement in HMS' EBITDA margin and it forecasts a
margin of 14.4%-15.5% in 2013 and 2014.
HMS' profitability was mainly affected by the lack of the large-
scale profitable contracts that benefited the group in 2011.
These contracts include the construction of integrated pumping
stations for the East Siberia-Pacific Ocean pipeline and the
provision of pumps and modular equipment to the Vankor oil and
gas field. HMS will fully recognize the remaining share of
revenues for both these contracts in 2013. S&P also considers
that HMS' loss-making construction business will put pressure on
its margins in 2013 and 2014. S&P understands that management
plans to dispose of this business in the near term, but the
timing is uncertain.
The CreditWatch placement reflects the possibility of S&P
lowering the long-term corporate credit rating on HMS by one
notch to 'B-' and the Russian national scale rating on HMS by two
notches to 'ruBBB+'. S&P could downgrade HMS if it is unable to
restore its liquidity position by the end of 2013. In this case,
S&P may also revise its assessment of HMS' liquidity downward to
"weak" from "less than adequate."
S&P could remove the ratings from CreditWatch and affirm them if
HMS resets its covenants with Sberbank by the end of 2013, and
formulates a credible plan for financing its operations in the
next 12 months, through either customer payment advances or
raising additional debt, or a combination of the two. An
affirmation is also contingent on HMS restoring its liquidity
position to what S&P considers to be "less than adequate,"
alongside debt to EBITDA of less than 4x, funds from operations
to debt of at least 20%, and an EBITDA margin of at least 14%.
KALUGA REGION: Fitch Affirms BB Foreign & Local Currency Ratings
----------------------------------------------------------------
Fitch Ratings has affirmed Kaluga Region's Long-term foreign and
local currency ratings at 'BB', with Stable Outlooks, and its
Short-term foreign currency rating at 'B'. The agency has also
affirmed the region's National Long-term rating at 'AA-(rus)'
with Stable Outlook. Kaluga's outstanding senior unsecured
domestic bonds (ISIN RU000A0JRHN7) of RUB2.5 billion have also
been affirmed at 'BB' and 'AA-(rus)'.
Key Rating Drivers:
The affirmation reflects the administration's efficient and
proactive management, the region's rapid economic development and
sound budgetary performance. The ratings also factor in
increasing pressure on operating expenditure and contingent risk
stemming from the liabilities of public sector entities (PSEs),
although the maturity profile of these liabilities is long-term.
Fitch expects Kaluga will continue to demonstrate sound operating
performance, supported by further expansion of its tax base. The
agency expects the full-year operating balance will stabilize at
about 10%-12% of operating revenue in 2013-2015, down slightly
from an average of 15.4% during 2010-2012. This is due to
increasing operating expenditure pressure as a result of national
government decisions to increase public sector salaries and
reduce transfers from the federal budget.
The regional administration is focused on local economic
development and on expanding the tax base. Kaluga has been
successful in attracting foreign investments, promoting
industrial production and innovation. These policies have allowed
the local economy to grow at a cumulative 32.8% in 2010-2012,
well above the 12.7% for the Russian Federation.
The region actively uses PSEs to finance local investment
projects. It established The Development Corporation of Kaluga
Region, which at end-2012 borrowed RUB6.4 billion to finance the
development of regional industrial zones. Two other regional
public companies incurred a combined RUB1.3 billion debt in early
2013 to finance various investment projects. The region provides
subsidies to cover the principal and interest on the debt of
these PSEs. Consequently, Fitch considers the liabilities of
those PSEs as the region's direct risk.
Fitch expects Kaluga's direct risk to reach RUB22.3 billion in
2013 which corresponds to 63% of expected full-year current
revenue, up from 56.5% in 2012. The agency expects that debt will
increase in absolute amount, driven by expected RUB3.3 billion
and RUB2.3 billion deficits in 2014 and 2015 respectively.
However, expected fast growth of operating revenue should lead to
the debt burden stabilizing at 63% in 2014, before easing to 60%
in 2015-2016.
Kaluga is not exposed to high immediate refinancing risk as it
has only RUB672 million (about 3% of direct risk) due in November
and December this year. However, the region will need to repay
80% of direct risk (RUB18.4 billion) in 2014-2016, mostly bonds,
bank loans and loans from the federal budget. Fitch expects the
region will refinance the maturing liabilities with new bank
loans. PSEs' liabilities have a long-term maturity profile till
2022.
Rating Sensitivities:
A continuous sound operating performance with operating margins
of 12%-14%, underpinned by economic growth, and maintaining debt
coverage in line with the region's average debt maturity, would
lead to an upgrade.
Widening of the deficit before debt variation leading to direct
risk increase above 75% of current revenue and/or deterioration
in debt coverage beyond 10 years (2012: 4.8 years) would lead to
a downgrade.

GALENIKA: Creditors May Write Off Claims to Avert Collapse

SeeNews, citing news daily Blic, reports that some of the
creditor banks of Galenika are prepared to write off one part of
their claims towards the ailing pharmaceutical company in a push
to save it from bankruptcy.
According to SeeNews, the news daily, quoting an unnamed source
familiar with the matter, reported that the move could also help
Galenika find a strategic partner as it turned out that a debt
write-off has been sought by a couple of potential investors.
SeeNews notes that the media said Galenika owes EUR150 million
(US$205.6 million) to various lenders while its total debts tower
at EUR200 million, or four times its valuation.
The remaining debt would be transferred to Galenika's new owner
through a privatization process, which should start after the
claims write-off, SeeNews says.
Blic reported that Galenika owes EUR59 million to Unicredit Bank,
EUR22.5 million to AIK Banka, EUR15 million to Societe Generale
Banka, EUR12.5 million to Komercijalna Banka and EUR11.5 million
to Erste Banka, SeeNews relates.
According to SeeNews, an attempt to find a strategic partner for
Galenika, which posted a loss of RSD5.6 billion (US$67.3
million/EUR49 million) in 2012 on operating revenues of
RSD4.8 billion, failed earlier this year.

CEMEX SAB: EU Regulators to Examine Bid to Acquire Holcim

Reuters reports that European Commission antitrust regulators
will examine a bid by Mexican cement maker CEMEX, S.A.B. de
C.V.to acquire Swiss peer Holcim's cement operations in Spain
following a request from Spanish authorities, the European
Commission said.
Holcim and Cemex unveiled in August plans to exchange some assets
and combine others in Europe to boost profit amid tough
conditions in the construction sector, according to Reuters.
"The European Commission has accepted a request from Spain to
assess under the EU merger regulation the proposed acquisition of
Holcim's cement operations in Spain by rival Cemex," the EU
competition authority said in a statement obtained by Reuters.
"The Commission also concludes that it is the best placed
authority to deal with the potential cross-border effects of the
transaction," EU competition authority added, the report notes.
The report relays that EU said it would ask Cemex to submit its
request for approval of the deal to Brussels.
The European Union executive said the Czech competition authority
would continue to examine Cemex's takeover of Holcim's business
in the Czech Republic, the report adds.

FAGOR MASTERCOOK: Files for Creditor Protection in Spain

Manuel Baigorri at Bloomberg News reports that Fagor
Electrodomesticos Soc. Coop., an employee-owned appliance maker
based in Spain's Basque Country, said its Polish unit sought
creditor protection while the parent continues to negotiate with
lenders.
Fagor Mastercook SA filed for protection at a court in San
Sebastian, northern Spain, Bloomberg says, citing a statement to
regulators on Thursday. The parent company remains in talks with
lenders, after seeking preliminary creditor protection Oct. 16,
Bloomberg discloses.
According to Bloomberg, Elena Goirizelaia, a spokeswoman for the
company, said Fagor has EUR850 million (US$1.16 billion) of debt
as of June 30. Ms. Goirizelaia, as cited by Bloomberg, said that
figure includes EUR185 million of subordinated debt. She said
that debtholders include workers of Fagor, who at the same time
are partners of the company, Bloomberg relates.
Bloomberg notes that Cinco Dias reported on Thursday the
potential closure of Fagor would mean about 10,000 job losses,
including 5,600 Fagor staff and more than 4,000 staff at
suppliers.
Fagor is owned by Mondragon Corp., a closely-held cooperative
conglomerate. Its products include washing machines and pressure
cookers, with most revenue coming from foreign markets.
ZINKIA: Files for Pre-Bankruptcy Protection

Miles Johnson at The Financial Times reports that Pocoyo, the
much-loved children's animation narrated in English by Stephen
Fry, is in danger of becoming another victim of Spain's financial
crisis after Zinkia, its Madrid-based producer, said it was
filing for pre-bankruptcy protection.
Zinkia, which produces the animated show about a small boy and
his best friends, a duck, and a large pink elephant, said it was
entering a pre-bankruptcy process because of difficulties
repaying its debts, the FT relates.
According to the FT, Spain's stock market regulator had warned
small investors of the likelihood they would not receive their
money back if they bought into a failed EUR7.8 million bond issue
that Zinkia had tried to market to meet its debt maturities.
The company had aimed to complete the sale of the bonds, which
had a mooted coupon of 11%, by the end of October, the FT states.
Zinkia was founded in 2001 and floated on the Madrid stock
exchange in 2009 but has more recently faced severe financial
difficulties with just over EUR11 million of net debts, the FT
discloses. Revenues for the company fell by 52% in the first
half of this year compared to 2012, the FT relays.

ARSENAL KYIV: Bankruptcy Procedures Launched on Lack of Financing

Interfax-Ukraine reports that Kyiv Viktor Holovko, director
general of FC Arsenal, has said that the club has dropped out of
all competitions and that bankruptcy procedures have been
launched.
"I want to repeat once again, expressing my deepest regret, that
FC Arsenal Kyiv does not have the necessary funds for its
existence and the club's bankruptcy procedures have been
launched. Alas, nobody responded to my call to help the club.
The question is closed. Arsenal Kyiv has dropped out of all
competitions," Interfax-Ukraine quotes a statement posted on the
club's official Web site as saying on Friday.
On October 23, 2013, Mr. Holovko said that the club does not have
any further sources of financing, and called on potential
investors to help the team, Interfax-Ukraine relates.
According to Interfax-Ukraine, on October 24, 2013, Party of
Regions MP and businessman Oleksandr Onyschenko said that he had
stopped financing the club.

ALFRED TERRY: Enters Voluntary Liquidation

Professional Jeweller reports that Bridal and diamond jewelry
brand Alfred Terry Limited has entered voluntary liquidation in a
bid to relaunch as a leaner, fresher business.
Chief Executive Steve Wright told Professional Jeweller that the
decision to liquidate the Gitanjali-owned company was his own,
and follows a tough period of trading in 2013.
The business is now set to undergo a pre-packaged administration,
whereby a company is put into liquidation and its business or
assets, or sometimes both, are immediately sold under a sale that
has been arranged before the administrator was appointed,
according to Professional Jeweller.
"The business will essentially be pre-packed, so it is certainly
not the end of Alfred Terry. This way, we can prepare the
business and build it in a way that ensures we can sustain and
grow it in a profitable way," the report quoted Mr. Wright as
saying.
The report notes that it is understood that Alfred Terry has been
struggling for some time with liabilities dating back several
years, and this had put a strain on trading throughout 2013.
There were plans to liquidate the business before the company was
bought by Gitanjali in October 2011, but Gitanjali instead
decided to give the business another chance, the report relates.
The report notes that Mr. Wright said: "The decision to liquidate
Alfred Terry Limited has been all my own. Sales in the UK are
tough and while the international business is OK, I was not
confident with promising retailers goods this time of year, which
we might not be able to deliver. It has put us in a position
where we cannot take orders and naturally that places strain on
cash flow. . . . If we had carried on in the current model, it
was never going to work. We all know what the business model
needs to be for Alfred Terry, and there is finally a chance to do
it."
The report discloses that there are now plans in place to
relaunch the business as Alfred Terry UK, operating out of a
smaller office in London's Hatton Garden.
The report says that the announcement follows the sending of
creditors letters to those businesses working with Alfred Terry.
The company's staff were notified on October 31 about the
situation, and the business is said to be working with them on
their plans going forward, the report relays.
Mr. Wright will meet with creditors on November 8, where plans
will be made for the next step for the business, after which the
new Alfred Terry UK will be officially launched, the report adds.
Alfred Terry was founded in 1909 and is known for its selection
of fine bridal and diamond jewellery. The business was bought by
Indian jewellery giant Gitanjali Group in October 2011, with
intentions to diversify the business. This has included the
addition of several high-end Italian fine jewelry brands and
Canadian diamond brand Canadia.
BRAMWELL PUB: Owners in Administration, Closes Bar
--------------------------------------------------
BurtonMail reports that Bramwell Pub Company Limited has gone
into administration closing down its bar at the Goodridge, in
Station Street, Burton.
Bar staff had to ask customers to drink up before ushering them
out onto the street, locking the doors and shutting up, according
to BurtonMail.
The report notes that sources close to employees said that they
were "completely unaware" of the closure and found out only
minutes before they were forced to shut the doors.
Zolfo Cooper has been appointed joint administrators to the
company.
BurtonMail was told that it was 'unclear' if the pub would open
again and the administrators were 'inviting parties wishing to
make an expression of interest' in the site to come forward. The
report notes that it is not known how many jobs could be at risk
following the sudden closure.
Trouble has long been stalking the future of the Bramwell pub
chain after last week bosses admitted that a restructuring in
2012 did not go far enough in cutting the group's then GBP160
million debt pile or in offloading lossmaking sites, the report
discloses.
The group operates 185 pubs and bars across the UK and employs
around 3,300 staff across all sites.
The report notes that administrators have been appointed after
the group experienced cash flow problems arising from the
'current economic environment'.
The report discloses that it has also been revealed that the
Stonegate Pub Company is in advanced talks to acquire around 80
of the Smith and Jones brand operator's better performing sites.
The Goodridge belongs to this brand but is has not been disclosed
if it is part of the 80 sites, the report adds.
ENSORS GLOUCESTERSHIRE: Creditors Stand to Lose up to GBP5.8-Mil.

This is Gloucester reports that the Prince of Wales' organic farm
is one of more than 200 creditors owed up to GBP5.8million by an
abattoir which went into administration.
When Cinderford slaughterhouse Ensors Gloucestershire Ltd went
into administration in September, it was sold to Foyle Food Group
for GBP4million - and creditors stand to lose up to GBP5.8million
as administrator KPMG works out how much will be left, according
to this is Gloucester.
The report notes that a creditors' meeting is set for November 12
and many of the 200-plus who are owed money are expected to find
out how much they will get back.
The report discloses that they include:
-- the Prince of Wales' Duchy Home Farm in Tetbury which is
owed GBP47,700,
-- Forest of Dean District Council GBP127,000,
-- a Gloucester equipment supplier GBP138,000,
-- Collicutt Meats of Cheltenham GBP55,000,
-- a Lancashire haulier GBP217,000,
-- GBP16,600 to the Food Standards Agency,
-- GBP161,000 to a county haulier, and
-- GBP188,000 and GBP39,700 to Cotswolds farmers respectively.
The report notes that the abattoir and butchery's turnover
dropped from GBP26.6million in two years to GBP24.8million by the
end of January this year.
The report discloses that the plant at the Forest Vale Industrial
Estate was sold to Foyle Foods for GBP1.2million in September,
along with GBP2.8million of equipment in a deal which saved all
136 jobs at the new factory, which had only been open for 18
months.
In a letter to creditors, KPMG said the major cause of a GBP1.6
million loss by the end of January this year was "the loss of a
significant contract worth up to GBP10 million turnover per
annum," the report notes.
The report relays that to try and overcome the loss of that big
contract, Ensors started trading with Browns, another meat
processing firm. But shortly after, Browns ceased trading and
Ensors bought it, the report relates.
The report notes that Brown's had contributed GBP5million to
Ensors' turnover.
But Ensors couldn't keep Browns afloat and it went in to
voluntary liquidation, owing GBP525,000 to the parent company,
the report discloses.
The report says that caused cash flow problems, said KPMG.
A loan worth GBP3.1million to HSBC has been repaid, and KPMG
expects to pay back another loan worth GBP900,000 to HSBC Invoice
Finance, the report notes.
The unsecured creditors are owed up to GBP5.8 million -- almost
GBP3.3 million to other traders and a near GBP2 million grant
from Defra, the report relates.
GKN HOLDINGS: S&P Revises Outlook to Positive & Affirms 'BB+' CCR

Standard & Poor's Ratings Services revised its outlook on U.K.
engineering group GKN Holdings PLC to positive from stable. At
the same time, S&P affirmed the 'BB+' long-term corporate credit
rating on GKN.
The 'BB+' unsecured debt ratings and recovery rating of '4' on
GKN's unsecured notes are unchanged.
The outlook revision reflects S&P's opinion that GKN has
successfully integrated its latest acquisition, Volvo Aero, and
improved its overall profitability in the course of 2013. GKN's
revenue has grown above market rates for the past few quarters,
supporting S&P's expectation that the group will be able to
maintain its steady earnings growth for the next three years. In
S&P's view, the focus of GKN's financial policy has shifted
toward maintaining stable cash flows, although it remains
acquisitive. S&P views GKN's business risk profile as
"satisfactory" and its financial risk profile as "significant."
"We anticipate that GKN will continue to outperform its end
markets in most of its segments, especially auto and industrial.
It is present in the higher-growth all-wheel-drive segment and
has strong positions in high-growth regions. Comprehensive
geographical outreach allows GKN to benefit from the largest
automakers' increasing preference for common vehicle platforms.
We anticipate that GKN's operating profitability will continue to
benefit from the efficiency measures it recently undertook and
from Aerospace Engine Systems' contribution to trading profit
(GBP37 million in the third quarter of 2013). Therefore, we
anticipate that the group will be able to increase EBITDA before
Standard & Poor's adjustments by about 5% compound growth rate by
2015, compared with the œ896 million posted in 2012," S&P said.
"In our opinion, GKN has pursued a more moderate financial policy
since the 2009 financial crisis. Management's focus on cash
generation and its prudent capital structure has allowed GKN to
limit the impact of a sharp increase in pension deficit, which
more than tripled between December 2007 and December 2012. In
addition, GKN was able to accommodate spending on three large
acquisitions that it completed in 2011 and 2012," S&P added.
Dividend payments have steadily increased in recent years, but
the group still generated more in free operating cash flow than
it paid in dividends. The group raised new equity twice, in 2009
and 2012, issuing more than GBP500 million in total. These
factors caused debt to increase to GBP2.3 billion on June 30,
2013, from GBP1.2 billion on Dec. 31, 2010. However, the
corresponding growth in earnings and cash flow generation meant
that credit metrics remained at the strong end of the range:
debt-to-EBITDA ratio was 3x and funds from operations-to-debt
cover was 25% on June 30, 2013.
S&P expects GKN to maintain FFO to debt of at least 30% in 2013
and increase this measure going forward. The group's improved
level of profitability supports this view; S&P expects its
Standard & Poor's-adjusted EBITDA margin to be 11%-12% for the
next three years. S&P also forecasts that GKN's debt-to-EBITDA
ratio will be about 2.5x at the end of 2013 and fall further a
year after. In addition, S&P forecasts that free operating cash
flow and discretionary cash flow (DCF), as it defines these
terms, will remain positive and continue to grow over the same
period. S&P expects DCF to reach about GBP50 million in 2013.
S&P anticipates that GKN's extensive geographic reach will
support its position as a supplier to global customers in both
the auto and industrial and agricultural sectors. Strong
prospects for commercial aerospace, where new products are
starting to ramp up, are likely to temper the effect of difficult
trading conditions for its military arm. The powder metallurgy
division should benefit from opportunities to design specifically
for this technology and new product applications.
S&P considers GKN's liquidity position to be "adequate" under its
criteria. S&P estimates that the ratio of liquidity sources to
uses will be more than 1.2x for the next 12 months, and do not
expect to see any substantial liquidity shortfalls in 2014.
The group's key sources of liquidity include:
-- Cash and cash equivalents of about GBP119 million on
June 30, 2013. This excludes GBP100 million that S&P
estimates is tied to operations (about 1.5% of underlying
sales) and a further GBP14 million held by GKN's captive
insurance company.
-- Availability under committed credit lines. On June 30,
2013, GKN had GBP941 million of revolving credit facilities
(RCFs) maturing in 2016 and 2017; about GBP570 million of
these lines was undrawn.
-- Free operating cash flow of at least GBP200 million in
2013, rising thereafter.
The main potential uses of liquidity include:
-- Dividend payments in line with the group's guidance of 2.5x
net income coverage (S&P forecasts payments of
GBP125 million-GBP155 million a year).
-- Possible acquisitions in line with the group's growth
strategy, although S&P is not aware of any commitments or
intentions at present.
S&P also notes GKN's extended debt maturity profile. The next
largest bullet repayment -- of the GBP350 million notes paying
6.75% -- is not due until 2019. S&P estimates that the group has
substantial headroom under its RCF covenants.
HONOURS PLC: S&P Lowers Rating on Class D Notes to 'B(sf)'
----------------------------------------------------------
Standard & Poor's Ratings Services took various credit rating
actions in Honours PLC's series 2.
Specifically, S&P has:
-- Affirmed its 'AAA (sf)' ratings on the class A1 and A2
notes;
-- Raised to 'AA (sf)' from 'A (sf)' our rating on the class B
notes;
-- Affirmed and removed from CreditWatch negative its 'BBB
(sf)' rating on the class C notes; and
-- Lowered to 'B (sf)' from 'BB (sf)' and removed from
CreditWatch negative its rating on the class D notes.
On Oct. 16, 2013, S&P placed on CreditWatch negative its ratings
on the class C and D notes following its reassessment of its
gross loss base-case and deferment exit rate assumptions.
Honours series 2 is backed by student loans in the U.K. and
closed in 2006. Borrowers who earn below the threshold amount
(currently set at 85% of the national average earnings) are able
to defer repayment of their loans. During deferment, principal
on the loan is deferred and interest is capitalized. Once a
borrower earns above the threshold amount they automatically exit
deferment and commence repaying and the loans are exposed to
default risk upon exiting deferment. Provided a loan is not in
arrears, it will be cancelled if the borrower dies, becomes
permanently disabled, the loan has been deferred for 25 years, or
the borrower reaches 50 or 60 years of age, depending on whether
they were under or over 40 when they took out the loan.
The notes continue to benefit from the Student Loan Authority's
interest rate subsidy and an indemnity for cancelled loans,
though it is worth noting that this indemnity does not apply to
defaulted loans.
The rating actions follow S&P's further review of the
transaction's performance.
S&P considers U.K. unemployment to be a crucial factor affecting
the transaction's performance as it affects the exit rates of
loans currently in deferment and the default rate of loans that
have exited deferment. S&P believes that employment growth will
be stagnant to mildly positive in the near term, with its
unemployment rate forecasts at 8.1% in 2013 and 8.0% in 2014.
Graduate unemployment rates are stable. Therefore, S&P can
expect to see a similar rate of loans coming out of deferment as
it has observed in the transaction to date.
For this review, S&P resized its gross loss base-case assumption
to 11%. This means that S&P assumes that 11% of loans exiting
deferment will default. S&P has also assumed a new base-case
assumption of loans exiting deferment--based on the actual
observed rates after students have graduated. S&P used
surveillance data to update these assumptions.
S&P has also applied a high and low constant prepayment rate on
repaying and deferred loans, and a high and low LIBOR interest
rate scenario. S&P continues to apply a 20% recovery rate on
losses.
There is a direct correlation between the rate of loans exiting
deferment and the level of defaults, and an inverse one between
prepayment rates and losses. The former is due to larger numbers
of loans entering repayment and thereby becoming eligible for
defaults; the latter as a prepaid loan bypasses the stage where
it can fall into arrears and losses.
The liquidity reserve amortizes after the class A1 and A2 notes
have made timely payment of interest and repaid their principal.
This therefore exposes the junior tranches to the risk of losses
arising at the end of the transaction's life. Although there is
a principal deficiency ledger, all surplus excess spread after it
is cleared is lost, due to third-party performance fee payments,
rather than it causing credit enhancement to accumulate.
S&P's revised assumptions mean that the class D notes are exposed
to more losses -- some of which affect this class of notes later
in the transaction's life -- than previously estimated. S&P has
therefore lowered to 'B (sf)' from 'BB (sf)' and removed from
CreditWatch negative its rating on the class D notes.
The class B notes have benefited from increased credit
enhancement since closing in 2006, which means that this class is
able to withstand stresses at the 'AA (sf)' rating level. S&P
has therefore raised to 'AA (sf)' from 'A (sf)' its rating on the
class B notes. S&P has tested the stability of these ratings
under various scenarios and the ratings migration is in line with
its expectations.
S&P has affirmed its 'AAA (sf)' ratings on the class A1 and A2
notes due to the increased available credit enhancement for these
classes of notes since closing.
S&P has affirmed and removed from CreditWatch negative its
'BBB (sf)' rating on the class C notes. This is because they
also have more available credit enhancement since closing, which
offsets the effect of S&P's increased base-case assumptions.

criteria.
In the December 2012 investor report, the servicer (Acenden Ltd.)
updated how it reports arrears to include amounts outstanding,
delinquencies, and other amounts owed.
Other amounts owed include, among other items, arrears of fees,
charges, costs, ground rent, and insurance. Delinquencies
include principal and interest arrears on the mortgages, based on
the borrowers' monthly installments. Amounts outstanding are
principal and interest arrears, after payments by borrowers are
first allocated to other amounts owed.
In these transactions, the servicer first allocates any arrears
payments to other amounts owed, then interest and principal
amounts. From a borrowers' perspective, the servicer first
allocates any arrears payments to interest and principal amounts,
and then to other amounts owed. This difference in the
servicer's allocation of payments for the transaction and the
borrower, results in amounts outstanding being greater than
delinquencies.
Amounts outstanding have been increasing for all three
transactions.
S&P's current weighted-average foreclosure frequency (WAFF)
assumptions have decreased and our weighted-average loss severity
(WALS) assumptions have increased for all three transactions
since its previous reviews in the first quarter of 2012. S&P's
WAFF assumptions have decreased primarily due to an increase in
seasoning and as S&P is considering delinquencies rather than
amounts outstanding, when applying its arrears adjustment. S&P's
WALS assumptions have increased because it expects potential
losses to be higher, given the servicer's method of allocation of
payments of other amounts owed for the transactions.
The notes in all three transactions are currently amortizing
sequentially, as the pro rata arrears triggers have been
breached. As the amounts outstanding continue to increase, S&P
considers that the transactions will likely continue paying
principal sequentially and S&P has incorporated this assumption
in its cash flow analysis. All three transactions benefit from
increased credit enhancement compared with S&P's last reviews,
due to nonamortizing reserve funds, combined with sequential
amortization.
Due to the low pool factors in each of the transactions, combined
with the relatively low number of loans and high arrears levels,
we believe there is increased tail end risk in the pools, which
S&P has incorporated into its analysis.

The pool factor in this transaction is 5.5%. Acenden references
the level of amounts outstanding to arrive at the 90+ days
arrears trigger. The level of 90+ days amounts outstanding
(including repossessions) has been rising and is at 34.01%.
Total amounts outstanding have increased, representing 43.77% of
the pool, up from 35.69% in January 2012.

rating (ICR) on Barclays Bank PLC (A/Stable/A-1).

the level of amounts outstanding to arrive at the 90+ days
arrears trigger. The level of 90+ days amounts outstanding
(including repossessions) has been rising and is at 39.19%.
Total amounts outstanding have increased, representing 47.40% of
the pool, up from 40.81% in March 2012.

days arrears trigger. The level of 90+ days amounts outstanding
(including repossessions) has been rising and is at 40.28%.
Total amounts outstanding have increased, representing 52.61% of
the pool, up from 40.06% in December 2011.

current rating levels. Therefore, S&P has affirmed its ratings
on all classes of notes in this transaction.

in this transaction are capped at its 'A' long-term ICR on
Barclays Bank.
S&P's credit stability analysis for all three transactions
indicates that the maximum projected deterioration that S&P would
expect at each rating level over one and three-year periods,
under moderate stress conditions, are in line with its credit
stability criteria.
These transactions are backed by nonconforming U.K. residential
mortgages originated by Preferred Mortgages Ltd. (PML).

for bond issues that reportedly trade well below par. Prices are
obtained by TCR editors from a variety of outside sources during
the prior week we think are reliable. Those sources may not,
however, be complete or accurate. The Monday Bond Pricing table
is compiled on the Friday prior to publication. Prices reported
are not intended to reflect actual trades. Prices for actual
trades are probably different. Our objective is to share
information, not make markets in publicly traded securities.
Nothing in the TCR constitutes an offer or solicitation to buy or
sell any security of any kind. It is likely that some entity
affiliated with a TCR editor holds some position in the issuers'

Each Tuesday edition of the TCR contains a list of companies with
insolvent balance sheets whose shares trade higher than US$3 per
share in public markets. At first glance, this list may look
like the definitive compilation of stocks that are ideal to sell
short. Don't be fooled. Assets, for example, reported at
historical cost net of depreciation may understate the true value
of a firm's assets. A company may establish reserves on its
balance sheet for liabilities that may never materialize. The
prices at which equity securities trade in public market are
determined by more than a balance sheet solvency test.
