CREW GOLD: Unsecured Bondholders Reject Restructuring Proposal
--------------------------------------------------------------
Crew Gold Corporation has unveiled results from Tuesday's
bondholders' meetings.
On Aug. 17, 2009, Crew said that it was taking initiatives to
strengthen its balance sheet, including the proposed conversion
into common shares of approximately US$148 million principal
amount of bonds issued by Crew and a Rights Offering with proceeds
ranging from NOK 5 million to NOK90 million (collectively, the
"Restructuring").
Bondholders' meetings to consider the Restructuring were held on
Sept. 1 in the following bond issues:
-- 9.50 percent Crew Gold Corporation Unsecured Bond Issue with
Call Option 2004/2009 (ISIN NO 001024380.1)
-- 6.00 percent Crew Gold Corporation Senior Unsecured
Convertible Bond Issue 2005/2010 (ISIN NO 001029393.9)
-- 5.406 percent Crew Gold Corporation Senior Unsecured
Convertible Bond Issue 2009/2010 (ISIN NO 001049555.9)
-- Crew Gold Corporation Senior Secured Bond Issue 2006/2010
with call option (ISIN NO 001030731.7)
The bondholders' meetings in the USD Convertible Bonds, the NOK
Convertible Bonds and the Senior Secured Bonds approved the
proposed Restructuring, but the bondholders' meeting in the
Unsecured Bonds rejected the Restructuring. Since the approval by
the bondholders' meetings in all said bond issues is a condition
for the completion of the Restructuring, the Company cannot
proceed with the Restructuring unless and until the bondholders'
in the Unsecured Bonds were to approve the Restructuring at a
reconvened bondholders' meeting in time for the Restructuring to
be completed by October 26, 2009.
The Company intends to continue to explore structural and
strategic alternatives to rescue value from the Company's LEFA
project for all stakeholders, including whether to request a
bondholders' meeting in the Unsecured Bonds to be convened to
reconsider the Restructuring.
Restructuring Proposal
Crew has incurred approximately US$330 million of bond debt over
the past 5 years to partially fund acquisitions and capital
expansion. The balance of funding has come from shareholders,
operations and asset sales. After advice from Arctic Securities,
the financial advisor, Crew decided to explore different
alternatives to allow it to better execute its business plan. The
objective has been to find a financially viable solution to
preserve and protect stakeholder value. The proposed
Restructuring is a result of negotiations between the largest
bondholders and a committee of the Board of Directors. The
bondholders referred to represent negative control of the largest
bonds and were therefore a key determinant in seeking to find a
mutually agreed Restructuring proposal. The trustee, Norsk
Tillitsmann, has also taken an active part in these negotiations
and has provided frequent inputs from the initiation of the
process, including but not limited to, reviewing and commenting on
the transaction structure and proposed solutions. The Company is
therefore of the opinion that the proposal represents a balanced
and united solution from both a shareholder and bondholder
perspective.
Going Concern
Crew is in a critical stage of the operational ramp-up. In
particular, the Company emphasizes the importance of the liquidity
disclosures and going concern note in "Management's Discussion and
Analysis of Financial Conditions and Results of Operations for the
quarter and six months ended June 30, 2009" stating:
"The Company believes that the completion of the rectification
program and the achievement of the anticipated 2009 production
targets at LEFA will result in the operations generating
sufficient cash flow to fund its working capital requirements and
repay its obligations as they fall due during 2009, however, this
cannot be assured as the cash flows are dependent on significant
factors outside the control of management such as changes in the
gold price, foreign exchange rates, political uncertainty and the
increasing costs of inputs. Further, the Company will be required
to renegotiate or refinance debt facilities coming due in 2010.
There can be no assurance that the negotiations will be successful
or that the Company will be able to raise the necessary financing
to repay the debt as it comes due."
In order to address these challenges, a conversion of a portion of
the Bonds into equity, in combination with securing additional
sources of funds, is currently being contemplated under the
proposal. Based on feedback from the financial advisor to date,
it is evident that raising new equity capital on a standalone
basis would be conditional upon a substantial restructuring of the
Bonds. The liquidity and stability of the Company following the
injection of proceeds from the proposed Rights Issue, as well as
the Bondholders' influence on the Company through the new
representatives on the Board of Directors, should be seen as
positive factors to the Bondholders. In the opinion of the
Company, the Restructuring proposal is expected to be a viable
long term financial solution.
The Restructuring proposal is a result of negotiations with the
major stakeholders to find a viable financial long term solution
for all components of the capital structure.

* UK: 2,460 Manufacturers to Go Bust in 2009, BDO Says

Manufacturing output remains significantly below pre-recession
levels and there will be a high of 2,460 business failures in
2009, compared to the 1,600 recorded in 2008, according to the
latest Industry Watch report by accountants and business advisors,
BDO Stoy Hayward LLP.
Despite this, the manufacturing sector is likely to be one of the
better performing areas of the economy following the downturn.
Recent output figures have shown growth in the sector and further
output data from the Office for National Statistics is to be
released this Friday 28 August.
Going forward into 2010, business failures are expected to drop to
2,090. As the manufacturing industry emerges from the downturn,
a variety of factors will signal an improved outlook. Among these
are the easing of credit constraints, lower sterling exchange
rates and increased domestic and external demand.

The retail sector will dwell in the doldrums for longer than other
industries, with the number of business failures rising in 2010,
according to the latest Industry Watch report by accountants and
business advisors, BDO Stoy Hayward LLP.
Going forward, rising unemployment will likely cause a decline in
consumer spending in 2010, driving up insolvencies. In tandem,
lower wage growth and reduced consumer credit will also contribute
to the increase in business failures, with 4,630 expected in 2009
rising to 5,070 in 2010.
To date consumers have shown remarkable resilience in the face of
the recession. Retail spending has held up unexpectedly well
throughout the downturn; Office of National Statistics data shows
that during the second quarter retail sales volumes were up by 0.7
per cent quarter-on-on quarter and 1.3 per cent compared to the
second quarter of 2008. Despite this, many retailers have paid
the price of heavy discounting which has left profit margins
painfully thin.

contraction originally suggested, with a flexible labour market
allowing employers to reduce hours and wages rather than make

"However retailers can expect the worst of the recession to hit in
2010 when rising unemployment and structurally lower consumer

Don't be fooled. Assets, for example, reported at historical cost
net of depreciation may understate the true value of a firm's
assets. A company may establish reserves on its balance sheet for
liabilities that may never materialize. The prices at which
equity securities trade in public market are determined by more
than a balance sheet solvency test.
