DSK BANK: Moody's Mulls Rating Upgrade
--------------------------------------
Moody's Investors Service has placed on review for upgrade the
Ba1/Not-Prime long- and short-term foreign currency deposit
ratings of DSK Bank plc.

This action follows placing of Bulgaria's Ba1 and Not-Prime
foreign currency deposit ceilings on review for possible
upgrade.  The bank's other ratings remain unaffected by this
action.

Moody's states that ceilings for such deposits in Bulgaria
constrain the ratings of DSK Bank at the Ba1/Not-Prime level,
and therefore move in line with these ceilings.  The long-term
foreign currency deposit ratings of DSK Bank and Piraeus
Eurobank are pushed up to the Ba1 ceiling because of the high
likelihood of support from parent OTP Bank (Hungary), rated
A1/Prime-1/B-.

Headquartered in Sofia, DSK Bank plc had total assets of
BGL3,966 million (EUR2.028 billion) in June 2005.

PIRAEUS EUROBANK: Moody's Reviews Ratings for Upgrade

Moody's Investors Service has placed on review for upgrade the

CZECH AIRLINES: Cuts Dubai Flights; Suspends Sri Lanka Service
--------------------------------------------------------------
Czech Airlines A.S. (CSA) will reduce in May 2006 the number of
flights from Prague to Dubai to three times weekly from four,
Pravo says.

According to Jakub Kolar, CSA's director for countries in the
Gulf region, the reduction was due to Czech Republic's very
strict visa policy towards Arab countries.  CSA will also
suspend flight to Sri Lanka due to a significant decline in
number of tourist going to the country after the tsunami
incident in December 2004.

The carrier recently decided to end flights to Baku, Azerbaijan
on Jan. 6, 2005 as part of a program to abandon flights to the
West to concentrate on destinations in the East, where markets
are fairly small, but steadily growing.

Czech Airlines reported a loss of CZK464 million, instead of an
expected CZK177 million profit in the first half due to high
fuel prices.  It now expects a loss for the full year of between
CZK350 million and CZK550 million, and not a profit of CZK522
million as projected.

VSEOBECNA ZDRAVOTNI: Audit Results Out January
----------------------------------------------
The Health Ministry has until January 11, 2006 to submit the
result of its audit on Vseobecna zdravotni Pojistovna Ceske
Republiky (The General Health Insurance Company, VZP), Czech
News Agency says.

On that day, the Chamber of Deputies Commission of Investigation
will also meet to discuss the report and may grill members of
the auditing team, Commission chair Jozef Kubinyi said.  Later
in April, the Commission will look into the alleged
mismanagement at VZP, which accordingly caused its debt to
balloon.

The Health Ministry placed VZP under forced administration on
Nov. 10 and appointed Antonin Pecenka administrator.  VZP, which
operates on an annual budget of CZK200 billion, has racked up
debt of CZK14 billion.  The ministry blames it on the poor
performance of outgoing director Jirina Musilkova.  She leaves
on January 1, 2006.

BULL S.A.: Carries out Share Consolidation
------------------------------------------
In accordance with commitments made earlier this year, the
consolidation of Bull S.A. shares has been implemented from
Monday, December 19, 2005 as of market open.

This consolidation involves:

(a) consolidation parity: exchange of 10 old shares against 1
    new share;

(b) quantity of shares to be consolidated: 967,857,990 with a
    EUR0.01 nominal value;

(c) quantity of new shares to be created by the consolidation:
    96,785,799 with a EUR0.10 nominal value;

(d) trading place of shares to be consolidated: Eurolist B,
    Euronext Paris;

(e) ISIN code of shares to be consolidated: FR0000052607; and

(f) ISIN code of post consolidation shares: FR0010266601.

The consolidation will happen automatically for each lot of 10
old shares.  Shareholders who did not have a quantity of old
shares corresponding to a multiple of 10 will be responsible for
dealing with leftover shares.  Old shares will remain listed
until December 19, 2007.

At the end of the two-year period, post consolidation shares
corresponding to any shares that have not been consolidated will
be sold automatically.  The proceeds of the sale will be
redistributed to indemnify holders of non-consolidated shares.
In case this repayment is not immediately feasible, the
corresponding amount will be held for a period of 10 years by
Credit Agricole Investor Services (CAIS) CT, 14, rue Rouget de
Lisle, 92130 Issy-les-Moulineaux Cedex 9, in an account for the
benefit of the shareholder.

                        About the Company

Bull designs and develops servers, software and services for an
open environment, integrating the most advanced technologies.
It implemented a three-step turnaround plan in 2002 after being
hurt by steadily declining revenues since 1997.  Its position
deteriorated owing to the stock market crisis affecting
technology stocks, the crisis in the Internet sector and the
collapse of telecommunications markets.

                          Restructuring

In 2004, the last and essential steps of the recapitalization
process were completed.  The market operations launched in June
2004 (capital increase, and Oceane bonds public exchange offer)
were successfully carried out allowing Bull to raise EUR61
million.

On December 1, 2004 the European Commission approved the EUR517
million restructuring aid proposed by the government.  Bull
received the amount on January 14 this year.  This aid is tied
to a profit sharing agreement under the terms of which Bull will
pay the French State 23.5% of the consolidated profit before tax
exceeding EUR10 million for 8 years.

The payment of this aid was subject to Bull's reimbursement of a
shareholder advance of the same amount (capital & interests)
granted by the French State in 2001 and 2002 and converted in
March 2004 into a subordinated loan.  This reimbursement took
place in January 2005.  The recapitalization of Bull is now
complete.

                         Status to date

The action plan launched in 2002 helped Bull record its first
six months of growth since 1999 in July.  It reported net income
of EUR9.4 million.  It hopes to bring its Italian operations to
breakeven at the end of 2005.

In February, Standard & Poor's Ratings Services revised its
outlook on Bull to positive from stable, primarily reflecting
the sequential stabilization, in second-half 2004, of the
company's business performance, including revenues and EBIT,
growing bookings, and rising free cash flow.  At the same time,
Standard & Poor's affirmed its 'B-' long-term corporate credit
rating on the group.

LANSON INTERNATIONAL: Owners Reach Deal with Boizel Chanoine
------------------------------------------------------------
The Boizel Chanoine Champagne (BCC) will acquire debt-laden
Lanson International, Les Echos says.

After more than a week of exclusive talks, BCC will acquire the
44% stake of Caisse Nationale des Caisses d'Epargne et de
Prevoyance (CNCE) and the 56% holdings of majority owner Mora
family.  CNCE approved the sale Thursday.

BCC had bid for Lanson, offering EUR120 million, but withdrew
the offer along with Jean-Claude Darmon, leaving Capital Butler
the sole bidder.  Butler, however, withdrew after the Mora
family and CNCE refused to open its accounts for review.  In
addition, grape growers had refused to guarantee supply to
Lanson.

Meanwhile, Lanson employees staged Monday a demonstration
outside CNCE's head office, calling on the group to fulfill its
promise to keep track of the champagne maker's development.

Lanson is the country's second-largest champagne producer by
volume.  It has been up for sale since June.  Set up in 1760,
Lanson manufactures Champagne Lanson, Besserat de Bellefon and
Gauthier.  The group has annual sales of EUR220 million and debt
of EUR410 million.

DAIMLERCHRYSLER AG: Mercedes Recalls 61,000 C-Class Sedans
----------------------------------------------------------
DaimlerChrysler AG's Mercedes Benz division is recalling 61,000
units of C-Class sport sedans due to defects involving the
driver's side airbag.

The recall, which affects the 2005-2006 models, came after the
U.S. National Highway Traffic Safety Administration found the
irregularities on the vehicles during government compliance
testing.  New driver's side air bag modules that are compatible
with government rules will be installed as part of the move.

Mercedes Benz spokesman Rob Moran said the automaker did not
"feel this represents a risk in real-world situations, only in
this clinical situation."

In October, DaimlerChrysler revealed that Mercedes was recalling
some 50,000 vehicles due to defective windshield wipers.  The
recall included Vaneo units built between April 2002 and March
2003 as well as A-Class vehicles produced between April 2002 and
2003.  It affected mostly clients from Germany.

Mercedes has been described a "tarnished" brand in the wake of
slipups in design and engineering, which forced the division to
recall 1.3 million units this year, the largest in Daimler's
history.  Mercedes has also seen falling profits due to model
changeovers, the strong euro, and losses at its Smart venture,
which has already cost the company EUR512 million.

KUKA ROBOTER: Cutting Sites, Jobs Next Year

Kuka Roboter GmbH, robotics unit of engineering group IWKA, will
shut down in mid-2006 three production sites and slash 191 of
its 1,284 employees, Borsen Zeitung says.

The group will close its Weingarten, Goppingen, and
Gunzburg/Ichenhausen sites and transfer production to plants in
Augsburg and Gersthofen.  The group will also start focusing on
robots for the other industrial sectors aside from the car
industry.  According to Borsen Zeitung, the group has been
suffering from falling book orders due to declining investment
from the car industry.

Kuka saw its EUR23.3 million nine-month profits dwindle to -
EUR2.3 million.  For the first nine months, turnover fell 36.6%
year-on-year to EUR182.6 million while order bookings dropped by
23.9% to EUR196.3 million.  Due to the group's dismal
performance, U.S. investor Guy Wyser-Pratte, who reportedly owns
more than 7% of IWKA, has set aside his plans to transform Kuka
into a robot technology specialist.  He has agreed to keep the
group's packaging technology operations, Borsen Zeitung said.

PFLEIDERER AG: Exclusivity Agreement with Vossloh Expires
---------------------------------------------------------
The German anti-trust authority (Bundeskartellamt) has expressed
serious reservations during the authorization procedure for the
takeover of the Pfleiderer AG's (ISIN DE0006764749) business
segment track systems by Vossloh AG (ISIN DE0007667107).  Hence
for Pfleiderer AG's Board of Management there is serious doubt
as to whether the transaction with Vossloh AG can be concluded
in the near future. As a result, the contractually agreed
exclusivity with Vossloh AG will expire at the end of 2005.  The
contract with Vossloh AG can be rescinded by Pfleiderer AG at
any time from January 1, 2006 onwards.

In January 2006, Pfleiderer AG will be restarting talks with
other potential purchasers who have since expressed their
interest.  The business segment track systems achieved operating
results for the current fiscal year well in excess of
expectations.

As reported by TCR-Europe in July, Fitch Ratings affirmed
Pfleiderer's (ISIN DE0006764749) Senior Unsecured 'BB' rating
and removed it from Rating Watch Negative (RWN).  A Stable
Outlook has been assigned.  The Short-term 'B' rating is also
affirmed.

The rating action follows Pfleiderer's announcement to acquire
Kunz Group's engineered wood activities in Canada, the United
States and Germany.  In FY04, the acquired activities had total
sales of EUR556 million and EBITDA of EUR85 million.  The
transaction is expected to close in August/September and subject
to regulatory approval.

ROYAL SHELL: Bids for LPG Biz Fall Short; Sale may be Scrapped

Bids for Royal Dutch Shell's Liquefied Petroleum Gas unit are
EUR1 billion (GBP685 million) lower than the company expects,
reports The Telegraph.

The slow-paced auction, which started in September 2004, has
seen the exit of Blackstone, Goldman Sachs and Kohlberg Kravis
Roberts, cutting the number of bidders to three.  Last week, BC
Capital, a consortium of Bain Capital and PAI Partners, and
Spain-based Repsol YPF tabled their final offers, which were
believed to have been under EUR1.5 billion (GBP1.03 billion).

Shell had hoped to pocket EUR2.5 billion for the business, but a
sharp downturn in the LPG industry has prompted sources to
consider even EUR1.5 billion too high a price.  The unit's
declining underlying earnings didn't help either.

"It is not a EUR2.5 billion business, although Repsol has been
known to overpay in the past.  If Shell had the choice, they
would probably not sell to a competitor," one source told the
Telegraph.

While Repsol had already acquired Shell's LPG unit in Portugal
for EUR100 million, the sale of the entire business may be
subject to inquiry by the European Commission.

Shell, meanwhile, has refused to say whether the bids are too
low.  A spokesman said: "The process is on track but we are not
commenting on bidders or the process.  We will take a decision
if the values offered are sufficiently high in order to go ahead
with this divestment."

If the offers fail to satisfy Shell, the company could leave the
unit, which employs over 3,000 people, as a stand-alone business
after spending the past year restructuring it.  A decision is
expected early next year.

ROYAL SHELL: Pumps up Global LNG Portfolio
------------------------------------------
Royal Dutch Shell plc has unveiled two major additions to its
global Liquefied Natural Gas (LNG) portfolio.  In Qatar, the
company joined forces with Qatar Petroleum (QP) in the
development of the large-scale Qatargas 4 LNG project, while in
the United States Shell agreed to acquire additional capacity at
the Elba Island LNG import terminal in Georgia.

Speaking from Doha in Qatar at the award of the Engineering,
Procurement and Construction (EPC) contract for the Qatargas 4
project, Linda Cook, Shell executive director of Gas and Power,
said: "We are honored to join Qatar Petroleum in partnership for
the Qatargas 4 LNG venture.  The project will contribute to
Shell's goal of growing our natural gas production and reserves
position, as well as to increased security and diversity of
natural gas supply to North America."

Qatargas 4 is Shell's seventh global LNG supply project and
reaffirms the company's leadership position among international
oil companies in the global LNG business.

An integrated upstream and LNG project, Qatargas 4 will produce
1.4 billion cubic feet per day of natural gas, including an
average of approximately 70 thousand barrels per day of
associated natural gas liquids from Qatar's North Field over the
25-year life of the project.  The project also includes a 7.8
million tonnes-per-annum (mtpa) liquefaction plant and related
LNG shipping capability.  Qatargas 4 is a joint venture between
Qatar Petroleum (70%) and Shell (30%).  The majority of the LNG
will be delivered to the growing natural gas market in North
America.  LNG deliveries are expected to commence around the end
of the decade.

Shell's LNG equity sales in 2004 were 10.15 million tonnes from
projects in Nigeria, Malaysia, Brunei, Oman and Australia.
Three new LNG trains are currently nearing start-up, within
budget and schedule expectations, in Oman and Nigeria.  Good
construction progress is being made on additional new trains in
Australia, Russia and Nigeria for start up in the coming years.
Now, with the addition of Qatargas 4, Shell's equity LNG
production capacity is expected to approximately double by the
end of the decade.

Shell also announced that it has reached agreement with Southern
LNG Inc., a wholly owned subsidiary of El Paso Corporation's
Southern Natural Gas Company (SNG), to acquire additional
capacity at the Elba Island LNG import terminal in Georgia in
the United States.  In addition Shell has reached agreement with
Elba Express Pipeline Company LLC, a wholly owned subsidiary of
SNG, to acquire capacity in a new natural gas pipeline.  Both
projects will be filed with the U.S. Federal Energy Regulatory
Commission (FERC) for approval in the third quarter of 2006.
The intention is that this capacity will be utilized to import
Qatargas 4 volumes into natural gas markets in the eastern
United States.

The deal with El Paso will further strengthen Shell's LNG import
position in North America.  In addition to Elba Island, Shell
has capacity rights at the existing Cove Point LNG terminal in
Maryland and in the Altamira LNG terminal under construction on
Mexico's east coast.  Shell also has capacity rights at the
Energia Costa Azul terminal currently under construction on the
Pacific coast of Mexico.

LNG supplies for these projects are planned from Shell's
portfolio of existing and future LNG projects.

Linda Cook added: "With global demand for LNG expected to double
this decade, the addition of Qatargas 4 and additional Elba
Island capacity to Shell's global portfolio of LNG assets will
further strengthen our leading industry position in this
exciting sector."

GAZPROMBANK: Financial Strength Raised to D-
--------------------------------------------
Moody's Investors Service upgraded to D- from E+ the Financial
Strength Rating (FSR) of Russia's Gazprombank (GPB); the bank's
Baa2/Prime-2 long-term and short-term foreign currency deposits
ratings as well as its Baa1 long-term senior debt rating remain
unchanged.  The outlook for the ratings is stable.

According to Moody's, this upgrade reflects:

(a) The significant improvements in Russia's operating
    environment with buoyant macroeconomic conditions and
    booming international prices for natural resources, which
    have increased the prosperity of the bank's customers and
    benefited significantly its asset quality and liquidity;

(b) A downward trend in related-party lending; and

(c) The bank's well-established international profile, which
    brings much needed diversification and improves the maturity
    profile of the bank's funding.

Moody's notes that owing to notable interweaving of GPB's
activities with those of its parent (OJSC Gazprom), both sides
of the bank's balance sheet still display a high single-name and
sectoral concentrations, which remains the key constraint on the
bank's FSR, although still compatible with its new FSR level of
D-.

The bank's FSR also remains constrained by:

(a) GPB's relatively weak institutional development -- including
    potential corporate governance issues -- and by the high
    dependence of the bank's strategic direction on its parent;
    and

(b) The bank's modest recurring revenues combined with high
    operating costs, which translate into relatively weak core
    earnings.

Further upward potential of the bank's FSR would be very much
dependent on its ability to diversify its business away from the
parent's activities, thereby securing the major part of its
future growth through types of business that would not be
directly or indirectly related to Gazprom Group.

PROMSVYAZ FINANCE: Ratings Upgraded to Ba3/D-
---------------------------------------------
Moody's Investors Service has upgraded to D- from E+ the
Financial Strength Rating (FSR) of Russia's Promsvyazbank, and
has raised the bank's long-term foreign currency deposit and
senior unsecured debt ratings to Ba3 from B1.  The bank's short-
term deposit rating remains unchanged at Not-Prime.  The outlook
for the ratings is stable.

According to Moody's, this upgrade reflects:

(a) The bank's growing franchise and strengthening positions
    within the banking sector reflected in its 12th ranking in
    terms of total assets as of 1 October 2005 according to
    Interfax;

(b) Its relatively good financial fundamentals; and

(c) An overall improvement in the bank's operating environment.

Moody's notes that Promsvyazbank's balance sheet still displays
high, though declining, single-name concentrations heightening
the bank's credit and liquidity risk under adverse scenarios.
Although these levels are still compatible with the current
Ba3/NP/D- ratings and well comparable with the bank's similarly
rated peers, further diversification would be essential for the
bank to attain higher ratings.

Promsvyazbank's future ratings direction will also depend on:

(a) Its ability to diversify its revenues and grow its earnings
    while cutting its reliance on the level of net interest
    margins;

(b) The ultimate success of its branch network expansion
    program and ability to withstand the rising competition; and

(c) Continued capital support from the bank's shareholders to
    fuel its rapid balance sheet growth and maintenance of its
    presently good financial fundamentals.

Affected ratings:

(a) Long-term foreign currency deposit ratings upgraded to Ba3
    from B1

(b) Long-term foreign currency senior unsecured debt upgraded to
    Ba3 from B1

(c) The bank's FSR upgraded to D- from E+

Outlooks on all ratings are stable.

JARVIS PLC: Prismo Unit Wins GBP600,000 Contract
------------------------------------------------
Prismo Contracting Services, a unit of Jarvis plc, has won a
GBP600,000 contract over 1.5 years for the installation and
maintenance of road markings and reflective road studs for
Durham County Council.  The contract has the potential for a
three-year extension, which would bring its total value to
GBP1.8 million.

The contract includes a managed partnership agreement that
defines the landmark working relationship between Prismo and
Durham County Council.  As part of the managed partnership
agreement, the two organizations will undertake a mobile
reflectometer survey (Ecodyn system) for the A road network.
The results will be used to ensure the roads are maintained to a
high standard, with data linked to monitoring of road traffic
accidents and primary winter maintenance routes.

Durham County Council is recognized nationally and
internationally for its traffic management and road safety
engineering works.  It is working towards Year 2010 casualty
reduction targets, which includes a 40% reduction in the number
of people killed or seriously injured in road accidents.

The partnership will drive clear two-way communication between
the two organizations with collaboration on safety, product
development and deployment, and on-line management systems.

The contract renewal consolidates the existing partnership
between the two organizations, which during the past five years
has seen the development and trial of Prismo's leading-edge
Colourbright road surfacing application that works in wet and
unlit conditions.  Prismo and Durham County Council will
continue their pioneering approach, looking for new and improved
ways to address and effectively manage road safety issues.

Durham County Council's Team Leader for Accident Investigation,
Prevention and Safety Audit, Don Waller, said: "Our partnership
with Prismo has proven extremely successful during the past five
years, enabling us to identify and address road safety issues
using new and emerging technologies.

"We undertake constant analysis of accident data to design and
implement remedial schemes and Prismo has been integral to this
process, enabling us to respond quickly to issues where a new
road markings approach is needed.

"As well as having the research and development capabilities to
address our diverse road marking needs, now and in the future,
Prismo has a local depot and is able to respond quickly and
efficiently as part of our team."

Prismo's commitment to the environment was also considered key
to the contract win, with the company having in place ISO 14001-
compliant Environmental Management System.  New products are
developed with a view to minimizing environmental impact.  For
instance, the polythene bags that hold the thermoplastic
material are designed to melt and become part of the mix within
the boilers of road marking vehicles.
