CENTA: Creditors Form Committee

Creditors of real estate group Centa have set up a committee to
represent them in the bankruptcy proceedings, Czech News Agency
says.

Bankruptcy assets administrator Pavel Cvancara says the committee
will release the final list of creditors as well as their total
claims within two months.

Centa opted to file for bankruptcy after months of being hobbled
by various financial problems, which started in June 2004.  Owner
Stanislav Kindl blamed his associates for Centa's demise.
Considered the country's second largest real estate group, Centa
sold 20 apartments and eight house-and-lots in 2003.  It leases
around 80 apartments a month.

LEGO COMPANY: Pre-tax Result Down to DKK1,237 Million
-----------------------------------------------------
The year 2004 saw substantial improvement in the Lego Company's
result before special items and financial income and expenses,
increased market share, and marked improvement in cash flows
despite decline in turnover.

Highlights

(a) Toy sales totaled DKK6,704 million in 2004 compared with
    DKK7,196 million in 2003 (-7%);

(b) Total turnover (including LEGOLAND parks) were DKK7,934
    million in 2004 compared with DKK8,428 million in 2003 (-
    6%);

(c) Result before special items, financial income and expenses,
    and tax improved from -DKK1,061 million in 2003 to DKK103
    million in 2004;

(d) Impairment of fixed assets and restructuring costs totaled
    DKK1,225 million;

(e) The pre-tax result excluding discontinuing activities for
    the year was DKK1,237 million compared with DKK1,498 million
    in 2003;

(f) The result for the year of continuing and discontinuing
    activities was -DKK1,931 million compared with -DKK935
    million in 2003;

(g) Total assets were reduced from DKK10,049 million in 2003 to
    DKK8,089 million in 2004 (-20%).  Of this sum, DKK2,432
    million relates to discontinuing activities; and

(h) The Group's cash flows were improved by DKK753 million in
    2004, from DKK215 million to DKK538 million.

Structure of the Group

Ownership of the Group changed during the year between its
subsidiary companies.  LEGO Holding A/S is now the parent of both
the Danish and the Swiss parts of the Group.

In 2004 it was also decided to dispose of activities, which are
not regarded as part of the LEGO Group's core business.  These
were the LEGOLAND parks and a significant equity holding in
KOMPAN A/S.  These activities are regarded as discontinuing, and
their results are not included in the following.

Turnover

The Group's toy sales fell by 7% in 2004 from DKK7,196m to
DKK6,704m.  Just under half of this decline was attributable to
exchange-rate movements, in particular the weaker U.S. dollar.
The rest of the decline stemmed from the retail trade reducing
its inventories; retail sales of LEGO products were largely
unchanged. As the toy market overall diminished in 2004, the fact
that sales of LEGO products to the consumer were unchanged means
that the LEGO Group managed to increase its share of the market
slightly.

Result

The Group's result before special items, financial income and
expenses, and tax improved substantially in 2004. The result for
the year was DKK103 million compared with DKK1,061 million in
2003.  The primary reason is that by reducing many of its
activities and generally improving its efficiency the Group
succeeded in cutting its costs by DKK1,523 million (20%) below
2003 levels.  In addition, there were net gains of DKK133 million
from the sale of assets.

The pre tax result was DKK1,237 million compared with DKK1,498
million in 2003.

This result should be seen in the light of restructuring costs of
DKK502 million and asset impairments of DKK723 million.

The non-recurring impairments of assets were made because the
Group expects to utilize the assets less in the future.  This is
due partly to a 30% drop in Group sales since 2002 and partly to
productivity improvements achieved in recent years.

Balance Sheet

In 2004 the LEGO Group reduced its total assets from DKK10,049
million at the beginning of the year to a current level of
DKK8,089 million.  The decline is due mainly to a reduction in
the LEGO Group's fixed assets (impairments of DKK1,251 million)
combined with the disposal of fixed assets and a generally lower
level of investment.

Cash flows

Despite the year's negative result, the Group's cash flows
improved by DKK753 million in 2004, from DKK215 million to DKK538
million.  The improvement came mostly from reducing working
capital (for example, inventories and receivables), fewer
investments and sale off assets.

Discontinuing Activities

In order to be able to concentrate on its core business, the LEGO
Group has decided -- wholly or partly -- to find a new owner for
the LEGOLAND Parks.  Activities relating to LEGOLAND Parks are
therefore regarded as discontinuing.  The result after tax on the
parks is DKK508 million, comprising a positive result of DKK20
million and an impairment of DKK528 million in asset values.

The activities of KOMPAN A/S, which are also regarded as
discontinuing, resulted in a net result of DKK50 million, mainly
from divestment of shares.

As mentioned above, the results of discontinuing activities are
not included in the pre-tax result of DKK1,237 million.

The Market

The toy industry had difficult market conditions to contend with
in 2004.  A tighter consumer economy combined with a growing
interest in consumer electronics such as MP3 players and mobile
telephones meant that most countries were experiencing a
stagnating or falling market.  Globally, sales of traditional
toys fell 2% during the year.

The market is also affected by increased competition at the
retail level.  Medium size toy retail chains are finding it more
difficult to compete with very large chains.  At the same time
major supermarket chains are accounting for a rising proportion
of toy sales, often on discount terms.  As a result, there has
been sustained pressure on prices and a further diminishing of
profit margins.

2005

The Group's Action Plan launched in 2004 will also have a
significant effect on 2005.  In general terms, the plan will
produce a leaner but financially stronger and more focused and
fast Group, ready to deal with a low growth industry and product
sector.

In the future, the Group's main thrust will be in the field of
classic construction toys, which represent its core business.
The LEGO Group's target for 2005 is to maintain an unchanged
level of turnover in DKK terms and to be able to report a profit
before special items and tax in the region of DKK200 million.

Comments

CEO Jorgen Vig Knudstorp says of the result: "It is a positive
development that we managed to improve our result before special,
non recurring items by more than DKK1 billion -- and in global
terms halted what had been a decline in our market.

"In 2004 we could tell the world: we're back in the game! During
the year we cut our costs by more than DKK1.5 billion, and we
made substantial asset reductions.  At the same time we increased
our competitiveness by working closer with our customers and
focusing more sharply on our core products.  In view of
prevailing market conditions, our fiscal result and stronger
competitive position are a good step in the right direction.  At
the same time, we have laid the foundations for 2005 and for our
aim of restoring a satisfactory level of profitability for the
company in 2006."

About the new year, Mr. Knudstorp says: "As we move into 2005, we
are well placed to improve our share of the global market.  We
have helped retailers raise their profit on LEGO products through
better service, higher margins, lower inventories, and more
competitive pricing.  At the same time, we are introducing a
range, which is very definitely based on the core of the LEGO
idea, and we are recording healthy sales of this revitalized core
range -- for example, our DUPLO products.  We are thus well
placed to achieve our 2005 objective of a profit in the region of
DKK200 million before special items and tax."

JEANJEAN: Full-year Profit Drops Nearly 80%

JeanJean's net attributable profits dropped 79.7% last year,
according to just-drinks.com.

Operating profit also slipped 42.2% to EUR3.7 million, as
turnover fell 1.7% to EUR156.4 million.  The company attributes
its EUR520,000 result to problems in the U.S. market and
decreasing table wine volumes.  The company also reported
troubles at its viticulture services operations.  Although it
recovered in the second half, the unit registered a net loss of
EUR1.52 million.  The company vows to bounce back this year.

POIRAY FRANCE: Two Bidders Table Identical Offers

The Commercial Court of Paris has received two offers for
troubled jewelry group Poiray France and Poiray Jhoailler, Les
Echos says.

Poiray, which has been under court-supervised administration
since June 2004, has attracted jewelry-maker FM Industries (FMI)
and local businessman Alain Dumenil.  Both bidders offered to
acquire the Poiray brand for EUR1.5 million and its outstanding
shares and current accounts for a symbolic price of EUR1.  Both
bidders also offered to retain Poiray's 30 employees.

Mr. Dumenil plans to immediately invest EUR5 million in the
company and another EUR4 million later.  He also plans to focus
on Poiray's current position on the mid-range product market.
FMI, on the other hand, only intends to bring in EUR4 million and
plans to add cheaper products into Poiray's range.  Employees
reject FMI's bid, which they claim will tarnish the image of the
Poiray brand.  The court will announce the winning bidder on
April 18.

AAP IMPLANTATE: Reports EUR1.2 million Full-year EBIT
-----------------------------------------------------
Aap Implantate AG achieved in the financial year 2004 sales
growth of 5.2% to EUR11.5 million (previous year: EUR11.0
million) despite its financial and operative restructuring.

The financial year 2004 of aap.mebio was significantly affected
by the implementation of restructuring measures (a EUR9.7 million
capital increase, liabilities decreased by EUR13.9 million, value
adjustments totaling EUR4.9 million).

Disregarding the extraordinary restructuring-related result of
EUR2.5 million, the Group's EBITDA in the financial year 2004 was
EUR1.2 million (previous year: -EUR 273,000).  EBIT at
-EUR316,000 was well above the previous year's -EUR4.6 million.

Group's result for the year improved to -EUR140,000 (previous
year: -EUR15.4 million).  With a balance sheet total of EUR20.4

DAIMLERCHRYSLER AG: Schrempp Gets 'Eaten' at Annual Meeting

DaimlerChrysler Chief Executive Juergen Schrempp and top managers
came under heavy fire from disgruntled shareholders Wednesday,
reports Reuters.

At the company's annual meeting, investors blasted Mr. Schrempp's
poor performance and grumbled about the problems hounding the
world's fifth-biggest carmaker.  In particular, they sought
explanation for last week's biggest-ever car recall and news of
hefty charges to restructure the loss-making Smart minicar brand.

"Shareholders' patience is exhausted," Klaus Kaldemorgen, of
German fund manager DWS, declared at the annual meeting.  He
scoffed at Mr. Schrempp's self-proclaimed ability to master
difficult situations, adding management has put the flagship
Mercedes brand at risk by allowing quality to lag badly.

"Playing down results seems to have become part of the corporate
culture," he said to loud applause, according to Reuters.

Most shareholders openly doubted that the new short- and
medium-term profit targets of Mr. Schrempp will materialize.

"The problems at Mercedes and Smart suggest serious management
mistakes," Thomas Maier at Union Investment, which manages
DaimlerChrysler shares worth EUR500 million (US$644 million),
told Reuters in an interview.

He blasted the company's losing effort behind German blue chips
and competing carmakers in recent years and the ill-fated
investment in Japan's troubled Mitsubishi Motors Corp.

Despite the complaints, management and the supervisory board
managed to get about 95 percent of the votes to approve its 2004
report.

FRESENIUS MEDICAL: U.S. Unit Faces Criminal Investigation

The wholly owned subsidiary of Fresenius Medical Care AG,
Fresenius Medical Care Holdings Inc., received on April 1, 2005 a
subpoena from the U.S. Department of Justice, Eastern District of
Missouri in St. Louis.  The subpoena requires production of a
broad range of documents relating to the Company's operations,
including documents related to, among other things, clinical
quality programs, business development activities, medical
director compensation and physician relations, joint ventures and
our anemia management program.  The subpoena covers the period
from December 1, 1996 through the present.

The subpoena was issued in connection with a joint civil and
criminal investigation of allegations against the Company.  The
Company intends to cooperate with the government's investigation.
To the knowledge of the Company, the government has not initiated
legal proceedings against the Company at this time, and it is not
possible to predict whether proceedings might be initiated or
when the investigation may be concluded.

Counsel for the Company had an initial conversation with the

MALEV HUNGARIAN: 14 Investors Seek APV Audience

Malev Hungarian Airlines has attracted 14 investors after two
failed privatization attempts, says privatization agency APV
Wednesday.

State privatization agency APV had recently declared the latest
bidding for the government's 99.9% stake in Malev a failure after
bidders failed to meet its expectations.  APV now intends to
pursue the sale through direct negotiations and gave potential
buyers until Wednesday to formally declare their interest.

The failed privatization attempt is the second in less than six
months and the fourth since Hungary rejected communism in 1990.
Bidders reportedly offered only HUF150-200 million for the stake
and refused to shoulder the bulk of the carrier's HUF35 billion
debt.

Peter Honig, Malev's newly appointed chairman who prefers the
cancellation of the sale, plans to implement a two-year
reorganization before the next tender.

IRISH PRODUCTIVITY: Decides to Abandon Business
-----------------------------------------------
The Irish Productivity Centre has decided to stop offering
services due to unsustainable losses, according to the
Businessworld.

The company's board decided to shut down the business as early as
November, but the actual closure will only happen a few weeks
from now.  The company's woes started after Exchequer withdrew
its funding in 1998.  Seven years later the establishment still
had trouble stabilizing its account: turnover fell to EUR1.76
million in 2003 from EUR1.95 million, while overall deficit rose
to EUR93,166 from EUR59,633.

ALITALIA SPA: E.U. to Approve Turnaround Plan, Says Report
----------------------------------------------------------
The European Commission will approve the restructuring plan of
troubled national carrier Alitalia, Reuters cites a report from a
consultant of the regulator.

The report claims Alitalia restructuring plan contains no traces
of illegal government support, thus in line with European Union
state aid rules.  The regulator is currently reviewing the plan
for traces of illegal state aid.  A spokesman for Transport
Commissioner Jacques Barrot said they are waiting for the Italian
government to submit more documents pertinent to Alitalia's
EUR1.2 billion capital increase, which includes letters of
guarantees from banks.  A group of banks, led by Deutsche Bank,
has offered to back the capital hike.

Meanwhile, rivals Ryanair and British Airways have joined the
flock of carriers opposing Alitalia's restructuring plan.  The
carriers claim the Alitalia's complex capital increase amounts to
massive "state injection" of taxpayers' money.  The carriers
claimed the plan violates the "one time, last time" rule, which
allows Union members to rescue their carriers only once, and
therefore should be blocked.

Alitalia expects the European Commission to approve its
restructuring plan next month, paving the way for a massive job
cut and split of the carrier's flight and ground divisions.

ALITALIA SPA: Nears Deal with Deutsche Bank Over Capital Hike

A group of banks, led by Deutsche Bank, is reportedly close to
backing Alitalia's EUR1.2 billion capital increase, Reuters cites
sources familiar with the deal.

Alitalia needs around EUR1.2 billion to finance its massive
restructuring plan, which also entails splitting its flight and
ground units.  The European Commission is currently reviewing the
plan to find traces of illegal state aid.

"Deutsche Bank is working on setting up a consortium, but some
steps have yet to be taken to define the deal," the source said
Wednesday.  The source added, "That could take a few more days."

An Alitalia spokesman, however, denied earlier reports that
Deutsche Bank will lead a group of banks that would buy "untaken"
shares in the capital increase.  The spokesman said, "We are not
aware of the letter being signed."

Alitalia's shares have been going up and down recently as
investors expect the EC to approve the carrier's restructuring
plan.

agreement on March 31 to jointly develop and produce small
entry-level light commercial vehicles for the European market.

Scheduled for rollout in 2008, the new vehicles will extend the
current Fiat, Peugeot and Citroen product ranges.

In response to anticipated changes in the entry level segment of
the European light commercial vehicle market, PSA Peugeot
Citroen, Fiat and Tofas are introducing an innovative small
vehicle concept to extend their current commercial vehicle
lineups.

The three partners' objective is to design a compact, economical,
multi-purpose commercial vehicle that will be modern, sturdy and
attractive.

Powered by especially fuel-efficient engines, it will enable the
partners to proactively meet the expected growth in the
entry-level segment with a range of particularly affordable
vehicles. The new models will deliver effective environmental and
mobility solutions for business use in metropolitan areas, as
well as excellent highway performance.

With the active support of PSA Peugeot Citroen and Fiat, Tofas

IMPREGILO SPA: Finalizes EUR120 Million Bridge Loan

Impregilo S.p.A. said that arrangements were finalized on March
23 for a EUR120 million bridge loan to cover the company's
short-term requirement.

The borrowing consists of two transactions: EUR90 million are to

Banca D'impresa S.p.A., Sanpaolo IMI S.p.A. and Banca Intesa

Labor union UGT-MCA on Friday called on the government to help
secure contracts for Izar, warning a sale of its yards could be
hindered by lack of workload.

Izar, which went into liquidation last week, is selling four
yards this year according to an agreement reached with shipyard
unions in December.  The facilities will be opened up to private
capital en bloc, though the state will keep a major stake.

"The frankly scarce workload secured prior to the liquidation
could prove an obstacle to the entry of new investors and, as
such, put in danger the future of the civilian yards," UGT said
in a statement.

It wants Navantia, the new state-owned defense shipbuilding
company that took over six public yards, to enter into new
contracts on behalf of Izar.  Izar's liquidation prevents it from
closing new contracts until after the sale.

Enrique Martinez Robles, chairman of the state industrial holding
company SEPI, dismissed the concern.  He is confident of closing
sales by the end of the year.  According to him, the workload
problem was a short-term issue.  He said there are already
several companies and financial entities that showed interest in
the yards' long-term potential, ahead of the formal opening of
the privatization process.

Izar's Gijon yard has a contract to build a hospital ship for the
Spanish administration that could last until March 2006.  Its
Seville yard, however, has only until the end of the year to work
on a sluice.

The Basque yard in Sestao fared better.  It has several years'
guaranteed work relating to an order from Norway's Knutsen OAS
for a large LNG carrier.

PREMIERBANK: National Bank Orders Liquidation

The Central Bank of Ukraine has closed Premierbank, ending months
of concerted effort by shareholders to save it, Europe
Intelligence Wire reports.

"The National Bank of Ukraine informs that under the No. 71
resolution dated March 10, 2005, the NBU board cancelled
joint-stock commercial bank Premierbank's banking license and
initiated [the] liquidation procedure. . ." the NBU said at a
telegram.

The closure came despite help from shareholders and other
companies.  Late in April 2004, Kyiv-based insurance firm Narodna
said joint investments are being made to save the bank.  More
than two months after, stockholders decided on an issue of
UAH99.9997 million common registered stocks to increase statutory
capital by 3.2 times to UAH145 million.  It then appointed
Narodna Re Director General Oleksandr Dovbyschuk as President.

Premierbank said last year it was due to receive UAH28 million
from NBU by August 1, 2006.

In January, NBU ranked the bank top 90 in terms of the size of
overall assets among 160 working bank.

ANDERSON CLARKE: Winds up After DTI Probe

A Manchester company, which published "drugs and safety awareness
books" aimed at school children, has been wound up following a
DTI investigation.

Anderson Clarke Publications Ltd. (ACP) called businesses
throughout the U.K. to secure sponsorship.  The company claimed
that in return for donations, they would distribute to a school
nominated by the sponsor, books dealing with issues such as drug
use, bullying and Internet safety.

Sometimes using the trading name "School Safety Campaign" the
company gave the impression that it was primarily engaged in a
charitable or official child safety campaign.  In reality it was
a commercial enterprise selling the books for profit.  Sponsors
were asked to pay more than three times the cost of the books to
ACP, the resulting profits being spent mainly on commissions to
telesales staff and other running costs.

The DTI's Companies Investigation Branch found that over 8,000
sponsors had been contacted and the company had secured
sponsorship payments totaling some GBP1.2 million.  This required
the company to supply more than 182,700 books, but investigators
found that over 100,000 books had not been distributed as
promised and that the company did not have sufficient financial
resources to order the shortfall from its printers.

On first contact with sponsors, the telesales staff often claimed
to have previously spoken to them, and insisted they had agreed
to place an order.  Invoices were sent out when no valid contract
had been concluded, and these were followed by persistent and
aggressive telephone calls claiming payment against the threat of
legal proceedings.

Some businesses were called as many as thirty or forty times and
in one case more than sixty calls were made to a company, in an
effort to secure payment for orders that many "sponsors" claimed
they had not, or could not recall, placing.

Anderson Clarke Publications Limited, incorporated in July 2002,
had its registered office of the company is 7b Railway Road,
Darwen, Lancashire, BB3 2RG and carried on business from Cedar
House, 2 Fairfield Street, Manchester M1 3GF, and had a telesales
office at Gostin Buildings, 32-36 Hanover Street, Liverpool, L1
4LN.

The petition was presented on January 10, 2005 under s124A of the
Insolvency Act 1986 following enquiries under Section 447 of the
Companies Act 1985.  The Official Receiver has been appointed

COSTAIN GROUP: Wins AMP4 Contract from Southern Water

Costain Group has been awarded a major part of Southern Water's
GBP1.5 billion five-year quality and environmental capital
investment program, in a consortium with United Utilities and
Montgomery Watson Harza (MWH).

The contract, which begins immediately and lasts for five years,
is worth approximately GBP750 million to the consortium, of which
Costain has a 40% share.  The other partners, United Utilities
and MWH have shares of 40% and 20% respectively.

This gives Costain sustainable earnings and margin levels for
five years with the possibility of being renewed to ten and, in
this joint venture gives Costain the opportunity to totally
manage the whole program within the regulatory environment.

With this major contract award, and the recently announced
preferred bidder status on United Utilities' five-year water
framework contract, in joint venture with Galliford Try, Costain
has secured in excess of 20% of the U.K.'s GBP16 billion AMP4
expenditure program over the next five years.

Commenting on the contracts, Stuart Doughty, Chief Executive,
said: "This is an outstanding achievement by Costain, and has
given the Company guaranteed earnings amounting to 50% of its
forward order book for the next five years, renewable to ten.  To
have an earnings stream of this quality and duration is an
extremely strong platform from which to build on existing and new
activity."

Costain collapsed under heavy debt in the mid 1990s after
venturing into U.S. mining.  The company has since then moved
into an asset manager for water utilities from being a civil
engineer.

The firm is still trying to recover, with its first dividend in
years expected this year or next.  Its core U.K. business
reported a GBP10.5 million profit last year after plunging into a
EUR5 million loss in 2000.

In September, Fitch Ratings affirmed Costain's ratings at Senior
Unsecured 'B' and Short-term 'B'.  The Outlook is Stable.

SCi Entertainment Group plc received on Tuesday irrevocable
undertakings to accept the Offer from RAB Capital plc on behalf
of Eidos shareholders holding 4,325,000 Eidos shares,
representing approximately 3.05% of the issued share capital of
Eidos, and Artemis Investment Management Ltd. on behalf of Eidos
shareholders holding 9,126,049 Eidos shares, representing
approximately 6.43% of the issued share capital of Eidos.

The irrevocable undertakings will continue to be binding even if
a higher offer is made for Eidos and will cease to be binding

EUROTUNNEL PLC: Seeks Waiver to Start Debt Negotiation
------------------------------------------------------
Following the decision taken by the Joint Board on 30 March 2005,
Eurotunnel plc has formally requested from its principal
creditors an exemption to its Credit Agreements in order to begin
the process of debt negotiation.

This exemption requires the approval of a qualified majority of
relevant Eurotunnel creditors.  The company has already obtained
the support of the Committee representing holders of 15% of the
Senior Debt and 69% collectively of the Junior, 4th Tranche and
Tier 1A Debt.

The Committee representing holders of a majority of Eurotunnel's
co-financier debt comprises the European Investment Bank,
Franklin Mutual Advisers LLC, MBIA and Oaktree Capital
Management.

In the event of a favorable reply to its request for a waiver,
Eurotunnel will begin negotiations with the aim of seeking a

INDEPENDENT INSURANCE: Former Auditors to Face GBP300 Mln Suit
--------------------------------------------------------------
Liquidators of Independent Insurance are suing former auditors of
the company to claim what is believed up to GBP300 million in
compensation for alleged negligent audit work, reports say.

PwC's Mark Batten and Dan Schwarzmann said they had sent the
documents against KPMG on Tuesday.  The case pertains to KPMG's
audit on Independent Insurance between December 31, 1997 and
December 31, 2000.

PwC said the accountants failed to notice discrepancies in the
insurance's accounts.  It is believed likely to argue that
Independent falsely inflated its figured by failing to reserve
enough to cover potential claims.

KMPG promised to vigorously defend the claim citing it was not
let in fully to Independent Insurance's accounts.  A spokesman
said: "We believe that there is clear evidence that the true
state of Independent Insurance's financial position was withheld
from KPMG as its auditors."

PwC is also suing Watson Wyatt for its actuarial work at
Independent, and Garth Ramsay, who oversaw the final dividend
payment.  Watson Wyatt, which faces tens of millions of pounds in
claims, said that it would fight the claim.

Independent Insurance is under investigation by the Serious Fraud
Office in relation to its collapse in 2001 after distributing a
final dividend worth GBP8.4 million.  Its finance director Dennis
Lomas is under a separate probe by The Institute of Chartered
Accountants' judicial committee.

Independent Insurance was worth GBP1 billion in 2000.  It then
employed 2,000 people in Greater Manchester, Kent and London.

INVENSYS PLC: Chief Prepares to Step Down

Invensys Chief Executive Rick Haythornthwaite is preparing to
leave the engineering company this year, says the Financial
Times.

He is expected to announce his decision to step down before or
during the company's preliminary year-end results on May 19.
Chief Operating Officer Ulf Henriksson, who joined the company in
2004, is said to replace him.

Under Mr. Haythornthwaite, Invensys has undergone restructuring,
which involved the sale of bonds and shares, and 17 businesses
for GBP2.8 billion.

LUCID ENTERTAINMENT: Shuts Down European Subsidiary
---------------------------------------------------
Canadian nightclub operator Lucid Entertainment has closed the
subsidiary that runs its bar in Manchester, England, according to
The Globe and Mail on Wednesday.

The report said the units no longer has liquor license and is in
default of loans.  Lucid Manchester Ltd. is now in talks with
certain Virgin Group companies, guarantors of the lease for its
club in Britain and of its loans.  The Virgin companies hold
Lucid Manchester stocks as collateral.

Lucid Entertainment has clubs in Toronto, London, and Hollywood.
It said that its other subsidiaries are also in default "under
other material contracts."  The company's shares were delisted
from the Toronto Venture Exchange on March 21.  The stocks were
then trading at 25 cents a share.

MG ROVER: In Receivership After SAIC Talks Fell Through

Britain's last volume carmaker, MG Rover, collapsed Thursday on
failure to forge a deal with potential Chinese partners or avail
a government backed rescue package, reports say.

The firm said in a statement: "We have asked
PricewaterhouseCoopers to accept engagement to advise the board
of directors on the current position of the company."

MG Rover was in talks during the last days with China's Shanghai
Automotive Industry Corp. regarding an investment to refresh its
car models.  But the Chinese appeared nervous about solvency
questions in the firm.

"We have said a deal would not be possible until Phoenix Venture
Holdings (Rover's holding company) were able to secure the
solvency of MG Rover for the period of 2 years and that hasn't
been met," a SAIC spokesman said.

U.K.'s Trade and Industry Secretary Patricia Hewitt, meanwhile,
said the government is not staking a GBP100 loan without the
prospect of a deal with SAIC.

MG Rover was forced to stop production on Thursday as suppliers,
including Wagon Plc, suspended deliveries.

The collapse puts in danger the jobs of up to 6,100 people in the
Midlands, home to key marginal constituencies for Prime Minister
Tony Blair's Labour Party and opposition rivals.  Its effect on
voters' sentiment will clearly be shown in the coming elections
on May 5.

MG Rover dates back to 1905.  Germany's BMW AG owned it in the
1990s, until four years ago when it was rescued by British hands
through a symbolic GBP10 sale.  It had racked up losses of US$6
billion in six years at the time of the sale.  It has since been
looking for a partner to fund new models and reverse declining
sales.

Sales of new Rover cars in March dropped 28.5% year-on-year, The
Telegraph reported citing figures from the Society of Motor
Manufacturers and Traders.  The data show the company only sold
6,608 last month, down from 9,247 in March 2004.

UK COAL: Shares Up After Takeover Approach

The Board of U.K. Coal Plc has noted the recent rise in the
Company's share price.  Some weeks ago the Board received a
highly preliminary and tentative approach regarding a possible
