HEIDELBERGCEMENT AG: Cutting Cost All the Way to the Top
--------------------------------------------------------
Loss-making cement maker HeidelbergCement is reportedly cutting
directors' pay as part of a broader cost-saving initiative,
Suddeutsche Zeitung says.

According to an unnamed source, who claims to have seen
pertinent documents, each member of the supervisory board will
now receive a fixed annual pay of EUR14,000, down from the
current EUR20,000.

Plagued by falling profit, the company is now implementing
measures to sharply reduce cost and improve earnings.  These
include office closures in Singapore and Malmoe City in Sweden.
The company also plans to pursue only small- to medium-size
acquisitions in selected growth markets.

KARSTADTQUELLE AG: Sale of Remaining Assets Not Going Anywhere
--------------------------------------------------------------
Troubled retail giant KarstadtQuelle AG is finding it hard to
attract buyers for its remaining logistics operations, according
to Suddeutsche Zeitung.

The company is trying to dispose of two mail order centers
operated by subsidiaries Quelle and Neckermann.  Rhenus
Logistics and postal service operator Deutsche Post, which
earlier took over the company's other logistics activities, are
seen as potential bidders.

Management disputes the report, claiming the sale process is
still progressing according to plan.

WALTER BAU: Lenz Family, Bilfinger Make Last-minute Bid
-------------------------------------------------------
The Lenz family and Bilfinger Berger are mounting a serious
challenge to Bauholding Strabag's bid for the profitable units
of collapsed construction group Walter Bau, Die Welt says.

Walter Bau receiver Werner Schneider had earlier agreed to sell
four subsidiaries under the group's Dywidag Holding division to
Strabag for EUR135 million.  The businesses include an Austria-
based unit, an international construction unit, a road-building
subsidiary and Walter Heilit Verkehrswegebau GmbH.  The sale
will take place only after the start of the company's insolvency
proceeding on April 1.  Until then, the Lenz family and
Bilfinger still have a chance to present their EUR165 million
offer.

The Lenz family, together with investment company Zwirn, also
offered to pay over EUR60 million to acquire a part of Walter
Bau's 53% stake in Ed.Zublin, to increase its holdings from 43%
to 48.7%.  The stake is currently assigned to creditor BayernLB
as loan guarantee.

Walter Bau declared insolvency in February after creditor banks
refused to approve its restructuring plan, denying it access to
a EUR1.5 billion credit line.

S.S. LAZIO: Survives Bankruptcy Scare
-------------------------------------
Serie A club Lazio is safe from bankruptcy, at least for now,
according to The Associated Press.

The cash-strapped football team presented a crucial document to
the bankruptcy court in Tivoli minutes before the deadline that
would have made it insolvent expired.  The club proved to the
court it could pay off its tax debt worth EUR140 million
(US$181.75 million) over 23 years.

Awaiting the decision outside the court were Lazio fans
screaming, "If Lazio fails, we will burn the city."

"We've deposited everything, now you can say Lazio is saved,"
said Lazio lawyer Gianmichele Gentile.

Last week, the club reached a deal with the Inland Revenue.  The
team's woes began shortly after the collapse of Cirio, the
club's major shareholder.  The canned food company owned by
former president Sergio Cragnotti was declared insolvent in
November 2002.  Lazio last won the Italian league title in 2000
when current England manager Sven-Goran Eriksson was coach.

financial foundation.  We are generating the resources to be
able to invest in the growth of our stores, distribution
centers, systems and people to achieve our strategy for our
customers, associates and shareholders.

"We are moving closer to our customers, in order to better
differentiate our offering and by investing in our pricing.  We
believe customer focus and operational excellence are crucial if
we are to achieve long-term success in an increasingly
competitive sector.  We are working hard to reestablish U.S.
Foodservice as a viable, reliable, ethical company that delivers
value to Ahold.  The new management team has made great strides
forward and we are moving steadily in the right direction.

"In addition, we have put in place a stronger and more
transparent corporate governance structure.  We are simplifying
our organizational structure to support group-wide execution of
our retail model.  We are enhancing the clarity of
accountability and standards, improving internal controls and
establishing a clear and compelling culture driven by common,
shared values.  Following our full cooperation and the remedial
actions we have taken, we have reached a final settlement with
the U.S. Securities and Exchange Commission with no penalty
being imposed.

"Our key priorities for 2005:

(a) Successful execution of our Road to Recovery.  We have made
huge strides forward in our Road to Recovery, although we
still have significant steps to take in 2005.  We are
focused on working towards meeting applicable criteria for
an investment grade rating profile.  We are committed to our
target of minimum gross proceeds of EUR2.5 billion from
the divestment of our non-core and underperforming assets.
We are working towards bringing this program to a successful
conclusion in the interests of our stakeholders.  The sale
of our Spanish retail activities and BI-LO/Bruno's (closed
    in January 2005) were significant steps in this process;

(b) Implementation of our retail business model to drive sales
volume throughout Ahold.  We continue to roll out our retail
model across the arenas.  Our retail model drives the
process of reducing cost to reinvest in customer value and
price.  Based upon the successful completion of the
harmonization initiatives and our divestment program by the
end of 2005, our operating targets for our food retail
business for full year 2006 are 5% net sales growth, 5%
    EBITA margin and 14% return on net assets;

(c) Further improve operational performance U.S. Foodservice.
We will continue to aim at restoring profitability and cash
flow by improving the organization, pursuing further
    procurement enhancements, striving for operational
excellence and enhancing our systems; and

(d) Formulation of our strategy 2006+ following the Road to
Recovery.  When we have reached the end of our Road to
Recovery, we will have defined our strategy moving forward.
The group strategy will describe how we will win in the
competitive environments that characterize our core market
places.  Our strategy will profile our differentiating
capabilities and define how we will develop further as a
    group.

"Success is a journey, not a destination.  We have come a long
way since 2003, when we were in crisis.  2004 was our year of
transition.  2005 is turning into a year of execution, a year in
which we are delivering on our promise and concentrating on
implementing our new way of working based on the solid
structures created in 2004.  I appreciate the great energy of
our associates as we complete the execution of our Road to
Recovery strategy.

"We are very focused on the business, showing strong leadership
as we drive this high pace of change, and committed to a
credible, transparent and open interactive dialogue with our
internal and external stakeholders.  We are sustaining our
commitment to our customers along our Road to Recovery."

JESMAR SA: Game Over for Toy Maker
----------------------------------
Toy maker Jesmar S.A. will shut down its operations due to
persistent financial difficulties, El Pais says.

Jesmar, which filed for temporary receivership in January 2001,
has been saddled by debt for years.  The group also blames the
increasing rift among shareholders.  The closure will affect
around 100 employees.

Meanwhile, the worker's committee disagreed with the decision,
claiming that business had started to pick up, as evidenced by
its growing order book.  Management assures employees the
closure would be temporary, according to trade union sources.

Established in 1946, Alicante-based Jesmar sells toys in
Nuremberg, Paris, London, New York, Mexico, Valencia, Tokyo, and
Hong Kong.

PASARELA TEXTIL: Shutting down Production Plant

plant in Reus, El Pais says.

The group blamed the closure to financial problems and weak
order book.  Pasarela has already submitted the redundancy plan
for its 133 employees to the Catalan regional authorities,
according to trade union sources.  Following the closure, the
group will import textiles from China.

Pasarela Textil, which is owned by Grupaser Textil and Dutch
group Eyelatser, suffered a EUR155,000 loss in 2003, after
posting EUR27.3 million in turnover.  The group manufactures and
sells polyester and viscose fabrics.

EIDOS PLC: SCi Gets Enough Votes to Spoil Elevation Offer
---------------------------------------------------------
SCi Entertainment drew closer to topping the recommended offer
of Elevation Partners, according to The Guardian.

The computer game company said Tuesday 26.5% of Eidos
shareholders has already backed its GBP76 million offer for
Eidos.  Aside from Merrill Lynch and Gartmore, which between
them own 6.5% of Eidos, SCi also gained the support of Eidos'
largest shareholder Schroders, which holds 20%.  SCi is
optimistic about winning more votes this week, as support for
Elevation has dropped to a simple majority of 50.1%.

The announcement came as SCi's Chief Executive Jane Cavanagh
argued its case before an Eidos board committee, together with
finance director, Rob Murphy; and Bill Ennis, sales and
marketing director at SCi's south London offices.

Elevation, a U.S. private equity firm backed by U2's lead
vocalist Bono, is offering to buy Eidos for GBP71 million via a
scheme of arrangement.  It needs the backing of 75% of investors
to pull off the sale.

SCi's all-share offer pits against Elevation's all-cash bid.  It
plans to implement cost-cutting measures such as delisting Eidos
from Nasdaq.  Incumbent CEO Mike McGarvey would likely lose his
job if SCi wins.

Eidos develops interactive video and computer games such as the
popular Tomb Raider series primarily for PCs and Sony
PlayStation 2, but also for Nintendo GameCube, Nokia's N-Gage,
and Microsoft's Xbox.  Other Eidos titles include Hitman 2:
Silent Assassin and TimeSplitters 2, http://www.hoovers.com

GLOW COMMUNICATIONS: Suspends Cancellation of AIM Admission
-----------------------------------------------------------
It was announced on 7 February 2005 that Glow Communications plc
was expected to apply for the cancellation of its AIM admission
with effect from 10 March 2005.  An application has since been
made to Court by certain creditors to stay the appointment of a
Liquidator and challenging the rights of certain creditors to
vote, who had previously voted for the company to proceed into
Liquidation rather than allowing an opportunity for Company
Voluntary Arrangement proposals to be made to creditors and
shareholders.

Pending the outcome of the Court action, the Company has not
sought cancellation of its AIM admission and will only seek
cancellation if it proceeds into liquidation.

In any event, should the Company's securities remain suspended
until 28 April 2005, being the date six months after the shares

will automatically terminate.

JARVIS PLC: Secures Additional Short-term Financing
---------------------------------------------------
Jarvis plc has signed agreements with its existing lending group
for GBP17 million of additional short term financing to meet
greater than anticipated working capital requirements, and
modified the terms of its existing facilities to add an
effective 1% per month payment in kind (non-cash) coupon.

This is part of a defined program of working with the Group's
lenders regarding a probable further short-term working capital
requirement, and to achieve the Board's previously stated
objective of restructuring its funding and capital base.  The
lenders have been supportive of this process.  The restructuring
is likely to include a debt to equity conversion.

Jarvis has now broadly completed the group's main cost reduction
program, which strengthens the prospects for the Group's core
businesses.

Alan Lovell, Chief Executive of Jarvis plc, said: "These
agreements are positive steps which demonstrate the ongoing
support of our lending group."

JARVIS PLC: Shares Drop on News of GBP17 Million Extra Debt
-----------------------------------------------------------
Jarvis shares dropped 29 percent at one point Tuesday following
news of the group taking in an extra GBP17 million of emergency
debt.

Shares lost 20% at 13.75p after chief executive Alan Lovell
confirmed Jarvis was back to its bankers for additional funding
to stay alive.  Mr. Lovell explained the support services
company had "working capital issues . . . the vast majority of
which are purely timing."

Jarvis, which has already been struggling with a GBP280 million
debt mountain, would have to pay back more interest adding up to
GBP3 million to its burden.

A rights issue and third party investment as well as a debt-for-
equity swap, which would dilute the value of existing
shareholdings, have been considered as solution to the company's
financial woes.

"Some shareholders have expressed an interest in investing
again," Mr. Lovell said. "We are also considering bringing in a
strategic investor as part of this plan."

"The lender group has been supportive - not only in supplying
the cash for working capital but in working on restructuring the
balance sheet," he added.

Bankers Barclays and the Royal Bank of Scotland agreed to the
extra financing just two months after they rescued the firm from
the brink of collapse by extending banking facilities for 12
months.

Before that, Jarvis had already dropped 14 outstanding
construction projects, handing some of its hospital and schools
PFI projects to third parties.   It had also sold its stake in
Tube Lines to its partner Amey for GBP147 million to add to a
then o30m cost-cutting exercise.  The measure included the
closure of its City offices, and an earlier GBP23 million
economy drive for the summer.

Since being linked to the Potters Bar rail crash three years
ago, the firm found it difficult to renew and win contracts. It
also suffered from rapid expansion into PFI, which led to the
exit of its finance director, Alistair Rae, and its public
relations boss, Jonathan Haslam.

MG ROVER: Cabinet Intent on Clinching Chinese Deal
--------------------------------------------------
The government is keen on saving crucial talks between MG Rover
and Shanghai Automotive Industrial Corporation in the run-up to
the general elections in May, according to The Guardian.

A spokesman for Patricia Hewitt, the trade and industry
secretary, said: "We are doing everything we can to ensure the
partnership goes ahead."

Under the plan, the Chinese company would invest in MG Rover to
refresh the British firm's outdated models.  Reports say SAIC is
ready to pour in up to GBP130 million, though an agreement is
yet to be reached.  In return, SAIC will gain ownership rights
to MG Rover's more advanced technology.  The Chinese are keen to
build up their own car industry and explore overseas markets.

But up until nine months after they announced their cooperation
plan, doubts still linger talks could fall through despite heavy
political backing.  Chancellor Gordon Brown visited China for
such purpose last month.

According to the report, SAIC is keen on identifying precisely
the financial liabilities involved in the venture.  MG Rover
insists the deal remains on track despite the complexity and
length of the process.

MG Rover is the last volume car manufacturer in Great Britain.
It now only employs just over 6,000, but its Longbridge plant
remains a national icon and a major employer in the region.
Keeping these jobs may also prove pivotal in the Labour Party's
bid to remain in power.  At present, Labour controls a marginal
but key number of seats in the region.

Whitehall sources say the government may make an announcement
later this week.
