SN BRUSSELS: Merger with Virgin Express Receives Green Light
------------------------------------------------------------
On December 5, 2004, a binding agreement placing SN Brussels
Airlines and Virgin Express S.A./N.V. under the common ownership
of SN Airholding was signed.

Before completion could take place, this transaction had to get
clearance from Belgian and German Competition Authorities.  The
German Competition Authorities have considered that they had no
reason to rule on this transaction.  The European Competition
Authorities had already announced in September 2004 that, given
the characteristics of this transaction, it had no European
dimension.

On December 24, 2004, the Belgian competition authorities have
approved the binding agreement placing SN Brussels Airlines and
Virgin Express S.A./N.V. under the common ownership of SN
Airholding.

Mr. Etienne Davignon, Minister of State and President of SN
Airholding, said, "This decision marks an important step that
will help the concretization of our project with Virgin.  The
project allows us to better use the growth opportunities offered
by the market and to fulfill the expectations of our
passengers."

The decision of the Belgian Competition Authorities enables SN
Brussels Airlines and Virgin Express N.V./S.A. to initiate more
effective discussions on the concretization of this project.

HARVARDSKY PRUMYSLOVY: Prague Court Opens Bankruptcy Proceedings
----------------------------------------------------------------
The Municipal Court in Prague declared Harvardsky Prumyslovy
Holding (HPH) bankrupt, reports Czech News Agency, citing former
board chairman and now creditor Pavel Matejka.

The decision was based on the bankruptcy petition filed by the
group's former liquidator and board member Michal Pacovsky.  The
petition cited heavy debts and severe depreciation of the value
of HPH's assets, which are now pegged at less than 50% of share
capital.  HPH's bankruptcy will pave the way for bankruptcy
administrator Josef Cupka to review HPH's accounts.

HPH board chairman Karel Stanek said he would appeal the ruling,
claiming the bankruptcy petition was based on false claims.  "If
the bankruptcy is recognized, it will mean a catastrophe for
quarter of a million shareholders who will get nothing at all,"
he said.

HPH has around 240,000 shareholders.

ALITALIA SPA: To Unlock Emergency Loan Early 2005
-------------------------------------------------
Struggling carrier Alitalia S.p.A. will use its EUR400 million
bridging loan early next year, Reuters says.

Alitalia plans to use the amount in January when the airline
industry experiences low traffic.  Currently suffering from low
liquidity, the carrier is also anticipating a possible probe by
the European Commission (EC), industry and financial sources
say.

The regulator approved a EUR400 million government-guaranteed
emergency loan for Alitalia in July after the carrier admitted
funding deficiency.  The EC gave Alitalia 12 months to repay the
loan at current market rates.

The EC is currently reviewing Alitalia's restructuring plan,
making sure it contains no element of state aid.  After the
review, the EC may either approve the plan or launch an in-depth
probe against the carrier, which could last 18 months.  The
probe would focus on the role played by state holding firm
Fintecna in the planned capital increase of AZ Service,
Alitalia's ground services unit.  The regulator would also make
sure the government's stake in AZ Service would not go beyond
49%.  The regulator required Italy to reduce its stake in
Alitalia to 49%.

"Alitalia expects the Commission to open a probe on January 19
to clear confusion over the capital increase and Fintecna's
participation," Reuters said.

Alitalia hopes the probe would not affect its restructuring work
and would close in time for the capital increase, industry
sources say.

NIKOIL: 'B-' Long-term Currency Rating Affirmed

Fitch Ratings downgraded Financial Corporation Nikoil's Long-
term foreign currency rating to 'B-' from 'B' and Individual
rating to 'D/E' from 'D', affirmed Short-term 'B' and Support
'5' ratings.  The Outlook on Long-term foreign currency rating
is Stable.

The downgrade of Nikoil's Long-term foreign currency and
Individual ratings reflects substantial deterioration in capital
quality and the group's continued negative earnings, net of the
trading gains/dividend income from its 8% stake in Russian oil
company Lukoil.  Nikoil is the parent company of UFC.  Nikoil's
ratings also reflect the substantial market risk resulting from
its Lukoil stake.  However, they also consider UFC's adequate
liquidity and the potentially strong strategic fit between
Uralsib (acquired by UFC in 2003) and the other UFC banks,
including IBG.

Despite a high reported risk asset ratio, Fitch regards Nikoil's
capitalization as potentially very weak due to its large Lukoil
exposure (equal to 102% of Nikoil's consolidated equity at end-
2003).  In addition, some directly-held Lukoil shares on
Nikoil's consolidated balance sheet were replaced during 2003
with an 'equity-share financial asset' (equal to 53% of Nikoil
equity) conferring rights to the economic benefits, but not
legal ownership, of the shares. Furthermore, a 'subordinated
equity loan' (equal to 51% of equity) is included in capital,
while 57% of equity (primarily the receipts from the
subordinated equity loan) with entities not legally owned by
Nikoil, is booked and consolidated on the basis that the
activities of these entities are conducted on UFC's behalf.

Nikoil's bottom-line performance ratios were strong in 2003, but
this was primarily due to gains on its Lukoil positions.  Net of
these gains, UFC was loss making in both 2003 and 2002, and the
group's three main banks (Uralsib, IBG and Avtobank-Nikoil) all
made sub-inflation, albeit positive, returns on equity in both
H104 and 2003.  The merger of the banks should provide
opportunities to improve efficiency, but realizing these in the
near-term will be challenging.

Nikoil is the parent company of UFC, a large Russian group
owning both financial and non-financial assets.  The group was
formed in 1993 and is ultimately owned by two individuals. Apart
from the 8% stake in Lukoil, the group's major assets include
banks and other financial services companies, which provide
insurance, leasing, asset management, brokerage and factoring
services.  In 2005, UFC plans to merge its largest banks,
including Uralsib, IBG and Avtobank-Nikoil.

URAL-SIBERIAN BANK: Fitch Affirms 'D' Individual Rating

Fitch Ratings has changed Ural-Siberian Bank's (Uralsib) Outlook
on 'B' Long-term foreign currency rating to Stable from
Positive, affirmed Long-term 'B', Short-term 'B', Individual 'D'
and Support '4' ratings.

Credit risk appears to be reasonably well managed, and
harmonization of risk management policies and procedures between
the UFC banks is well advanced.  The loan book grew more than
threefold during 2003, mainly due to the Uralsib acquisition
(organic growth was 52%), but still only accounted for 34% of
assets at end-2003.  Concentration levels were relatively low
for a Russian lender with top 10 borrowers accounting for 21% of
the portfolio, while non-performing loans were well covered by
loan loss reserves, although the latter has fallen at UFC banks
in H104.  Liquidity appears to be adequate, and part of UFC's
Lukoil stake can be used to raise short-term financing, if
required.  Non-equity funding is relatively well diversified, by
both source and tenor.

The change in the Outlook of Uralsib's Long-term rating to
Stable from Positive reflects the bank's continued weak
profitability and high cost base, its exposure to the risks of
UFC's non-financial investments post acquisition, including
through the booking of part of the group's Lukoil stake with the
bank, and the challenges of integration and merger with UFC's
other banks.  Uralsib's Long-term, Short-term and Individual
ratings also reflect the significant concentration of its loan
book, the reduced, albeit still not low, capitalization and a
further drop in the loan loss reserve ratio, although asset
quality, to date, has been reasonable.  However, they also
consider the bank's strong franchise in Bashkortostan and
growing business beyond the Republic, its adequate liquidity and
relatively well-diversified funding, and the potentially strong
strategic fit with other UFC banks.

Uralsib's franchise outside of Bashkortostan, where it is
incorporated, has grown considerably since 2001.  In addition,
there is a potentially strong strategic fit between the bank's
well-developed network and broad customer base, and the more
extensive product range of IBG and other UFC companies.

The government of the Republic of Bashkortostan in 1993 founded
Uralsib, formerly Bashcreditbank.  In H203 and 2004, UFC
acquired a stake of over 75% in the bank from the Republic
(which retains a minority stake) and other shareholders.
Although still concentrated on its stronghold of Bashkortostan,
since 2001 Uralsib has rapidly expanded both its corporate and
retail franchises in other regions of Russia.

* Risks Remain as Banks Receive Weak Ratings

Fitch Ratings, the international rating agency, said on December
23, 2004 the current political situation and recent banking
sector turbulence in Ukraine have so far not had a significant
impact on the creditworthiness of the banks rated by the agency.
However, given the re-run of the second round of the
Presidential election on December 26, these banks continue to
face considerable risks.

Following an increase in deposit withdrawals and the National
Bank of the Ukraine's (NBU) measures to preserve sector
liquidity, in the wake of the disputed late November
presidential elections, Fitch has continued to monitor the
banks' balance sheets and liquidity profiles.  Although they
have seen some outflow of retail deposits, these have not
typically been material.  Nevertheless, the banks have taken
measures to conserve liquidity.

At the same time, the situation in the Ukrainian banking sector
remains very difficult, as reflected in the effective
disappearance of the domestic inter-bank market as a source of
unsecured liquidity and, Fitch understands, the granting by the
NBU of stabilization loans to some of the country's banks.
Furthermore, the re-run on December 26 of the second round of
the Presidential election, whatever the result, could lead to a
further escalation of political tension.  This could bring with
it the risk of renewed increases in deposit withdrawals, albeit
probably mainly from current accounts, following the NBU's
decree that seeks to restrict early withdrawals of term
deposits, and pressure on bank liquidity.

Thus, while Fitch notes that the very weak ratings of Ukrainian
banks continue to reflect the risks they currently face and
their vulnerability to shocks, the agency will continue to
monitor the situation closely in the days before and after the
election.  Negative rating actions could still follow if there
is a marked deterioration in the banks' liquidity profiles or
other payment difficulties are experienced.

Fitch has these ratings for Ukrainian banks:

(a) CJSC Privatbank: Long-term 'B-' (B minus) Stable Outlook,
    Short-term 'B', Individual 'D' and Support '5'.

The director of an engineering holding company that failed with
total debts estimated at around GBP257,488 has given an
Undertaking not to hold directorships or take any part in
company management for four years.

The Undertaking by Paul Swatman, 48, of Boggle Lane, Sproatley,
Hull was given in respect of his conduct as a director of A P
Aerospace Plc, which carried on business from premises at
Eppleworth Road, Cottingham, Hull.

Acceptance of the Undertaking on November 22, 2004 prevents Paul
Swatman from being a director of a company or, in any way,
whether directly or indirectly, being concerned in or taking
part in the promotion, formation or management of a company for
the above period.

A P Aerospace Plc was placed into compulsory liquidation on
November 19, 2002 on the petition of the directors, Andrew Peter
Stone and Paul Swatman.  The company has an estimated total
deficiency of GBP5,801,533, including share capital of
GBP5,544,045.  The Official Receiver at Hull conducted the
investigation and disqualification procedure.

The Insolvency Service, on behalf of the Secretary of State for
Trade & Industry, has responsibility (under Section (6) of the

    attention by way of letter dated 28 November 2000 he failed

    responses to the Official Receiver 14 private investors have
    stated that they would not have invested in AP had they
    known about the inaccuracies;

(b) failed to comply with statutory provisions and his fiduciary
    duties as a director of AP in that he failed to maintain
    and/or preserve a register of members contrary to Section
    352 of the Companies Act 1985 or that if such a register was
    kept he failed to deliver it up to the Official Receiver
    when requested to do so; and

(c) failed to ensure that AP maintained full and proper

an Undertaking not to hold directorships or take any part in

The Undertaking by Janis Colquhoun, 57, of Plantation Park
Gardens, Glasgow was given in respect of her conduct as a
director of Barrhead Tradelink Vehicle Services Limited, which
carried out business from premises at 99 Blackbyres Road,
Barrhead, Glasgow, G78 1TN.

Acceptance of the Undertaking on November 30, 2004 prevents
Janis Colquhoun from being director of a company or, in any way,
whether directly or indirectly, being concerned or taking part

        recorded in the accounts;

   (ii) Show or explain the disposal of motor vehicles valued at
        GBP75,749 on July 30, 2003; and

  (iii) Show or explain the disposal of a MOT Testing Station
        valued at GBP34,255 on July 30, 2003.

Court of Justice of England and Wales made an Order, in
connection with the proposed scheme of arrangement pursuant to
section 425 of the Companies Act between BFG and the BFG Scheme

total debts estimated at around GBP270,000 has given an
Undertaking not to hold directorships or take any part in

The Undertaking by Shaun Michael Wilkinson of Bentley Square,

of Cloud Nine Industrial Recruitment Limited and Cloud Nine

receivership, Europe Intelligence Wire says.

More than a thousand employees of the carpet maker, previously

* FSCS Declares 57 Firms in Default
-----------------------------------
The Financial Services Compensation Scheme (FSCS) is encouraging
consumers to get in touch if they may have lost money as a
result of their dealings with any one of 57 firms recently
declared in default by the Scheme.

Declaring a firm in default opens the way for customers who have
lost money, as a result of dealings with such a firm, to make a
claim for compensation to FSCS.  The limit for investment
compensation is GBP48,000.  Consumers who believe they may have
a claim should contact the Scheme on 020 7892 7300.  The service
is free to consumers.

"It is important that consumers know there is a fund of last
resort if they have a claim against a financial services firm,
and the firm can't pay," says FSCS chief executive, Loretta
Minghella.  "Without FSCS, many consumers would have nowhere to
turn."

The declaration of default is the final part of a process
whereby a regulated firm is deemed by FSCS to be unable to pay
claims for compensation against it.

FSCS is the U.K.'s statutory single compensation scheme covering
investments, deposits, insurance and, with effect from October
31, 2004, mortgage advice and arranging.  It provides a fund of
last resort for consumers who have claims against regulated
firms that are unable to pay them.  The UK's independent
financial watchdog, the Financial Services Authority (FSA),
regulates financial services firms.

A list containing the full address of 57 investment firms is
available at http://www.fscs.org.uk. Consumers can also use the
default database on the Web site to check to see if a firm they
have dealt with previously has already been declared in default.

Protection Extended to General Insurance

From January 14, 2005 advice about general insurance and the
arranging of general insurance policies will also be protected.
From that date these types of activities will be regulated by
the FSA.

FSCS became the single compensation scheme in the financial
services sector on December 1, 2001, when the Financial Services
and Markets Act came into force.  All previous compensation
schemes, including the Investors Compensation Scheme, ceased to
operate at this time.
