BARBEQUES GALORE: Acom International Acquires Retailer, Names CEO
-----------------------------------------------------------------
Harry Booth at Inside Retail reports that Melbourne-based
wholesaler Acom International has emerged as the buyer of Barbeques
Galore, the largest outdoor furniture retailer in the country,
which collapsed earlier this year.
Inside Retail relates that Acom's acquisition includes a series of
brands, including Ziegler & Brown, Ziggy, Turbo, Beefmaster, and
Firehawk. The deal will see the closure of all company-owned
stores, with independently-owned stores allowed to operate under
licence.
Some 500 jobs were put at risk when Barbeques Galore collapsed; it
is unclear how many of those jobs will be saved under the new
operating model. The fate of these jobs was dealt an additional
blow in early June when a restructuring plan led by investment firm
Gordon Brothers was rejected by creditors.
According to Inside Retail, longstanding Barbeques Galore executive
Mike Ainsworth has been named the new CEO. Acom said he will be
joined by an experienced leadership team from the wholesaler's own
operation.
"Our ambition is simple: To bring Barbeques Galore and some of
Australia's most loved barbecue and wood-heating brands within
reach of more Australians," Inside Retail quotes Mr. Ainsworth as
saying.
"We will do that by supporting our independent Barbeques Galore
stores, expanding distribution through wholesale customers and
other retailers, growing our export markets, and maintaining a
strong national online presence."
The new era of Barbeques Galore will centre around a "renewed"
online business and wholesale model. Acom said it wants to increase
the reach of all the acquired brands while expanding into other
retailers and growing exports, Inside Retail relays.
"This is about building a simpler, more connected business that
allows customers to access these brands through a local independent
store, another trusted retail partner or online," Mr. Ainsworth
added.
"The strength of Acom gives the portfolio the stability and
platform it needs for its next chapter. We can protect nearly 50
years of heritage while building a business designed to grow these
brands and support customers, stores, retailers and suppliers for
the long term."

Barbeques Galore is considered to be Australia's largest barbecue
and outdoor furniture retailer. It specialises in barbecues,
heaters and other related products, and stocks brands including

HEALTHSCOPE: Not-For-Profit Plan Delays Lender Payout for Two Year
------------------------------------------------------------------
Michael Smith at The Australian Financial Review reports that
lenders to Australia's second-largest hospital group who are owed
more than AUD1.6 billion would have to wait two years to be paid
under a proposal from Healthscope management to turn the company
into a not-for-profit entity.
High-profile director and businesswoman Helen Nugent, who is
advising Healthscope, was expected to meet Monday, Aug. 3 with
members of a consortium of the hospital group's landlords, who have
put a rival offer to lenders.
The Financial Review relates that Ms. Nugent is expected to meet
with Sid Sharma, the executive in charge of David Di Pilla's real
estate business at HMC Capital, which owns 11 of the operator's
hospitals. If the meeting goes ahead, it would be the first
high-level exchange between the two parties that have been at odds
for more than a year.
Relations between Healthscope and HMC have been volatile since they
fell out over rental payments when global alternative investment
manager Brookfield still owned the business, until it was put into
receivership in 2025.
HMC claims it has still not been formally briefed on the proposal
to turn the operator into a not-for-profit entity.
HMC Capital is part of a consortium led by Catholic hospital group
Calvary that has made a non-binding offer for Healthscope.
According to the Financial Review, receivers McGrathNicol wrote to
the consortium's advisers Jefferies Australia on July 31 setting
out a timetable to make a binding bid by August 13.
A big difference between the two competing bids is that lenders
will have to wait two years to get a return on their investment
under the not-for-profit plan, whereas the consortium said its
offer puts cash on the table immediately, the Financial Review
relays.
However, the lenders are being advised that the trade-off is that
the returns they will receive under the not-for-profit plan in the
longer term will be materially higher than what the consortium is
currently offering.
Canada's Northwest Healthcare Properties, which owns 12 Healthscope
hospitals, is also part of the consortium. Both property groups do
not support the not–for–profit plan, which they argue is not
viable and will lead to closures.
The Financial Review says Mr. Nugent is also expected to seek a
meeting with Northwest this week.
While the landlords are confident their bid will succeed,
McGrathNicol and lenders are still seriously considering the
not-for-profit proposal, the Financial Review states.
Mr. Nugent presented details of that revamped plan, known as
PurposeCo, to lenders last week in what one source close to the
transaction described as "credible and compelling".
The Financial Review says the role of the HMC and Northwest in the
13-month-long battle to secure Healthscope's future is critical
because they own the majority of the 27 hospitals in the network
that have not been sold.
The consortium offer lodged last week is non-binding.
McGrathNicol, which is pressuring the consortium to increase its
offer, has expressed concerns about execution risk and financing.
"Stakeholders are frustrated the consortium hasn't come to the
table with a binding offer. Their proposal is attractive
conceptually, but value and executability have not yet been
demonstrated," the Financial Review quotes one source close to the
transaction, who requested anonymity because the discussions were
confidential, as saying.
"Once landlords hear the PurposeCo detail from Helen we expect
they'll recognise it's as least as good as the consortium for them
both economically and from an execution standpoint."
However, sources close to the landlords said the consortium bid was
the only viable solution, and they would not be supporting the
management-backed plan, the Financial Review relays.
About Healthscope
Healthscope provides healthcare services. The Company manages a
network of hospitals, clinics, and physicians for the provision of
emergency care, women's services, cancer care, and pediatric
services. Healthscope operates 38 hospitals across Australia.
On May 26, 2025, Keith Crawford, Matthew Caddy, Jason Ireland &
Katherine Sozou of McGrathNicol Restructuring were appointed as
Receivers and Managers of ANZ Hospitals Pty Ltd and Healthscope
NewCo Pty Ltd. The appointments are limited to these two entities
only, which are 'holding companies' within the Healthscope Group
corporate structure.
Craig Shepard, Mark Korda, Andrew Knight and Lara Wiggins of
KordaMentha were appointed as administrators of Healthscope Newco
Pty Ltd and ANZ Hospitals Pty Ltd on May 26, 2025.
According to Sky News Australia, the lenders behind Healthscope
have opted to call in receivers to find a buyer for the private
hospital operator. Healthscope was purchased by Canadian asset
management firm Brookfield in 2019, however, it handed control of
the health company to the lenders earlier in May 2025. This
syndicate of hedge funds and banks voted on May 26 to put the
company into receivership, Sky News Australia said.

---------- ----------- -------
Overdraft Facility 5.5 Crisil B+/Stable (Reaffirmed)
Proposed Long Term 4.5 Crisil B+/Stable (Reaffirmed)
Bank Loan Facility
Term Loan 3 Crisil B+/Stable (Reaffirmed)
The rating continues to reflect KTC's modest scale of operations
and susceptibility of its operating margin to fluctuations in key
input costs. These weaknesses are partially offset by the
experience of the company's promoters in the automotive components
industry and its moderate financial risk profile.
Analytical approach
Crisil Ratings has evaluated the standalone business and financial
risk profiles of KTC.
Key rating drivers - Weaknesses
* Modest scale of operations: The company's scale of operations
remains modest, as reflected in revenue of INR33.95 crore in fiscal
2026, thus limiting bargaining power against customers and
suppliers.
* Susceptibility of operating margin to fluctuations in key input
costs: The company's operating margin has been volatile, ranging
from 5% to 9% in the four years through fiscal 2026, largely on
account of fluctuations in key input costs. The ability of the
company to demonstrate sustainable profitability is a key rating
sensitivity factor.
Key rating drivers - Strengths
* Extensive experience of the promoters: The six-decade-long
experience of the Kumar family shall contribute to the company's
growth, and the healthy relationships with key stakeholders will
continue to support the business risk profile.
* Moderate financial risk profile: The financial risk profile
remains supported by moderate gearing and comfortable debt
protection metrics. The gearing was 1.07 times as on March 31,
2026, supported by improving accretion to reserve. The debt
protection metrics are reflected in interest coverage and net cash
accrual to total debt ratio of 3.79 times and 0.23 time,
respectively, for fiscal 2026.
Liquidity Stretched
Bank limit utilisation was high at 96% on average in the 12 months
through June 2026. Annual cash accrual is expected over INR2 crore
against yearly term debt obligation of INR30–40 lakh over the
medium term. The current ratio was moderate, estimated at 1.11
times as on March 31, 2026.
Outlook Stable
Crisil Ratings believes KTC will continue to benefit from the
extensive experience of its promoters and established customer
relationships.
Rating sensitivity factors
Upward factors:
* Revenue above INR45 crore over the medium term and improvement in
operating margin to over 10%
* Efficient working capital management leading to improvement in
the financial risk profile
Downward factors:
* Steep decline in revenue or profitability, leading to cash
accrual less than INR1 crore
* Stretch in the working capital cycle, sizeable addition to debt
or withdrawal of unsecured loans, weakening the liquidity profile
KTC was set up in 1960 by Raj Kumar and his family. The
Bengaluru-based company manufactures precision engineering
components for the automotive industry.

TV VISION: NCLT Admits Insolvency Plea, IRP Appointed
-----------------------------------------------------
Storyboard18 reports that the National Company Law Tribunal (NCLT)
has admitted Punjab National Bank's insolvency petition against
television broadcaster TV Vision Ltd over an alleged default of
INR294.65 crore, initiating the corporate insolvency resolution
process (CIRP) against the company.
In a regulatory filing on July 31, TV Vision said the Mumbai bench
of the NCLT had admitted the lender's application under Section 7
of the Insolvency and Bankruptcy Code (IBC) and ordered the
commencement of insolvency proceedings against the company,
Storyboard18 relates. The filing follows the tribunal's oral
pronouncement on July 30 and the subsequent upload of the detailed
order on the NCLT website.
The tribunal has appointed Alok Kumar Murarka as the interim
resolution professional (IRP) to oversee the insolvency proceedings
and manage the company's affairs as a going concern, Storyboard18
discloses. With the commencement of the CIRP, the powers of TV
Vision's board of directors stand suspended and will now be
exercised by the IRP.
According to Storyboard18, Punjab National Bank had approached the
NCLT in February this year, seeking insolvency proceedings against
the broadcaster for an alleged financial debt of INR294.65 crore.
According to the tribunal's order, the bank had sanctioned two term
loans of INR50 crore each in May and July 2016, aggregating to
INR100 crore.
Storyboard18 relates that the lender said TV Vision's loan account
was classified as a non-performing asset (NPA) on March 31, 2018,
following repayment defaults. Punjab National Bank subsequently
initiated proceedings under the SARFAESI Act and issued a demand
notice to the company, its directors and guarantors in June 2018.
Storyboard18 says the NCLT noted that TV Vision had submitted
multiple one-time settlement (OTS) proposals between 2020 and 2025
in an attempt to resolve the dues. The broadcaster's latest
proposal, submitted in July 2025, offered a settlement of INR167
crore covering eight group accounts, but was rejected by the bank
in November 2025.
In its submission before the tribunal, TV Vision acknowledged its
inability to repay the loans on time and attributed its financial
difficulties to changing consumption patterns in the media
industry, including the rapid growth of over-the-top (OTT)
platforms and music-streaming applications that affected
traditional television viewership, Storyboard18 relates.
The company also told the tribunal that it had no objection to the
admission of the insolvency proceedings, although it had initially
objected to the appointment of the resolution professional proposed
by the lender. The bank later proposed Murarka's name, which was
accepted by the tribunal.
As part of the insolvency proceedings, the NCLT has imposed a
moratorium under Section 14 of the IBC, prohibiting the institution
or continuation of legal proceedings against the company, the
transfer or disposal of its assets and the enforcement of any
judgments or decrees during the resolution process.
Storyboard18 adds that TV Vision said the insolvency process
commenced with effect from July 30 and that the interim resolution
professional would undertake further actions in accordance with the
Insolvency and Bankruptcy Code and applicable regulations.

ONE GLOVE: Auditor Flags Material Uncertainty Over Going Concern
----------------------------------------------------------------
The Star reports that One Glove Group Bhd's external auditor has
issued an unqualified audit opinion with a material uncertainty
related to the group's ability to continue as a going concern for
the financial year ended March 31, 2026.
In a filing with Bursa Malaysia, the glove manufacturer said its
external auditor, Messrs Deloitte Malaysia PLT, highlighted that
the group incurred a net loss of MYR39.1 million during the
financial year ended March 31, 2026 (FY26), while the company
posted a net loss of MYR131 million, The Star relates.
The Star says the group also recorded net operating cash outflows
of MYR12.3 million and ended the financial year with net current
liabilities of MYR23.9 million.
"The group continues to operate in a challenging operating
environment. The glove manufacturing activity faces persistent
global oversupply, subdued selling prices, and rising production
costs," Deloitte said.
According to The Star, the auditor said the group's ability to
continue as a going concern depends on the successful
implementation of its financial and operational restructuring
plans, including the disposal of all or part of land owned by an
indirect associate, or the disposal of the associate itself.
It also depends on continued financial support from substantial
shareholder ADA Capital Investments Ltd.
Despite the material uncertainty, Deloitte's audit opinion was not
modified, The Star notes.
Separately, the auditor identified two key audit matters involving
impairment assessments.
At the group level, One Glove recognised an impairment loss of
MYR5.63 million on plant and machinery, including capital
work-in-progress, following operating losses at subsidiary Onetexx
Sdn Bhd.
At the company level, it recognised an impairment loss of MYR128.67
million on its investment in Onetexx.
To address the going concern uncertainty, One Glove said its
38%-owned associate, One Glove Venture Sdn Bhd, is pursuing the
disposal of all or part of about 322 acres of land valued at
approximately MYR520 million, or an indirect disposal through the
sale of the landholding company, according to The Star.
The proceeds attributable to One Glove are intended to support
Onetexx's operations and repay borrowings.
The Star relates that the group also said it has secured a
repayment moratorium from a lender after the financial year-end and
will continue discussions with lenders to obtain further repayment
relief.
The company expects to complete the proposed measures by March 31,
2027, barring unforeseen circumstances, The Star adds.

HIN LEONG: WongPartnership Wins Appeal to Strike Out US$2.6BB Claim
-------------------------------------------------------------------
In 2020, Hin Leong Trading (Pte) Ltd (HLT), formerly one of Asia's
largest oil traders, collapsed and entered liquidation amidst
revelations of systemic fraud perpetrated by its controllers. The
following year, the liquidators commenced proceedings against HLT's
former statutory auditor, alleging that its failure to detect
fraudulent misstatements in HLT's financial statements had enabled
the company to continue trading while insolvent and incur a
staggering US$2.6 billion in trading losses.
Acting for the auditor, WongPartnership contended that the losses
flowed from management's own trading decisions and adverse market
movements, rather than from the audit. To impose liability for such
losses would impermissibly transform auditors into insurers of a
company's trading fortunes and guarantors against market
conditions.
In a landmark judgment by a five-member coram, the Court of Appeal
reversed the decisions of the courts below and struck out HLT's
claim for trading losses for being too remote, marking an important
limit on the scope of auditor liability. The apex court also
revisited the foundational principles of negligence and articulated
a six-part framework that is set to provide guidance on the
analysis of future negligence claims in Singapore.
The WongPartnership team comprised Tan Cheng Han SC (Senior
Consultant), Wendy Lin (Deputy Head of the Commercial & Corporate
Disputes Practice), Monica Chong Wan Yee (Partner), Brandon Wong
Wei Lun and Matthew Tan Ju Wei (Associates) and Adri Faris B Mohd
Affendi (Practice Trainee).
