ADVANCEPIERRE FOODS: Sued Over Proposed Tyson Foods Merger
----------------------------------------------------------
Stephen Bushansky, on behalf of himself and all others similarly
situated v. Advancepierre Foods Holdings, Inc., John N. Simons,
Jr., Christopher D. Sliva, Dean Hollis, Celeste A. Clark, Peter C.
Dillingham, Stephen A. Kaplan, Gary L. Perlin, and Matthew C.
Wilson, Case No. 1:17-cv-00326-TSB (S.D. Ohio., May 12, 2017), is
brought on behalf of all the public stockholders of AdvancePierre
Foods Holdings, Inc., to enjoin the expiration of a tender offer
on a proposed transaction, pursuant to which AdvancePierre will be
acquired by Tyson Foods, Inc. through its wholly-owned subsidiary
DVB Merger Sub, Inc. at approximately $4.2 billion.

According to the complaint, AdvancePierre filed a
Solicitation/Recommendation Statement on Schedule 14D-9 with the
U.S. Securities and Exchange Commission, which recommends that
AdvancePierre stockholders tender their shares in favor of the
Proposed Transaction.  However, it omits or misrepresents material
information concerning, among other things: (i) AdvancePierre's
financial projections, relied upon by AdvancePierre's financial
advisors, Credit Suisse Securities (USA) LLC and Moelis & Company
LLC in connection with rendering their fairness opinions; (ii) the
data and inputs underlying the financial valuation analyses that
support the fairness opinions provided by Credit Suisse and
Moelis; and (iii) the background process leading to the Proposed
Transaction.

The failure to adequately disclose such material information
constitutes a violation of Sections 14(d), 14(e) and
20(a) of the Exchange Act as stockholders need such information in
order to make a fully informed decision whether to tender their
shares in support of the Proposed Transaction, says the complaint.
To remedy the Defendants' Exchange Act violations, Plaintiff seeks
to enjoin the stockholder vote on the Proposed Transaction unless
and until such problems are remedied.

Advancepierre Foods Holdings, Inc. produces and distributes ready-
to-eat sandwiches, sandwich components, and other entrees and
snacks.

Tyson Foods, Inc. is one of the world's largest food companies
with leading brands such as Tyson(R), Jimmy Dean(R), Hillshire

FYRE MEDIA: "Reel" Sues Over Event Cancellation, Seeks Refund
-------------------------------------------------------------
Kenneth Reel and Emily Reel, individually and as the
representative of a class of similarly-situated persons,
Plaintiffs, v. Billy McFarland, an individual, Jeffrey Atkins
p/k/a Ja Rule, an individual, Fyre Media, Inc., a Delaware
corporation and Does 1 through 50, inclusive, Defendants, Case
2:17-cv-03245 (C.D. Cal., April 30, 2017) seeks actual,
consequential and incidental losses and damages, punitive damages,
attorneys' fees, costs of suit incurred and such other and further
relief resulting from fraud, negligent misrepresentation, breach
of contract and breach of the covenant of good faith and fair
dealing.

In December 2016, Defendants promoted their upcoming "Fyre
Festival" as a posh, island-based music festival featuring first-
class culinary experiences and a luxurious atmosphere on a private
island in the Bahamas. However, the festival's lack of adequate
food, water, shelter and medical care created a dangerous and
panicked situation among attendees. Defendants also promoted the
festival as a "cashless" event where attendees upload funds to a
wristband for use at the festival rather than bringing any cash.
However, attendees were unable to purchase basic transportation on
local taxis or busses, which accept only cash.

Plaintiffs booked the two bed "duo" with a VIP upgrade for
$4,599.84 and deposited $600.00 spending money onto their
wristbands account. Kenneth Reel went ahead and spent an
additional $1,040.00 at Grand Isle Resort and Spa, a property
close to the festival location. By the time he landed in Miami,
the event was shut down. [BN]
